Contractor Tasks and Responsibilities. (a) Develop and maintain a Project Implementation Plan that includes all tasks required by the County for configuration, security, network connectivity, workstation modifications, data loading, and testing, 2020 CAFR data conversion and operations and maintenance. (b) Ensure adherence to the project scope and schedule as stated in the Project Implementation Plan, and budget. (c) Manage risk, including notifications to the County’s Project Manager within 24 hours – via email or phone – when the project scope, schedule, or budget may be impacted, as well as providing mitigation plans. (d) Manage and plan work activities including: ● Platform configuration; ● 2020 data conversion and migration; ● testing and quality assurance; ● administrator training; and ● Go-Live support. (e) Coordinate Contractor’s resources, work sessions, and training (online/phone). (f) Track project issues (g) Provide project status reports through Project Management Portal, which include schedule updates, all reported issues and their statuses. (h) Be available for status calls as requested by County. (i) Provide updates to SCPM via online meeting as requested by the County. (j) Perform additional tasks as required to achieve the results specified herein. (k) Provide advice to administrative users regarding navigation of the Platform and administrative settings in accordance with best practices. (l) Identify and mitigate any risk to deliverables and timeline through discussion and agreement with the County. (m) Consult with the County on how to conduct end-to-end testing, advise on adjusting any configuration settings needed. (n) Participate in the production review call with the County and provide a production environment. (o) Address any remaining questions, concerns or additional issues. (p) Facilitate ADA remediation of 2021 ACFR. (q) Track and cure any reported defects during the 90-day post Go-Live period. This task will be complete after 90 consecutive days of post Go-Live operation without any new defects. Contractor provides up to 40 hours of dedicated aftercare support for one year after Go-Live. (r) Contractor will guide the County through reconciliation of the financial data within the Workiva Platform as necessary to agree with the previously published ACFR. This process may also require posting adjusting journal entries within Workiva Platform or the accounting system. (s) Complete all deliverables as defined in the Project Implementation Plan.

These activities are to coincide with the PTMS Project Schedule activities as outlined in Exhibit II. 1.1 IV&V Project Management 5 Conduct IV&V project activities in accordance with Contractor’s IV&V framework. Manage IV&V project activities in accordance with Deloitte’s project management framework. • Validation and Verification Management Plan - As the first deliverable the IV&V provider shall develop a Validation and Verification Management Plan. This plan shall describe the activities, personnel, schedule, standards, and methodology for conducting the Validation and Verification reviews. • Conduct Initial Review - Prepare and deliver an Initial Validation and Verification report on the required activities. Report on status of each activity. • Conduct Periodic Review(s) - Prepare and deliver Follow-up Validation and Verification reports on the required activities. Report on status of each activity and progress since the previous report. • Management Briefing - Prepare and deliver formal presentations on the status of the Validation and Verification project. Presented as required, with at least ten (10) business days notice. No more than once a month. • Quarterly Risk Assessment to the Board of Supervisors - Assist the County in producing this report which is used is to assess the risk status of major Information Technology (IT) projects in order to identify significant potential risk and mitigating actions. Contractor Tasks and Responsibilities. The Statement of Work attached as Exhibit A describes the services to be performed pursuant to this Contract. Changes in the scope or schedule of the services, either by the State’s request or necessitated by other events or conditions (including, without limitation, changes in law or regulation), that would increase the cost or alter the time needed to perform the services may be cause for an equitable increase in the Contract fees and/or extension of the Contract schedule past the anticipated termination date. Such changes to the Contract shall be made in accordance with the process specified in Section 10 below.

  • Roles and Responsibilities 1. The Donor States shall make funds available in support of eligible programmes proposed by the Beneficiary State and agreed on by the Financial Mechanism Committee within the priority sectors listed in Article 3.1 of Protocol 38c and the programme areas listed in the Annex to Protocol 38c. The Donor States and the Beneficiary State shall cooperate on the preparation of concept notes defining the scope and planned results for each programme. 2. The Beneficiary State shall assure the full co-financing of programmes that benefit from support from the EEA Financial Mechanism 2014-2021 in accordance with Annex B and the programme agreements. 3. The Financial Mechanism Committee shall manage the EEA Financial Mechanism 2014-2021 and take decisions on the granting of financial assistance in accordance with the Regulation. 4. The Committee shall be assisted by the Financial Mechanism Office (hereinafter referred to as the “FMO”). The FMO shall be responsible for the day-to-day operations of the EEA Financial Mechanism 2014-2021 and shall serve as a contact point.

  • Role and Responsibilities During the Employment Period, the Executive shall serve as Chief Financial Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report directly to the Chief Executive Officer of the Company (the “CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position hereunder. In the event that the Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination provided that the Executive otherwise remains employed under the terms of this Agreement.

  • Contractor’s Responsibilities Unless stated specifically to the contrary in the tender with full supporting explanations, the contractor will be deemed to have concurred as a practical manufacturer with the design and layout of the works as being sufficient to ensure reliability and safety in operation, freedom from undue stresses and satisfactory performance in all other essentials as a working material.

  • Contractor Responsibilities 19.1. Contractor shall perform national criminal history checks for Ohio, Indiana, and Kentucky, and 10-panel drug screening tests on all prospective employees performing work under this RFP or coming onto a CMHA property and any resulting contract and provide summaries of the results to the Authority if requested. For the purposes of this section, the term “employees” includes contractor. Prospective employees whose criminal background check discloses a misdemeanor or felony involving crimes of moral turpitude, sexual offenses or harm to persons or property shall not be employed to perform work under this RFP or any resulting contract. Contractor is required to perform drug screening of all employees and to ensure acceptable test results. Criminal history and drug screening checks will be completed at the sole expense of the contractor. Any employee of the Contractor suspected of being under the influence of drugs and or alcohol will be reported to the appropriate personnel at CMHA and/or other local law enforcement. If the employee is determined to be under the influence of drugs or alcohol in any form or manner, or believed by proper authority to be dealing in illicit sale of alcohol or drugs they will be removed and shall not be allowed to return to any job site on the Authority’s property. The Contractor’s contract may be suspended and/or terminated should such a situation occur or if the Contractor fails to submit results pursuant to this section. 19.1.1. If CMHA requests additional drug screening, the test shall be performed within 24 hours and the summary shall be sent directly to CMHA from the testing facility. 19.2. Contractor(s) shall provide uniforms and ID Badges identifying Contractor for all employees working on CMHA’s properties. No employees will be allowed on CMHA’s properties out of uniform and without his/her ID badge on his/her person. Contractor(s) must submit a picture of the uniform and a sample of his/her ID badge if requested by CMHA. 19.3. Contractor’s personnel shall be neat and conduct all work in a professional and efficient manner. If any employee of Contractor is deemed unacceptable by CMHA, Contractor shall immediately replace such personnel with an acceptable substitute to CMHA. 19.4. Contractor(s) shall practice acceptable safety precautions so as not to cause harm to any persons or property while performing services under this RFP or any resulting contract. Contractor(s) shall follow industry safety standards, and use only industry approved safety equipment in accordance with the manufacturer’s specifications in the performance of all duties. 19.5. Contractor(s) shall pay all of its employees, including any and all approved Sub-Contractors, at least the legal minimum wages as determined by the United States Department of Labor and the United States Department of Housing and Urban Development and Department of Labor Prevailing Wage. Wage Determinations can be accessed via the Department of Labor website, xxx.xxxx.xxx. 19.6. Upon completion of the work, Contractor(s) shall clean up the area where the work was performed and Contractor(s) shall remove any debris generated by the products and/or services at CMHA premises. At no time, will Contractor(s) discard debris into any CMHA refuse container. 19.7. Contractor(s) shall clearly mark all work areas that might reasonably be expected to endanger the health and safety of residents, guests, or any other persons. Contractor(s) will provide such signs, markers and barricades as required to identify all work areas and minimize inherent dangers. 19.8. The contractor shall be responsible for notifying CMHA immediately of any damages (i.e. fire, container leaking) deemed to be a health or safety hazard whether the damage is caused by the contractor or other means. 19.9. The Contractor shall be responsible for safeguarding all CMHA property provided for Contractor use. At the close of each workday, CMHA facilities, property and materials shall be inspected and secured.

  • Client’s Responsibilities (a) Client agrees to advise Consultant regarding Client's Project requirements and to provide all relevant information, surveys, data and previous reports accessible to Client which Consultant may reasonably require. (b) Client shall designate a Project Representative to whom all communications from Consultant shall be directed and who shall have limited administrative authority on behalf of Client to receive and transmit information and make decisions with respect to the Project. Said representative shall not, however, have authority to bind Client as to matters of governmental policy or fiscal policy, nor to contract for additions or obligations exceeding a value which is the lesser of $5000 or 5% of the maximum contract price. (c) Client shall examine all documents presented by Consultant, and render decisions pertaining thereto within a reasonable time. The Client's approval of any drawings, specifications, reports, documents or other materials or product furnished hereunder shall not in any way relieve Consultant of responsibility for the professional adequacy of its work. (d) Client shall perform its obligations and render decisions within a reasonable time under the circumstances presented. Based upon the nature of Client and its requirements, a period of 14 days shall be presumed reasonable for any decision not involving policy decision or significant financial impact, when all information reasonably necessary for Client to responsibly render a decision has been furnished. A period of 46 days shall be presumed reasonable for Client to act with respect to any matter involving policy or significant financial impact. The above periods of presumed reasonableness shall be extended where information reasonably required is not within the custody or control of Client but must be procured from others.
