Customer Rights and Responsibilities. 4.1. The Customer shall at all times comply with the AUP and shall procure that all Authorised Users do the same. 4.2. The Customer must at all times ensure that competent staff are suitably trained to manage and use the Service, and are aware of its technical limitations and procedures. 4.3. The Customer may not allow the Service to be repaired, serviced or otherwise attended to except by the Supplier’s staff. 4.4. The Customer shall maintain adequate security measures to safeguard the Services from access or use by any unauthorised person. 4.5. Except to the extent and in the circumstances expressly permitted by applicable law, the Customer shall not alter, modify, adapt or translate the whole or any part of the Product in any way nor permit the whole or any part of the Product to be combined with or become incorporated in any other computer programs nor decompile, disassemble or reverse engineer the same nor attempt to do any such things. Notwithstanding the above, all rights to any modifications to the Product shall belong to the Supplier and the Customer shall do all things necessary to vest such rights in the Supplier. 4.6. In relation to the Authorised Users, the Customer undertakes that: 4.6.1. the maximum number of Authorised Users that it authorises to access and use the Services shall not exceed the number of User Subscriptions it has purchased in relation to the Product from time to time; 4.6.2. it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Services; 4.6.3. each Authorised User shall keep a secure password for his use of the Services, that such password shall be changed no less frequently than monthly and that each Authorised User shall keep his or her password confidential; 4.6.4. it shall permit the Supplier to audit the Services in order to establish the name and password of each Authorised User and/or that the maximum number of Authorised Users that the Customer has authorised to access and use the Services does not exceed the number of User Subscriptions it has purchased for a Product. Such audits may be conducted no more than once per quarter, at the Supplier's expense, and this right shall be exercised with reasonable prior notice, in such a manner as not to substantially interfere with the Customer's norm...

Customer Rights and Responsibilities. 2.1 Subject to the restrictions set out in clause 2.2 and the other terms and conditions of this Agreement, from the Trial Start Date the Service Provider grants to the Customer a non- exclusive, non-transferable right to permit the Users to Use the Apps, Service, Content and the Documentation during the Term to: 2.1.1 download, install and use the Apps on Devices subject to this Evaluation Trial Agreement; 2.1.2 receive and use any free supplementary software code or update of the Apps incorporating “patches” and corrections of errors as may be provided by the Service Provider from time to time; 2.1.3 access the Service; 2.1.4 download, view and use the Documentation; and 2.1.5 copy, modify, and use the Content (excluding Third Party Content) either alone or in combination with User Content, in each case solely for the Purpose. 2.2 In relation to the Users, the Customer undertakes that: 2.2.1 the maximum number of Users that it authorises to access and Use the Apps, Service, Content and the Documentation shall not generally exceed the number of Users set out in the Lt Trial Form; 2.2.2 each User shall keep a secure password for the User's Use of the Apps, Service, Content and Documentation and shall keep such password confidential; and 2.2.3 it shall ensure no Users under the age of 13 years access the Apps or Service. 2.3 Without limiting the above in any way, the Customer (and the Customer shall procure that the User) must not: 2.3.1 use the Apps or the Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Agreement or any Terms of Service, or act fraudulently or maliciously, for example, by using another User's account, or by hacking into or inserting Viruses into the Apps, any Service or any operating system; 2.3.2 infringe the Service Provider's Intellectual Property Rights or those of any relevant licensor or any third party in relation to its use of the Apps or any Service; 2.3.3 transmit any material that is defamatory, offensive or otherwise objectionable in relation to its use of the Apps or any Service; 2.3.4 use the Apps or any Service in a way that could damage, disable, overburden, impair or compromise the Service Provider's systems or security or interfere with other users; 2.3.5 collect or harvest any information or data from any Service or Service Provider's systems, except for User Content or Content which the User has obtained written permission from the relevant party to use; 2.3.6 attempt to...

You agree that the use of your Access ID and Password will have the same effect as your signature, authorizing the transactions. You must notify us immediately if you suspect that another person has improperly obtained use of your Electronic Access ID and/or password. You must also notify us if someone has transferred or may transfer money from your bank account without your permission, or if you suspect any fraudulent activity related to your account. You should only reveal your account number to legitimate entities for purposes you authorize. Stop pays will be processed the same day as long as they are received before 4:00 p.m. EST. WE WILL NOT BE LIABLE: If you, or anyone you allow, supply any incorrect or incomplete information that affects said transaction. The bank uses a computer system to check for stop payments. If you do not give the bank the exact amount of the check and the exact check number, the bank will not identify the proper check and the check will not be stopped. We will not be liable if circumstances beyond our control (such as fire, flood, or improper transmission) keep us from receiving the stop payment order, despite reasonable precautions taken by us, or if any electronic terminal, telecommunications device, or any part of the electronic system is not working properly. Stop payments on ACH/EFT items cannot be placed electronically. To release a Stop Payment that was placed electronically, you must sign a release form at one of our offices. Please contact your local branch office for further information on these matters. You agree that unless your stop payment order is received by the bank within a reasonable time for the bank to act on your order prior to final payment of the check, the bank will not be responsible for stopping payment.
