PROFESSIONAL OBLIGATION. The primary duty of bargaining unit members is to discharge the duties and responsibilities set forth in their official job description in an effective manner and in the way that is conducive to carrying out the overall mission of the College. However, the College may in its discretion deploy any unit member to perform designated unit-covered duties and responsibilities not explicit in their current job description but for which they are reasonably qualified by having met the qualifications for their current position. This shall not be construed to impact the ability of a unit member to act in higher unit and/or non-unit capacities provided that the other contract provisions and past practices are observed, including the payment of additional compensation as negotiated at time of assignment.

Job Descriptions Non-teaching faculty will be provided with a job description for their position. Should the job description include the concept of other duties as assigned, such other duties shall be construed to mean only those other duties that are related to the job description. Excepting Librarians and such other classifications of employees as have heretofore been otherwise scheduled, the normal schedule for non-teaching faculty shall be on-campus availability Monday through Friday for seven (7) consecutive hours each day, exclusive of meal periods. Employees shall be allowed to request to work inconsecutive hours when work obligations or other events, at the request of a supervisor, require them to work earlier or later in the day, provided they fulfill the required total hours per day. Adjustments to the schedule, including inconsecutive work hours and, vacation (fiscal-year obligation only) must be approved by the appropriate College Administrator. PROFESSIONAL OBLIGATION. A. Unit members may be assigned to fulfill their professional obligation at the Utica campus, the Rome campus, or off-campus sites. Unit members who have professional obligations (excluding overload) at more than one (1) site on the same day and who use their own motor vehicles for transportation shall be reimbursed at the federal mileage rate for travel between work sites. PROFESSIONAL OBLIGATION. At the College, the primary professional obligation of a faculty member is teaching. Teaching faculty members also have other professional responsibilities, including the development of curriculum (within their area of special expertise), advising students, orientation and registration of students, participation in College committees, keeping regular posted office hours scheduled at times convenient for students and faculty, participation in traditional functions which have unique significance, and ongoing professional activity in their areas of artistic/scholarly expertise. The nature of an educational institution is such that the proper performance of the duties of the teaching faculty will extend beyond classroom responsibilities and cannot be restricted to a fixed amount of time. Therefore, this Agreement shall not be interpreted in such a fashion as either to require a specific number of hours of service or to give faculty members the right to additional compensation based on the number of hours of service performed, except as elsewhere provided for in this Agreement.

  • Additional Obligations The Company will use its best efforts to (a) register and qualify the Registrable Securities covered by a Registration Statement under such other securities or blue sky laws of such jurisdictions as each Investor who holds (or has the right to hold) Registrable Securities being offered reasonably requests, (b) prepare and file in those jurisdictions any amendments (including post-effective amendments) and supplements to such registrations and qualifications as may be necessary to maintain their effectiveness during the Registration Period, (c) take any other actions necessary to maintain such registrations and qualifications in effect at all times during the Registration Period, and (d) take any other actions reasonably necessary or advisable to qualify the Registrable Securities for sale in such jurisdictions. Notwithstanding the foregoing, the Company is not required, in connection such obligations, to (i) qualify to do business in any jurisdiction where it would not otherwise be required to qualify but for this Section 3.4, (ii) subject itself to general taxation in any such jurisdiction, (iii) file a general consent to service of process in any such jurisdiction, (iv) provide any undertakings that cause material expense or burden to the Company, or (v) make any change in its charter or bylaws, which in each case the Board of Directors of the Company determines to be contrary to the best interests of the Company and its stockholders.

  • Unconditional Obligations This Guaranty is a guaranty of payment and performance and not of collection. Except as provided in Section 21, this Guaranty is an absolute, unconditional and irrevocable guarantee of the full and prompt payment and performance when due of all of the Guaranteed Obligations, whether or not from time to time reduced or extinguished or hereafter increased or incurred, and whether or not enforceable against DB Contractor. Guarantor covenants that this Guaranty will not be fulfilled or discharged, except by the complete payment and performance of the Guaranteed Obligations, whether by the primary obligor or Guarantor under this Guaranty. Without limiting the generality of the foregoing, Guarantor’s obligations hereunder will not be released, discharged or otherwise affected by (a) any change in the Contract Documents or the obligations thereunder, or any insolvency, bankruptcy or similar proceeding affecting DB Contractor, Guarantor or their respective assets, and (b) the existence of any claim or set-off which DB Contractor has or Guarantor may have against TxDOT, whether in connection with this Guaranty or any unrelated transaction, provided that nothing in this Guaranty will be deemed a waiver by Guarantor of any claim or prevent the assertion of any claim by separate suit. This Guaranty will in all respects be a continuing, absolute and unconditional guaranty irrespective of the genuineness, validity, regularity or enforceability of the Guaranteed Obligations or any part thereof or any instrument or agreement evidencing any of the Guaranteed Obligations or relating thereto, or the existence, validity, enforceability, perfection, or extent of any collateral therefor or any other circumstances relating to the Guaranteed Obligations, except as provided in Section 21.

  • Professional Dues The school district will pay the annual dues for the Superintendent’s membership in the American Association of School Administrators, Association for Supervision and Curriculum Development, and Nebraska Council of School Administrators. The Superintendent’s membership in other professional organizations will be considered annually and may be approved at the discretion of the school board.

  • Professional Duties Professional duties defined in this Article identify the responsibilities performed by full-time faculty. Duties specific to individual programs shall be determined by the supervising administrator.

  • Financial Obligation While this contract is in effect, the student is required to meet the financial obligations of this contract. Housing fees are charged through the Account Services Office. Students must pay their accounts per the policies of that office.
