Shipping Conditions. (b) Subject to the terms and conditions of this Agreement, Codexis shall accept such Firm Orders from Customer for each Codexis Enzyme; provided, that Codexis shall not be obligated to accept a Firm Order for Codexis Enzyme for any particular Quarter to the extent that the quantity of Codexis Enzyme ordered for delivery in such Quarter exceeds [***] of the quantity of Codexis Enzyme forecasted for such month in accordance with Section 3.4 (Forecasts); provided, however, that Codexis shall use commercially reasonable efforts to fulfill orders for such excess quantities from available supplies, taking into account Codexis’ own use, distribution and other obligations. Codexis shall communicate to Customer any potential manufacturing or supply challenges of which it is aware at the time of receipt of the Firm Order, which are reasonably expected to impact Codexis’ ability to fulfill such Firm Order. If food products are not transported in an appropriately controlled environment, spoilage (e.g. microbial growth, toxin formation) can occur. Damaged product can be contaminated (e.g. foreign material, microorganisms). How can you meet the standard? • Ensure that temperatures of conveyance vehicles are appropriate to prevent or minimize food spoilage. • Ensure that refrigerated conveyance vehicles are equipped with temperature measuring devices to allow temperature monitoring. • Implement other necessary controls (e.g. humidity) as appropriate to prevent or minimize food spoilage. • Ensure the temperature of the product is appropriate to prevent or minimize food spoilage. Shipping Conditions. The transport of the Device to the Buyer’s site stated in Article III hereof shall be provided by the Seller under the terms of DAP Prague Incoterms® 2020 and shall be by road haulage truck and the Seller shall notify the Buyer in writing about the date of dispatch of the Device from the manufacturing plant. At the same time, the Seller will give the Buyer the licence plate number of the give vehicle as well as the names and surnames of the crew, at the latest 3 working days before delivery of the Device to the Buyer. The shipment of the Device must be complete and must comply with deadline requirements specified in Article IV (1) and (3) hereof. Partial deliveries are not permitted. The Device must be shipped in a packaging unit sufficiently protecting the Device from damages, destruction or theft during the shipping. The parts, whose size does not exceed the size of the transport lift with a official load capacity of 3500 kg and dimensions: width 1750 mm, height 1950 mm and length/depth 2700 mm, shall be preserved and packed on pallets and covered with foil. The pallets will be prepared for unloading with a forklift and their centre of gravity will always be marked. The packaging of the Device or the Device alone must also alow to move the Device in other position (e.g. laying on side or back) in necessary cases. If the Reseller ships to its Customers EVI and/or FCB Products in other than master carton quantities, then the Reseller is responsible to fully and appropriately package each individual Product to protect it from shipping and handling damage.

Shipping Conditions. Substitutions will not be accepted. The Goods must be shipped completely by the date requested but must not be shipped more than one week in advance of the time or times specified herein, without Buyer’s prior approval. When more than one shipment is made against any Order, indicate “Final Shipping” on shipping papers and invoice accompanying the last shipment in the Order. Seller shall not ship excess quantities without Buyer’s prior approval. Except as otherwise provided herein, Buyer shall not be obligated to accept untimely, excess or under shipments and such shipments in whole or in part may, at Buyer’s option, be returned to Seller, or held for disposition at Seller’s expense and risk. Seller’s invoice shall describe the items, state the purchase Order number and be attached to the original bill of lading or other shipping receipt.

If Landlord or Landlord's Broker has provided a Property Information Sheet or other Disclosure Statement regarding the Property, a copy is attached as an exhibit to the Lease.
