Business Management Services. (a) The Manager shall supervise the Portfolios' business and affairs and shall provide such services reasonably necessary for the operation of the Portfolios as are not provided by employees or other agents engaged by the Portfolios; provided, that the Manager shall not have any obligation to provide under this Agreement any direct or indirect services to the Portfolios' shareholders, any services related to the distribution of the Portfolios' shares, or any other services which are the subject of a separate agreement or arrangement between the Portfolios and the Manager. Subject to the foregoing, in providing business management services hereunder, the Manager shall, at its expense, (1) coordinate with the Portfolios' Custodian and monitor the services it provides to the Portfolios; (2) coordinate with and monitor any other third parties furnishing services to the Portfolios; (3) provide the Portfolios with the necessary office space, telephones and other communications facilities as are adequate for the Portfolios' needs; (4) provide the services of individuals competent to perform administrative and clerical functions which are not performed by employees or other agents engaged by the Portfolios or by the Manager acting in some other capacity pursuant to a separate agreement or arrangement with the Portfolios; (5) maintain or supervise the maintenance by third parties of such books and records of the Fund as may be required by applicable Federal or state law; (6) authorize and permit the Manager's directors, officers and employees who may be elected or appointed as trustees or officers of the Fund to serve in such capacities; and (7) take such other action with respect to the Fund, after approval by the Fund, as may be required by applicable law, including without limitation the rules and regulations of the SEC and of state securities commissions and other regulatory agencies.

Business Management Services. Subject to the direction and control of the Board of Trustees of the Trust, the Manager hereby agrees that it shall provide the following business management services to the Trust and the Funds, to the extent that such services are not otherwise already being provided to the Trust and the Funds by another party that has been engaged by the Trust for the provision of the subject services:

Subject to the foregoing, in providing business management services hereunder, the Manager shall, at its expense, (1) review the activities of each Fund's investment adviser to ensure that each Fund is operated in compliance with the Fund's investment objective and policies and with the 1940 Act; (2) coordinate with the Funds' Custodian and Transfer Agent and monitor the services they provide to the Funds; (3) coordinate with and monitor any other third parties furnishing services to the Funds; (4) provide the Fund with the necessary office space, telephones and other communications facilities as are adequate for the Funds' needs; (5) provide the services of individuals competent to perform administrative and clerical functions which are not performed by employees or other agents engaged by the Funds or by the Manager acting in some other capacity pursuant to a separate agreement or arrangement with the Funds; (6) maintain or supervise the maintenance by third parties of such books and records of the Company as may be required by applicable Federal or state law; (7) authorize and permit the Manager's directors, officers and employees who may be elected or appointed as directors or officers of the Company to serve in such capacities; and (8) take such other action with respect to the Company, after approval by the Company, as may be required by applicable law, including without limitation the rules and regulations of the SEC and of state securities commissions and other regulatory agencies.
Business Management Services. Business management services, including accounting, budgeting, payroll, liability insurance, contracted services, and supervisorial oversight will be performed by Ednovate staff and school staff working in conjunction with a qualified business services provider who provides, training and support and performs tasks requested by the school. The Operations Manager, working with the school Principal, will be responsible for onsite financial management and will work with the school’s designated business services provider to establish protocols and procedures for business management.

Development and implementation of strategies, processes, and policies for financial planning and forecasting, affiliate transactions, corporate compliance, and business activities. • Corporate Real Estate o Corporate Real Estate services include identifying the location for office space and material yards; assisting with the leasing of such space; planning office space and furniture use allocation; preparation of requests for proposal; and assistance with construction build-out of Company’s premises. • Environmental o Environmental Services include providing direction and management for environmental analysis and studies, reviews and preparation of permit applications, consulting with agencies, negotiating permit conditions, and supporting public outreach activities. Environmental Services include functioning as the corporate subject matter expert for environmental issues and the environmental aspects of the project development process. As such, Environmental Services include maintaining environmental assurance to corporate governance policies through regular review of the Company’s activities, practices, processes, and indicators. Environmental Services also include providing other environmental support functions, such as, on-site reviews and inspections, as needed. • Human Resources o Human Resources (HR) services include compensation, recruiting, hiring and terminating employees, benefits, employee relations, and development functions. These will include services such as establishing and maintaining personnel data, and developing career paths. HR services include maintaining compliance with Xxxxxxxx-Xxxxx Section 404. HR services also include performing any other employee related function and human resources support as needed. • Information Management (IM) o IM services include implementing and maintaining all computer applications required by the Company to conduct its business. Services include hardware installation and support, software application upgrades, cyber-security, database structure and controls, desktop support and other computer services as needed. • Legal o Legal services include providing legal advice and contract support for regulatory, financial, corporate oversight, labor and employment, real estate transactions, and disputes and damages arising during the course of the Company’s business. • Procurement/Integrated Supply Chain (ISC) o Pr...
