Business Management Services. (a) The Manager shall supervise the Portfolios' business and affairs and shall provide such services reasonably necessary for the operation of the Portfolios as are not provided by employees or other agents engaged by the Portfolios; provided, that the Manager shall not have any obligation to provide under this Agreement any direct or indirect services to the Portfolios' shareholders, any services related to the distribution of the Portfolios' shares, or any other services which are the subject of a separate agreement or arrangement between the Portfolios and the Manager. Subject to the foregoing, in providing business management services hereunder, the Manager shall, at its expense, (1) coordinate with the Portfolios' Custodian and monitor the services it provides to the Portfolios; (2) coordinate with and monitor any other third parties furnishing services to the Portfolios; (3) provide the Portfolios with the necessary office space, telephones and other communications facilities as are adequate for the Portfolios' needs; (4) provide the services of individuals competent to perform administrative and clerical functions which are not performed by employees or other agents engaged by the Portfolios or by the Manager acting in some other capacity pursuant to a separate agreement or arrangement with the Portfolios; (5) maintain or supervise the maintenance by third parties of such books and records of the Fund as may be required by applicable Federal or state law; (6) authorize and permit the Manager's directors, officers and employees who may be elected or appointed as trustees or officers of the Fund to serve in such capacities; and (7) take such other action with respect to the Fund, after approval by the Fund, as may be required by applicable law, including without limitation the rules and regulations of the SEC and of state securities commissions and other regulatory agencies.
(b) The Manager may retain third parties to provide these services to the Fund, at the Manager's own cost and expense. The Manager shall make periodic reports to the Fund's Board of Trustees on the performance of its obligations under this Agreement, other than services provided to the Fund by third parties retained in accordance with the previous sentence.
Business Management Services. Subject to the direction and control of the Board of Trustees of the Trust, the Manager hereby agrees that it shall provide the following business management services to the Trust and the Funds, to the extent that such services are not otherwise already being provided to the Trust and the Funds by another party that has been engaged by the Trust for the provision of the subject services:
(a) supervising all aspects of the management and operations of the Trust, which shall be deemed to include the monitoring of the Trust’s relationships with those third-party service providers that may be retained from time to time by the Trust, including, but not necessarily limited to, such custodians, transfer agents, distributors (including any dealers utilized by such distributors), administrators, accounting agents, dividend disbursing agents, securities lending agents, independent registered public accounting firms, law firms, and such other agents and service providers as may be engaged to provide services to the Trust;
(b) providing such officers to the Trust as are deemed necessary and appropriate for carrying out the executive functions of the Trust;
(c) supervising the preparation of such periodic reports to shareholders of the Funds that are required under the 1940 Act;
(d) supervising compliance by each of the Funds with the recordkeeping requirements imposed under the 1940 Act and the rules and regulations thereunder, and any similar applicable state laws, rules or regulations with respect to recordkeeping;
(e) monitoring the Trust’s compliance with the provisions of Rule 38a-1 under the 1940 Act and either providing the Trust with or procuring for the Trust the services of a Chief Compliance Officer in accordance with Rule 38a-1, in the event so requested;
(f) assisting with providing necessary and appropriate services to the Board of Trustees of the Trust, including, but not necessarily limited to, assistance with: (i) the preparation of certain Board meeting materials for use by the members of the Board and (ii) liaisoning with the members of the Board in order to facilitate the Board meeting and planning process and assisting with Board management functions;
(g) assisting with the procurement of such insurance coverage for the Trust as is required under the 1940 Act and assisting with the procurement of such insurance coverage as the Board of Trustees may deemed necessary and advisable for the ongoing protection of the interests of the Board members and ...

Business Management Services. Business management services, including accounting, budgeting, payroll, liability insurance, contracted services, and supervisorial oversight will be performed by Ednovate staff and school staff working in conjunction with a qualified business services provider who provides, training and support and performs tasks requested by the school. The Operations Manager, working with the school Principal, will be responsible for onsite financial management and will work with the school’s designated business services provider to establish protocols and procedures for business management.
Business Management Services. 2.2.1 Target: provide management and staff training services to Party A so as to enhance the professional management and eventually promote the achievement of Party A’s research, operations and sales.
2.2.2 Contents of Services: training of Party A’s staff
(1) The training shall be conducted once every quarter within the entrusted term, and Party B shall notify Party A of the timetable, contents of training sessions and lectures on of training fifteen (15) days prior to the training. In the event that Party A’s staff can not take part in the training and Party A can not designate another employee to attend the training, Party A shall deliver a written notice five (5) days prior to such training to Party B for such absence, otherwise it shall be treated as Party A’s staff having attended training class and Party A shall pay the relevant training fees. Both Party A and Party B shall be entitled to adjust the frequency of the training according to the business operation of Party A.

Development and implementation of strategies, processes, and policies for financial planning and forecasting, affiliate transactions, corporate compliance, and business activities. • Corporate Real Estate o Corporate Real Estate services include identifying the location for office space and material yards; assisting with the leasing of such space; planning office space and furniture use allocation; preparation of requests for proposal; and assistance with construction build-out of Company’s premises. • Environmental o Environmental Services include providing direction and management for environmental analysis and studies, reviews and preparation of permit applications, consulting with agencies, negotiating permit conditions, and supporting public outreach activities. Environmental Services include functioning as the corporate subject matter expert for environmental issues and the environmental aspects of the project development process. As such, Environmental Services include maintaining environmental assurance to corporate governance policies through regular review of the Company’s activities, practices, processes, and indicators. Environmental Services also include providing other environmental support functions, such as, on-site reviews and inspections, as needed. • Human Resources o Human Resources (HR) services include compensation, recruiting, hiring and terminating employees, benefits, employee relations, and development functions. These will include services such as establishing and maintaining personnel data, and developing career paths. HR services include maintaining compliance with Xxxxxxxx-Xxxxx Section 404. HR services also include performing any other employee related function and human resources support as needed. • Information Management (IM) o IM services include implementing and maintaining all computer applications required by the Company to conduct its business.
