Buyer’s Responsibilities. 14.1 All sites at which the Products shall be delivered or installed shall be prepared by Buyer in accordance with Nortel's standards, including, without limitation, environmental requirements. 14.2 Buyer shall provide Nortel-designated personnel access to the Products during the times deemed necessary by Nortel to install, maintain and service the Products in accordance with Nortel's obligations. Nortel personnel shall comply with Buyer's reasonable site and security regulations, provided Nortel receives written notice of any such regulations reasonably in advance of the arrival of Nortel's personnel at the site. 14.3 Buyer shall provide reasonable working space and facilities, including heat, light, ventilation, telephones, electrical current, trash removal and other necessary utilities for use by Nortel-designated maintenance personnel, and adequate secure storage space, if required by Nortel, for Products and materials. Buyer shall also provide adequate security for the Products while on Buyer's site. 14.4 Buyer shall obtain all necessary governmental permits applicable to Buyer in connection with the installation, operation, and maintenance of Products furnished hereunder, excluding any applicable permits required in the normal course of Nortel's doing business. 14.5 Any information which Nortel reasonably requests from Buyer and which is necessary for Nortel to properly install or maintain the Products shall be provided by Buyer to Nortel in a timely fashion and in a form reasonably specified by Nortel.

Buyer’s Responsibilities. In conducting any inspections, investigations or tests of the Property, Buyer shall (i) not unreasonably disturb the tenants or interfere with their use of the Property; (ii) not materially or unreasonably interfere with the operation and maintenance of the Property; (iii) not materially damage any part of the Property or any personal property owned or held by any tenant or any third party; (iv) not injure or otherwise cause bodily harm to Seller or its agents, guests, invitees, contractors and employees or any tenants or their guests or invitees; (v) comply in all material respects with all Applicable Laws; and (vi) not permit any Liens to attach to the Property by reason of the exercise of its rights hereunder.

Buyer’s Responsibilities. 8.1 Buyer shall have sole responsibility for operating all appropriate aircraft fuelling switches, valves and pre-set quantities gauges. 8.2 In the event Buyer requests Seller to perform the services as described in Article 8.1, or other delivery services in addition to those listed as normal delivery services in the Agreement, and Seller agrees to perform same, Buyer agrees to indemnify, defend and save harmless Seller from and against any and all claims, demands, proceedings, damages and liabilities for loss of or damage to property or to the environment or for death of or injury to any person and against all associated direct costs (including reasonable attorney’s fees) losses and expenses, arising out of or related to Seller’s action in performing or omission to perform the requested services, except to the extent caused by the negligence or wilful misconduct of Seller.
Buyer’s Responsibilities. 5.1 You shall provide (and procure that your personnel and any of your other suppliers provide), in a timely manner, such cooperation, information, documents and access to personnel, premises, systems and facilities, as set out in the Order Form or as we reasonably need to provide the Services or we request in order to obtain all necessary licences and permissions. We shall endeavour to set out such requirements in the Order Form, but you acknowledge that such details may not be exhaustive. 5.2 In order to enable us to provide the Services, you shall inform us of any changed circumstances or information that may have an impact on our Services and ensure that the personnel with whom we deal have the required skills and information. You shall enter into any notifications, registrations and disclosures required of you by Law. 5.3 We may rely on any instructions, requests or information supplied, orally or in writing, by any person whom we reasonably believe to be authorised by you to communicate with us for the purposes of the Call-Off Contract. We may at your request send documents to an electronic storage facility hosted or controlled by you or at your direction, in which event you shall be responsible for security and confidentiality at such facility. 5.4 You shall not, directly or indirectly, solicit the employment of any Supplier Staff involved in performing the Services, during performance or for a period of 3 months following their completion or following termination of the Call-Off Contract, without our prior written consent. This prohibition shall not prevent you at any time from running recruitment advertising campaigns nor from offering employment to any Supplier Staff who may respond to any such campaign. 5.5 In these Supplier Terms "Beneficiaries" means any person identified in the Order Form or Call- Off Terms as a beneficiary of the Services or of any Deliverable other than you, and on whose behalf or for whose benefit you enter into the Call-Off Contract or in respect of whom we subsequently agree, at your request, to accept responsibility or liability towards in respect of the Deliverables or the Services (and Beneficiary shall be interpreted accordingly). You agree to the provisions of the Call-Off Contract on your own behalf and as agent for any other Beneficiaries.
Buyer’s Responsibilities. 7.1. Buyer understands and acknowledges that HireVue is solely a technology platform provider and does not participate in the interview, selection, or hiring of candidates. Accordingly, it is Buyer’s sole responsibility to comply with all laws applicable to Buyer’s use of the Service, including without limitation all applicable employment and hiring laws and regulations. HireVue shall have no liability related to Buyer Material presented to Buyer’s Authorized Users or End Users (other than the obligation to display such Buyer Material as instructed by Buyer and to retain Buyer Data during the Term for the retention window specified by Buyer), or for Buyer’s record keeping obligationsunless expressly assumed by HireVue pursuant to this Agreement. 7.2. Buyer is responsible for providing and maintaining adequate facilities, computer equipment, internet connections, connectivity and firewall access required for the use of the Services. HireVue Subscription Services include the ability for an End User to request additional time to complete a video interview and include a screen whereby Buyer may present an End User with instructions for requesting other accommodations. In order for HireVue to take any action other than offering additional time requested by the End User via the Subsciption Services, Buyer must provide HireVue with End User facing instructions for the End User to request accommodations (other than additional time) for inclusion in the Services and either (i) the End User must inform HireVue that they require an alternative accommodation via the Services; or (ii) Buyer must inform HireVue that such End User requires accommodations available in the Services. In all other cases, Buyer is responsible for providing all accommodations to an End User. 7.4. While the Platform contains a mechanism for collecting consent from End Users, Buyer shall be responsible for establishing the legal basis for the processing of data pertaining to Authorized Users and End Users for purposes of the Services. Buyer shall also be responsible for providing HireVue with a legally sufficient privacy notice to present to Buyer’s End Users prior to End Users’ access to the Services. 7.5. HireVue is not designed to be Buyer’s system of record for Buyer’s PHI, SPI or Special Categories of Data (as defined below).
Buyer’s Responsibilities. 7.1 The Buyer will provide the Seller and/or Delivery Agent with all such information and assistance as the Seller and/or Delivery Agent may require from time to time to perform its obligations under the Agreement. 7.2 Buyer shall have sole responsibility for operating all appropriate aircraft fuelling switches, valve, indicators and pre- set quantities gauges. 7.3 It is the Buyer’s absolute responsibility to be satisfied that its receiving aircraft has sufficient volume in tank after fuelling to complete its next scheduled flight safely. 7.4 If the Buyer requests Seller to perform the obligations as described as Buyer's responsibilities in Conditions 6 and 7, or additional obligations other that those applicable as normal Delivery obligations under the Agreement, (including determination of Fuel density, calculation of Fuel weight, operation of aircraft fuelling switches, valves and pre-set quantities gauges and defuelling procedures (including defuelling aircraft, and refuelling aircraft with the resultant Fuel) ) and Seller agrees (in writing) to perform same (the “Additional Services Indemnified Event”), Buyer shall indemnify, defend and save harmless the Seller, and/or any of its Affiliates, the Delivery Agent and /or any of its or their respective servants, agents, employees, sub-contractors, contractors and/or representatives from and against any and all claims, demands, proceedings, damages and liabilities for loss of or damage to property or for death of or injury to any person and against all associated direct costs (including reasonable attorney’s fees) losses and expenses resulting from an Additional Services Indemnified Event notwithstanding and regardless of any negligent act or omission or breach of statutory duty or regulation by the Seller and/or any of its Affiliates and/or any of its or their respective servants, agents, employees, subcontractors, contractors and/or representatives.
Buyer’s Responsibilities. 12.1 Subject to the Seller's responsibilities pursuant to paragraph 11 above, the Buyer shall provide reasonable and safe working conditions and working accommodation for the Staff. 12.2 Staff shall have access (but not exclusive access) only to such parts of the Site as are reasonably necessary for the purposes of performing the Services and to such other parts of the Site as the Buyer may expressly authorise. 12.3 Staff shall be permitted to enjoy canteen, medical, first-aid facilities, mess facilities, parking, shower rooms and lockers to the extent that such facilities are provided by the Buyer for comparable employees of the Buyer at the Site provided that:- (a) in the case of canteen facilities, no subsidy provided by the Buyer to its own employees shall be provided to Staff Members who shall be required to pay the full cost of those facilities; (b) in the case of medical or first-aid facilities, the Buyer may charge the Seller for the cost of any medical or first-aid treatment provided to a Staff Member; and (c) the Buyer shall have no liability to the Seller or any Staff Member for any loss, damage, cost, expense, injury or death resulting from any Staff Member’s use of those facilities and the Seller shall indemnify and save harmless the Buyer from and against any loss, damage, cost or expense resulting from any claim made by a Staff Member or any third party arising out of such use. 12.4 The Buyer will provide and maintain such plant, equipment, machinery, tools and materials and allow the use of such gas, electricity and water supply that is available at the Site if, and to the extent that, the same are specified in the Purchase Order and are necessary for the performance of the Services.
Buyer’s Responsibilities. BUYER shall be responsible for the rigging, hoisting, assembly and installation of the Equipment. BUYER shall also be responsible for obtaining all authorizations and permits necessary to install, operate and maintain the Equipment and for paying all associated costs necessary for or relating to installation of the Equipment. BUYER shall also be responsible for obtaining interconnection approval from the local distribution utility, including obtaining any interconnection equipment required by the local utility that is not included on the attached Bixx xf Materials, and shall be responsible for conducting any required witness or other testing of the interconnection protection functionality. BUYER shall provide UTCP with all information requested in order to comply with OSHA and other applicable Employee, Health and Safety rules and regulations, including but not limited to information relating to the energy-control procedures applicable at the Equipment site under 29 CFR 1910.147 (The control of hazardous energy (lockout/tagout)). BUYER agrees that it will, prior to UTCP’s Initial Start-up mobilization, fully install the Equipment in conformance with UTCP’s installation requirements and guidelines. UTCP shall have provided current installation instructions and specifications to BUYER within thirty (30) days after the execution of this Agreement. Upon delivery of the units of Equipment, BUYER will be provided with an installation checklist summarizing certain steps required by BUYER prior to Initial Start-Up. BUYER acknowledges that the warranties of UTCP are not supplemented or amended by any such documents. BUYER shall provide UTCP with a completed installation checklist at least five (5) business days prior to the desired and agreed upon date to start the Initial Start-up and commissioning process. Notwithstanding the foregoing, in the event that UTCP mobilizes at BUYER’s request and the preparation is not complete, BUYER shall pay for remobilization, including travel, material, equipment and labor expenses.
