Development Management Services. Manager shall act as development manager for any redevelopment of the Premises. As such, Manager shall be responsible for coordinating and facilitating the planning and performance of all construction related activities, including recommending the retention of architects, engineers and other consultants, assisting in cost estimating, advising Owner as to the selection of contractors to perform the work, and coordinating on behalf of Owner the work of such consultants and contractors.

Development Management Services. If the Advisor or one of its Affiliates provides the services described in Section 9(c) of this Agreement, it shall be entitled to the compensation described therein; however, the Advisor and its Affiliates shall not be obligated to provide such services.
Development Management Services. 2.10.1 Developer shall perform development management services in accordance with the terms of this DDA, including, without limitation, the following: 2.10.1.1 Investigation and analysis of the Property; 2.10.1.2 Scheduling and coordinating with the Project Lead; 2.10.1.3 Identification, analysis and compliance with Applicable Laws; 2.10.1.4 Processing and obtaining Entitlements; 2.10.1.5 Compliance with the terms of the Business Plan; analysis; 2.10.1.6 Risk management, including cost control and insurance 2.10.1.7 Integration with, and monitoring and facilitating design and construction of, the Great Park and other adjacent developments and infrastructure that benefit the Project, including, without limitation, the design, planning and construction by others of Marine Way; 2.10.1.8 Selection of, negotiation of contracts with, and coordination of the efforts (including scheduling) of all Consultants and Contractors throughout Phase 1 and Phase 2; 2.10.1.9 Management of the Consultants and Contractors, monitoring of the Entitlements for the purpose of facilitating the planning, design, construction and completion of the Project in a good, workmanlike and expeditious manner; 2.10.1.10 Maintenance at Developer’s offices of books and records, information, and reports of architects, appraisers, engineers, attorneys, accountants, or other professionals in any fashion relating to the Project, the Property and the Entitlements, all of which items shall at all reasonable times during normal business hours be open to the inspection of County upon at least twenty-four (24) hours’ advance notice; 2.10.1.11 Enforcing compliance with the Phase Schedules and Budgets; 2.10.1.12 Manage the preparation, implementation, and enforcement of Property-wide safety plans and procedures, including all appropriate measures to maintain safe working conditions on the Project for the public, County, Developer and construction personnel, traffic, visitors, pedestrians, and others; coordinate safety plans and procedures with City and County public safety and emergency agencies; 2.10.1.13 Timely preparing and filing, following approval by Project Lead, of any documents required for Developer to comply with its obligations hereunder; 2.10.1.14 Obtain and manage on- and/or off-site parking facilities to accommodate Developer’s employees and construction workers; and 2.10.1.15 Other services required by this DDA, the Phase Schedules and the Business Plans as requested by the Project Lead. 2...
Development Management Services manage and supervise the design, planning and development of the Buildings, including without limitation the development of building plan specifications, obtaining real property reports, surveying, environmental, soil testing and other required reports and studies, monitoring the development as required and coordinating the activities of the contractors, developing a system for monitoring costs, ensuring compliance with applicable laws and regulations, and determining when substantial completion of the development has occurred;
Development Management Services. Subject to and in accordance with the terms and conditions of this Agreement and Owner’s performance of its obligations as and when required hereunder, the Development Manager shall: (a) Monitor the status and progress of all Project design and planning activities. (b) Use commercially reasonable efforts to secure in the name of Owner necessary Governmental Approvals, provided that any conditions, or extraordinary fees or impositions not included in the Development Budget approved by Owner and attached to this Agreement as Exhibit C, that are imposed with respect to any such Governmental Approvals shall be subject to Owner’s prior written approval in Owner’s reasonable discretion. (c) Perform Owner’s obligations under each Governmental Approval after execution by all necessary parties thereof such that all conditions set forth in each Governmental Approval are satisfied. (d) Organize and administer periodic meetings with Owner and its representatives in order to review progress of the development and construction of the Project and establish direction as necessary. Such meetings shall be held weekly, or more frequently if reasonably requested by Owner. (e) Direct and oversee the preparation by the Architect of bid documents consistent with and to implement the Final Plans and Specifications and to implement Change Orders as required, such bid documents to be approved by Owner. Bid data will be assembled with supplementary information as required to permit Owner to take separate competitive bids for appropriate stages of work and all components of construction. (f) Direct and oversee the Contractor’s bidding procedures for subcontractors and subcontracts. (g) Direct and oversee Contractor’s review of subcontractor proposals and make recommendations to Owner for awarding of subcontracts. (h) Advise Owner of its obligations under each Key Document, advise Owner of actions to be taken to comply with each Key Document, and monitor compliance of Owner and the Project with the terms and conditions of each Key Document. (i) Use commercially reasonable efforts to cause the design and construction of the shell and core components of Building One, Building Two and Building Three to incorporate the LEED checklist items set forth in the attached Exhibit K (the “LEED Specifications”) in such a manner as to qualify each of such buildings for LEED certification. Development Management Services. Buyer shall manage and be responsible for the day to day implementation of the Development Plan, including coordination of all services by consultants hired pursuant to the Development Plan. Buyer is responsible for (i) filing any approved final plat of the Property, (ii) processing and diligently attempting to obtain any required zoning, rezoning or planned unit development approvals, development agreements and utility service arrangements, (iii) preparing, processing and administering plans, specifications and contracts for the construction and installation of all grading, streets, curbs, gutters, sanitary sewers, storm sewers, water facilities and infrastructure improvements contemplated by the Development Plan, and (iv) coordinating and supervising all construction activities. Buyer shall also be responsible for forming and operating the homeowner association, if any, as contemplated by the Development Plan, and staffing positions on the board of directors and officers of the association, as necessary, until such time as control of the association passes to the residents. Buyer may appoint one-half of the members of the architectural committees of the associations. Buyer agrees that its right to appoint architectural committee representatives pursuant to this section shall expire concurrently with the termination of Buyer's right to purchase the Property pursuant to this Agreement, whether as a result of expiration of the Option Period, Buyer's default or otherwise. Effective upon the expiration or termination of Buyer's purchase rights under this Agreement, Buyer, on behalf of itself and its appointed Committee members, hereby resigns all positions on the association committees and agrees that the vacancies thereby created may be filled by Seller.
Development Management Services. The development services set out in Schedule 3 are a more definitive list of what is normally required of the management role in a development project. The services are of an advisory, monitoring and supervisory nature. They should be distinguished from development obligations of a construction manager which have directly to do with day-to-day conduct of development operations as such.

Development Management Services. Where the Investment Manager considers appropriate, in liaison with any appointed development manager: (a) Prepare any proposals for the refurbishment of the Property or any relevant part of it and make any amendments or carry out any further work; (b) Appoint architects, surveyors and other members of the professional team; (c) Co-ordinate and monitor the performance of the professional team throughout the period of refurbishment and procure the performance by such team of their obligations under their appointments; (d) Monitor any variations in the agreed programme and budget for the refurbishment throughout the period of the refurbishment and the progress of works generally; (e) Use reasonable endeavours to procure that all statutory requirements and regulations applicable to any refurbishment/development on a Property are complied with; (f) Formulate proposals to maintain and enhance the value of a Property, which includes but not limited to: (i) engaging in discussions with the relevant local authorities/state bodies in relation to zoning pertaining to a Property; (ii) formulating applications to amend the current planning permissions granted in respect of a Property and conducting feasibility studies as part of this process; (iii) any other actions deemed appropriate by the Investment Manager in the context of maintaining and enhancing the value and marketability of a Property; (g) Engage in discussions with third party owners of neighbouring schemes with a view to enhancing the overall value of a Property; (h) Provide and maintain, where relevant, such reasonable flood defences and take such reasonable flood protection measures in respect of a Property as the Investment Manager acting as a prudent and experienced investment adviser considers desirable, appropriate and/or necessary; and (i) actively manage, review and monitor the performance of any Managing Agent. (j) Other such development management services relating to the development or conversion of a whole Property as are agreed between the Investment Manager and the relevant member of the Group from time to time, or as considered appropriate by the Investment Manager.

For so long as this Option remains in effect, Buyer shall appoint one-third and Seller shall appoint two-thirds of the members of the architectural committees of the associations.
