Officer Release Time. Upon request, up to two employees holding elected offices in ACEA or its affiliates will be granted personal leave without pay for the duration of their terms in office. The Association agrees to reimburse the Board for the costs of the continuation of the existing payroll service. Under unusual circumstances, such leave may be on a less than full-time basis when arrangements are made to the mutual satisfaction of the Superintendent and the Association.

Officer Release Time. Upon request the chapter chairperson shall be released for one (1) work day every two (2) weeks for the purpose of investigation and processing grievances and handling other Union matters pertaining to the MISD, subject to the following: A. The Union shall reimburse the MISD for the salary of the chapter chairperson for each release day provided in accordance with this provision. B. Each release day shall be scheduled in advance. The chapter chairperson shall provide advance notice to his/her supervisor of the use of a release day, pursuant to this provision, at least two (2) days prior to such use. C. Said employee(s) and the ACEA shall enter into an indemnification and hold harmless agreement with the Board agreeing to indemnify and hold harmless the Board, its agents and employees, from and against any and all claims and causes of action of whatever nature arising out of or relating to the acts or omissions of the officer while acting on special assignment. This indemnification and hold harmless agreement shall include attorney fees and court costs incurred by the Board, its agents and employees, in connection with the defense of any said claim or cause of action. If said employee is employed by the ACEA less than full-time, this agreement will only be in effect while the employee is employed by the ACEA.
Officer Release Time. The Union may designate up to three (3) bargaining unit employees for full-time union release time during a school year. Such designations shall be made no later than June 1each year and shall remain employees of the Employer and accrue such benefits and seniority as so entitled but shall be placed on a leave of absence without pay. Bargaining unit employees who are on leave for Union business may continue their benefit coverage, provided they pay the full cost of that coverage. Upon the completion of full-time union release time, such employees shall return to an equivalent position in the area of their certification. In addition, a total of thirty (30) days per year shall be available to be divided for union officers to perform union business. By the 15th of each month, the Union shall provide the Employer with a list of dates used for this purpose in the preceding month and the names of each officer, or members designated by an officer, who used each date. Additionally, the Union may purchase from the Employer a number of union release days not to exceed fifty (50) days. These days shall be divided at the Union's discretion among designated bargaining unit members. The Union will reimburse the Employer on a pro rata basis for the pay and benefits of employees who are released in this manner. Officer Release Time. Time during working hours will be allowed Association representatives for attendance at meetings with the District. Time will also be allowed for representatives to discuss with the employees’ grievances and appropriate matters directly related to work situations in their area or craft. Association representatives will guard against the use of excess time in the handling of such matters. In addition, the President of the Association (or Co-Presidents) and designated representatives will be provided time off without loss of pay to a maximum of five (5) days per year to be shared among the representatives, to conduct Association business. Notification of the leave shall be submitted by the Association in writing to the Superintendent two (2) days, whenever possible, before the leave is to take effect. The supervisor shall be responsible for securing a substitute where necessary and the cost of the substitute shall be borne by the Association.

The Union shall reimburse the City for all salary and benefits costs incurred as a result of release time, including but not limited to, vacation, sick leave, compensated time off, retirement, short-term disability, life insurance, medical, dental and workers’ compensation. The benefits cost shall be based on the rates established by the City Administrative Officer as contained in the City Budget in effect during the period of release time, and the cost of other benefits approved by the Joint Labor-Management Benefits Committee that become effective during this period. E. Payment of any overtime worked while on release time shall be the responsibility of the Union. F. The Union shall make quarterly payments to the Controller of all reimbursable costs identified in Section D. above. G. Employees on release time shall submit weekly timesheets signed by the employee and the Union (Executive Director or his/her designee) to their respective Departmental Personnel Director specifying the number of hours worked and use of any sick leave, vacation time or compensated time off. H. Injuries incurred while on Union release time shall not qualify for IOD or workers’ compensation benefits. I. The employee must have passed probation in his/her current class to be eligible for release time. J. The Union shall indemnify, defend and hold the City and its officers and employees harmless against any and all claims, suits, demands or other forms of liability that might arise out of or result from any action taken by an employee in the service of the Union. K. The City Administrative Officer shall maintain a list of employees who have been approved for release time and the approved duration.

  • Pre-Release Subject to the further terms and provisions of this Section 2.10, the Depositary, its Affiliates and their agents, on their own behalf, may own and deal in any class of securities of the Company and its Affiliates and in ADSs. In its capacity as Depositary, the Depositary may (i) issue ADSs prior to the receipt of Shares (each such transaction a "Pre-Release Transaction") as provided below and (ii) Deliver Shares upon the receipt and cancellation of ADSs that were issued in a Pre-Release Transaction, but for which Shares may not yet have been received. The Depositary may receive ADSs in lieu of Shares under (i) above and receive Shares in lieu of ADSs under (ii) above. Each such Pre-Release Transaction will be (a) subject to a written agreement whereby the person or entity (the "Applicant") to whom ADSs or Shares are to be Delivered (1) represents that at the time of the Pre-Release Transaction the Applicant or its customer owns the Shares or ADSs that are to be Delivered by the Applicant under such Pre-Release Transaction, (2) agrees to indicate the Depositary as owner of such Shares or ADSs in its records and to hold such Shares or ADSs in trust for the Depositary until such Shares or ADSs are Delivered to the Depositary or the Custodian, (3) unconditionally guarantees to deliver to the Depositary or the Custodian, as applicable, such Shares or ADSs, and (4) agrees to any additional restrictions or requirements that the Depositary deems appropriate, (b) at all times fully collateralized with cash, United States government securities or such other collateral as the Depositary deems appropriate, (c) terminable by the Depositary on not more than five (5) Business Days' notice and (d) subject to such further indemnities and credit regulations as the Depositary deems appropriate. The Depositary will normally limit the number of ADSs and Shares involved in such Pre-Release Transactions at any one time to thirty percent (30%) of the ADSs outstanding (without giving effect to ADSs outstanding under (i) above), provided, however, that the Depositary reserves the right to disregard such limit from time to time as it deems appropriate. The Depositary may also set limits with respect to the number of ADSs and Shares involved in Pre-Release Transactions with any one person on a case by case basis as it deems appropriate. The Depositary may retain for its own account any compensation received by it in conjunction with the foregoing. Collateral provided pursuant to (b) above, but not the earnings thereon, shall be held for the benefit of the Holders (other than the Applicant).
