Responsibilities of Reseller. Reseller shall satisfy the following responsibilities at all times during the term of this Agreement: A. Reseller shall use best efforts to provide services, in a manner consistent with the standards generally observed by a professional in the industry to which such services performed can be classified, in accordance with the terms and conditions set forth. B. Reseller shall exhibit and conduct behavior in a manner consistent with the high image, reputation and credibility of Company and Company Products, and shall engage in no activities that reflect adversely on Company or Products. C. Reseller will use best efforts to achieve any sales quotas as specified by Company. D. Reseller will comply with all applicable laws in performance of Reseller’s duties under this Agreement.

Responsibilities of Reseller. 2.1 RESELLER will represent to all of its present and future customers that NEC is the digital cinema solutions provider of RESELLER’s choice for digital cinema products, cinema advertising products and services. RESELLER will use best efforts to market and sell NEC Products, Services and CineCast Software. Digital Cinema Reseller Agreement May 2005 2.2 RESELLER shall employ and maintain adequately trained and competent office and sales personnel in numbers sufficient to carry out and perform properly and fully all of RESELLER’s obligations and responsibilities under this Agreement. 2.3 RESELLER shall furnish NEC, at intervals prescribed by NEC, with sales call reports, sales forecasts, and such other information pertinent to RESELLER’s performance hereunder as NEC may request. 2.4 RESELLER shall keep NEC informed as to competitive and economic conditions within the market channels which may affect the marketing or sales of NEC Products or Services. 2.5 RESELLER shall make best efforts to attend meetings and trade shows required by NEC. 2.6 In the event that RESELLER becomes aware of any actual or potential claim against NEC by any person or entity, RESELLER shall notify NEC immediately. 2.7 RESELLER and its staff at all times shall conduct themselves in a manner consistent with the high image, reputation, and credibility of NEC and shall engage in no activities which reflect adversely on NEC. 2.8 RESELLER shall comply with all applicable federal, state, and local laws and regulations in performing its responsibilities hereunder.
Responsibilities of Reseller. (a) Purchase Authorized Products in accordance with the minimum purchase commitment described in Schedule "C", which may be amended unilaterally by CSD from time to time; (b) Make sufficient purchases of Products to meet market demand in a timely manner. (c) Maintain, and prominently display, at each of its sales offices/stores, a properly functioning current model demonstration unit for each category of Authorized Products; (d) Maintain and train a sales force capable of selling the Authorized Products; (e) Provide CSD with reports as CSD may request from time to time, including sales-out-by-location and inventory levels. (f) Sell only to end-users, not by mail nor telephone order, and only after there has been at least one (1) face-to-face communication with the end-user, (g) Provide or arrange for professional, prompt, and expert installation, warranty and service support for the Authorized Products sold in the territory; and, (h) Comply with all Federal, State, and Local laws, rules and regulations.
Responsibilities of Reseller. Reseller agrees (i) not to make any reference or claim about ChannelCloud or the Product other than presenting current information that has been published by ChannelCloud or pre-approved by ChannelCloud in writing, (ii) not to use deceptive, misleading, illegal, or unethical practices in marketing and promoting the Product to Customers, (iii) to keep ChannelCloud informed as to any problems encountered with the Product, (iv) not to make any representations, claims, or warranties regarding the Product without ChannelCloud’s prior written authorization, and (v) to only use Marketing Material approved in advance and in writing by ChannelCloud. ChannelCloud may, in its sole and exclusive discretion, modify, replace, or add to the Product at any time, including revisions to any and all Specifications, terms and conditions associated with the Product.

Responsibilities of Reseller. During the term of this agreement, the Reseller shall: 3.1 Conscientiously and diligently promote, advertise and sell the Products; 3.2 Ensure employees of the Reseller have the necessary skills and knowledge to adequately carry out the Reseller’s responsibilities as set out in this agreement; 3.3 Provide adequate training and sales support (levels 1 and 2 supports) to its End Users who have purchased a licence to use the Products; 3.4 Immediately notify Neotechnology of any Product defect; 3.5 Meet other responsibilities as specified in the Schedule to this agreement (if any); 3.6 Comply with all relevant legislation, rules and regulations, industry standards and codes of conduct when promoting, advertising and selling the Products.
Responsibilities of Reseller. 7.1. The Parties shall apply all of the principles set forth in 47 C. F. R. ss. 64. 1100 to the process for Customer selection of a PLEC. Ameritech shall not require a disconnect order from a Reseller Customer, or another LEC, in order to process a Reseller order for Resale Service for a Reseller Customer. Ameritech shall advise Reseller whenever a Reseller Customer has selected another PLEC by giving notice via the Provisioning EI within twenty-four (24) hours of the change being completed by Ameritech. Until the FCC or the Commission adopts final rules and procedures regarding a Customer's selection of a PLEC, each Party shall deliver to the other Party a representation of authorization in the form set forth on SCHEDULE 7.1 that applies to all orders submitted by the first Party to the other Party that require a PLEC change. Such representation of authorization shall be delivered to a Party prior to the first order submitted by the other Party and each Party agrees to comply with the procedures contained in such representation of authorization. Responsibilities of Reseller. Zoovy hereby retains and authorizes Reseller to market and sell the Services to Merchants as specifically described below. Reseller acknowledges that Zoovy and others will be marketing and supporting the Services. Reseller's authority to act on behalf of Zoovy shall be limited to the activities described in this Section 2. Reseller's rights and obligations include the following: 2.1 Reseller shall provide consulting on any other services it has agreed with Participating Merchants to provide, which are outside of the Zoovy Services. This is acceptable to Zoovy provided the following conditions are met: 2.5.1 Participating Merchant is informed that specific portions of their site are powered by Zoovy. 2.5.3 Reseller will provide technical and customer support to Participating Merchant. 2.5.4 Reseller must be aware of, and is responsible for any and all charges incurred by the Participating Merchant for Zoovy Services. 2.6 Reseller shall market the Services only to Merchants. Reseller shall not market the Services to: (a) Ineligible Merchants, (b) Merchants sell products in violation of Zoovy's Term of Service policy, and (c) certain other Merchants or industries as may be designated in writing from time to time by Zoovy in its sole discretion subject to sixty (60) days written notice. 2.7 Reseller will designate one or mo...
Responsibilities of Reseller. Reseller represents and warrants that it shall during the Term: A. Enter into a Customer Agreement for each Customer and, if applicable, inform Customers of their obligation to enter into Customer End User Agreements for each Customer End User in accordance with Sections 1.7, 1.10, and 8.1.1; B. Use its reasonable efforts to establish, promote and maximize sales of the SoftLayer Services; C. Maintain, at its own expense, an adequate place or places of business and sufficiently trained and qualified personnel: (i) for presentation and promotion of the SoftLayer Services to Customers and Customer End Users for the purpose of promoting sales of the SoftLayer Services; (ii) for training Customers and Customer End Users in the use of the SoftLayer Services; and (iii) to otherwise meet its obligations hereunder; D. Conduct its business so as to maintain the goodwill and reputation of SoftLayer and to reflect favorably on SoftLayer, the Trademarks and the SoftLayer Services at all times. Reseller shall not engage in any unfair or deceptive business practices with respect to the SoftLayer Services or otherwise; (i) comply with all applicable laws, rules and regulations, including, without limitation, the Foreign Corrupt Practices Act and related international anti-corruption laws and the Digital Millennium Copyright Act and related copyright laws; (ii) pay the Fees for the SoftLayer Services when due; (iii) use reasonable security precautions for providing access to the SoftLayer Services by its employees, Customers, Customer End Users, and individuals to whom Reseller provides access; (iv) cooperate with SoftLayer’s investigation of outages, security problems, and any suspected Actionable Breach; (v) comply with all applicable license terms or terms of use for any software, content, service or website (including Customer Content) which Reseller uses or accesses when using or providing access to the SoftLayer Services; (vi) give SoftLayer true, accurate, current, and complete Account Information; (vii) keep Reseller’s Account Information up to date; (viii) be responsible for the use of the SoftLayer Services by Customer and Customer End Users; (ix) comply with any applicable TPS Agreements and ensure compliance by Customers and Customer End Users; and (x) use commercially reasonable efforts to prevent unauthorized access to or use of the SoftLayer Services and immediately notify SoftLayer of any known or suspected unauthorized use of Reseller’s account, Customer’s...
