DUTIES OF FRANCHISEE. 6.1. Franchisee understands and acknowledges that every detail of the Franchised Business is important to Franchisee, Franchisor, and other franchisees in order to develop and maintain high operating standards, to increase the demand for the services and products sold by all franchisees, and to protect Franchisor's reputation and goodwill. 6.2. An individual designated by Franchisee (the "Operator") shall supervise the operation of the Restaurant at all times throughout the term of this Agreement. The Operator and any replacement operator shall be first approved by Franchisor, and shall demonstrate to Franchisor's satisfaction (at the. time of approval and on a continuing basis) that he satisfies Franchisor's educational, managerial, and business standards, and has the aptitude and ability to conduct, operate, and supervise the Franchised Business. Any person designated as the Operator shall maintain such ownership of a beneficial interest in Franchisee as Franchisor may specify. 6.3. Prior to the opening of the Restaurant, Franchisee (or, if Franchisee is a corporation, partnership or other business entity, the Operator, previously approved by Franchisor) and Franchisee's initial management employees and restaurant crew shall attend and successfully complete, to Franchisor's satisfaction, the training program or programs offered by Franchisor. Any management persons subsequently employed by Franchisee shall also attend such training programs as required by Franchisor. Franchisee and Franchisee's management employees involved in the operation of the Restaurant shall also attend such refresher courses, seminars, and other training programs as Franchisor may reasonably require from time to time. 6.4. Franchisor shall be responsible for the cost of instructors and materials associated with the initial training program for Franchisee or Franchisee's Operator if the Restaurant is Franchisee's first restaurant operating in the System, however, Franchisee may be required to bear the cost of other required and optional training courses, materials, seminars, and programs for Franchisee, Franchisee's Operator as well as Franchisee's management and crew. Franchisee shall always be responsible for any and all expenses incurred by Franchisee and Franchisee's employees in connection with any training courses, seminars, and programs, including, without limitation, the costs of transportation, lodging, meals, wages, and worker's compensation insurance. 6.5. DUTIES OF FRANCHISEE. 5.1 Franchisee understands and acknowledges that every detail of the System is important to Franchisee, the Franchisor, and other franchisees for the purpose of developing and maintaining high operating standards and system-wide uniformity to increase the demand for the services rendered by all the Centers under the System, and to protect the Franchisor's reputation and goodwill. 5.2 Franchisee agrees that it is important to the continued operation of the System and the Franchised Business that Franchisee and Franchisee's employees receive such training as the Franchisor may reasonably require, and to that end Franchisee agrees as follows: A. Franchisee shall attend and complete, to the Franchisor's satisfaction, the pre- Conversion training program conducted by the Franchisor at its training facilities at a date or dates to be designated by the Franchisor. The Franchisor shall provide for the training instructors, facilities, and training materials in connection with the Franchisor's pre-Conversion training required by this Section without charge to Franchisee, except for any on-site training for which Franchisor will charge its then-current per diem fee.
DUTIES OF FRANCHISEE. 5.1 Franchisee acknowledges and agrees that every detail of Franchisee’s Restaurant, including without limitation the uniformity of appearance, service, products, and advertising of Franchisee’s Restaurant, is important to Franchisee, HOA, the Hooters System, and HOA’s other franchisees, in order to maintain the Hooters System’s high and uniform operating standards, to increase the demand for the Products and services, and to protect HOA’s reputation and goodwill. 5.2 If Franchisee is or becomes a corporation, limited liability company, or any other form of business entity, Franchisee shall comply with Section 13 of this Agreement and the following requirements: 5.2.1 Franchisee shall confine its activities exclusively to the development, opening and operation of Franchisee’s Restaurant.
DUTIES OF FRANCHISEE. 7.1 In order to protect the reputation and goodwill of Franchisor and to maintain high standards of operation under the System, Franchisee shall operate the Bakery in strict conformance with the methods, standards, and specifications prescribed by Franchisor from time to time in the Manuals or otherwise in writing. If Franchisee, pursuant to Section 7.5.2 below, produces its own bagel dough for the Bakery, Franchisee shall manufacture such bagel dough in strict conformance with the methods, standards, and specifications prescribed by Franchisor from time to time in the Bagel Production Manual. Franchisee shall not deviate from such standards, specifications, and procedures without Franchisor's prior written consent. 7.2 Franchisee shall use the Premises solely for the operation of the Bakery, shall keep the Bakery open and in normal operation for the minimum hours and days specified in the Manuals and as permitted by applicable laws, and shall refrain from using or permitting the use of the Premises for any other purpose or activity at any time without first obtaining the written consent of Franchisor. 7.3 Except to the extent provided in Section 5.1 of the Development Agreement, Franchisee shall be solely responsible for all employment decisions and functions of the Bakery, including, without limitation, those related to hiring, firing, training, wage and hour requirements, recordkeeping, supervision, and discipline of employees. Franchisee shall maintain a competent, conscientious, trained staff with enough members to operate the Bakery in an efficient and competent manner. Franchisee shall take such steps as are necessary to ensure that its employees preserve good customer relations; render competent, prompt, courteous, and knowledgeable service; and meet such minimum standards as Franchisor may establish from time to time in the Manuals. 7.4 Franchisee shall offer for sale in the Bakery all products and services which are designated as core products by Franchisor from time to time in the Manuals (the "Required Items"). Franchisee may also offer for sale any non-Required Items and services which have been approved by Franchisor in the Manuals for sale in a Bruegger's Bakery, but Franchisee shall not offer or sell any other products or services without Franchisor's prior written consent. DUTIES OF FRANCHISEE. A. FRANCHISEE understands and acknowledges that compliance with the System and consistency with respect to every detail of the operation of the Franchise is critical to FRANCHISOR, in order to: (1) maintain high and uniform operating standards; and (3) protect FRANCHISOR’s Proprietary Xxxx(s), System, reputation and goodwill. B. FRANCHISEE shall consult with FRANCHISOR before the recruitment of personnel and teachers. In addition, Franchisee and its designated Manager, if any (who has been approved by FRANCHISOR and has successfully completed the required training program) shall devote their full time and best efforts to the management and operation of the Franchise Business. FRANCHISEE will immediately notify the FRANCHISOR in writing of any personnel changes in the Franchise Business. C. FRANCHISEE shall purchase exclusively from FRANCHISOR or its approved suppliers, certain products, art supplies, and other proprietary products, materials and supplies which include, but are not limited to teaching aids and materials, student instruction books and materials. D. FRANCHISEE shall not attempt to duplicate FRANCHISOR’s proprietary services by its own efforts or with the assistance of any company, agency or other entity.

DUTIES OF FRANCHISEE. 16 Sections Follow Franchisee understands and acknowledges that every detail of the Franchised Business is important to Franchisee, Franchisor, and other franchisees in order to maintain high and uniform operating standards, to increase the demand for the services offered by all franchisees, and to protect Franchisor's reputation and goodwill. Toward that end, Franchisee acknowledges and accepts the following duties: Training 6.1 Franchisee will attend and successfully complete all of Franchisor's required training programs as set forth in Section 8 below. Service and Program Quality 6.2 Franchisee will offer only such services and programs as meet Franchisor's uniform standards of quality and as have been expressly approved in writing by Franchisor, through its Manuals or otherwise. Franchisee will provide services only in accordance with Franchisor's methods and techniques. Franchisee will not deviate from Franchisor's standards and specifications for the provision of services or the type or quality of programs, without Franchisor's prior written consent. Franchisee will discontinue offering such services or programs, or the use of teaching methods and/or child care techniques, as Franchisor may, in its discretion, disapprove in writing at any time. Price of Kiddie Academy Services 6.3 Franchisee will have the right to offer and sell its services at any price Franchisee may determine and will in no way be bound by any price which may be recommended or suggested by Franchisor. Franchisor, however, has published in its Kiddie Academy Manuals recommended weekly child care service prices, which may be changed from time to time.
