Remuneration, Payment. 1.4.1 Unless otherwise provided for in the Agreement or service description, payment obligations are due in full immediately after Customer's receipt of invoice. If Customer delays acceptance without cause, the purchase price, maintenance fee and service fees (e.g. for operations engineering services or consulting) are due and payable even though the Appliance/service was not provided. Unless otherwise agreed, the maintenance fee and service fees for operations engineering services are payable in advance at the beginning of the agreed service period. 1.4.2 Prices quoted by XXXXXX are to be understood as exclusive of any relevant taxes or duties applicable at the time of shipping and/or delivery. 1.4.3 Only claims which are undisputed by EXASOL or have become final and legally binding may be offset by Customer. Except for claims in connection with § 000x XXX (Xxxxxx Commercial Code), Customer may not assign, delegate or otherwise transfer any of its rights or obligations under this contract without the prior written consent of EXASOL. Remuneration, Payment. 12.1 Unless agreed otherwise in writing, Xxxx XX shall provide the customer with an invoice for the Services provided based on the Servicereport, that is, depending on the hours worked, travel costs, and other expenses as well as on the spare parts used. Unless agreed otherwise, the prices shall be as specified in the price list applicable at the time of the provision of the Services excluding statutory sales tax. Unless agreed otherwise in writing, prices shall be in euros. 12.2 In the event of disturbances or damage to a facility to be serviced caused by handling errors, misuse, inadequate transport or relocation, interference, fire, water, war, natural disaster, force majeure or similar circumstances, Xxxx XX shall be entitled to invoice the respective Services separately even if the parties have agreed on a lump sum amount for a full-service package. 12.3 Unless agreed upon otherwise, invoices shall be settled within 14 days after issuance. The date of payment shall be the date on which Xxxx XX can disperse the funds. In the event of delayed payment, the customer shall pay interest in arrears of nine (9) percentage points above the respective basic interest rate per year. Further claims to be asserted by Xxxx XX shall remain unaffected. 12.4 In the event of cross-border transactions, payment shall be made before the Services are provided unless agreed upon otherwise in writing. 12.5 If the Services are provided outside the Federal Republic of Germany and if they are subject to taxes in the respective jurisdiction, the customer shall pay such taxes in full directly to the responsible authorities. If the laws of such jurisdiction stipulate that such taxes are to be paid to the responsible authorities by Xxxx XX, the customer shall notify Xxxx XX in writing in a timely manner of the amount and of the recipient and shall pay the relevant amount to Xxxx XX in full. The customer shall release Xxxx XX promptly from all claims arising in connection with any tax liability brought forward against Xxxx XX by any taxation authority. 12.6 Should the customer’s financial situation deteriorate substantially or should insolvency or similar proceedings with regard to the customer’s assets be filed for justified reasons but be rejected due to lack of assets, Xxxx XX shall have the right to rescind the underlying agreement in full or in part.

Without prejudice to payments due to any early maturity of obligations arising from the Debentures, under the terms of this Deed of Issuance, the Remuneration will be paid annually, starting from the Profitability Start Date, with the first payment due on November 11, 2024, and the last on the Maturity Date, as described in Xxxxx XXX of this Deed of Issuance ("Remuneration Payment Dates"). 4.13.2. Remuneration, Payment. Remuneration payment referring to the 1st Series Debentures shall be due on October 11, 2007 and April 11, 2008. Remuneration payments for the 2nd Series Debentures shall be due on the anniversary of the sixth month of the 2nd Series Issue Date and the last on the data that the 2nd Series matures.

Remuneration, Payment. 7.1 The Customer shall pay Abacus Accounting Technologies the remuneration as set forth in Exhibit B. 7.2 Invoices must be paid within 30 days without deduction. 7.3 Abacus Accounting Technologies is entitled to increase the agreed remuneration once per calendar year by a maximum of 5%. The following rules apply: 7.3.1 Abacus Accounting Technologies announces a price increase to the Customer in writing three months in advance. The price increase is deemed to be accepted if the Customer does not object in writing within four weeks after receipt of the announcement. 7.3.2 If the Customer objects, Abacus Accounting Technologies may terminate this Agreement prematurely with six weeks' notice, namely to the point in time at which the price change in accordance with Section 7.3.1 would take effect. The notice of termination must be in writing in order to be effective. 7.3.3 In the announcement in accordance Section 7.3.1, Abacus Accounting Technologies shall separately point out the time limit for objection and the legal consequences of non-compliance with this time limit. 7.4 Each party will be responsible, as required under applicable law, for identifying and paying all taxes and other governmental fees and charges (and any penalties, interest, and other additions thereto) that are imposed on that party upon or with respect to the transactions and payments under this Agreement. Abacus Accounting Technologies may charge and the Customer will pay applicable national, state or local sales or use taxes or value added taxes that Abacus Accounting Technologies is legally obligated to charge by the Customer (“Taxes”). 7.5 Abacus Accounting Technologies shall be entitled to demand an appropriate additional remuneration for additional expenses incurred for a breach of contract by the Customer, in particular by the Customer (i) not cooperating, not cooperating on time or not in accordance with this Agreement, (ii) not using the Service in accordance with the provisions of this Agreement or (iii) subsequently changing or extending performance requirements. This does not apply if the Customer is not responsible for the breach of contract. 7.6 The Customer may only offset claims that are undisputed by Abacus Accounting Technologies or have been established by final judgement. 7.7 If the Customer defaults on payment of the remuneration and Abacus Accounting Technologies sets the Customer a period of at least two weeks for payment, in which Customer does not make the payment...
Remuneration, Payment. (1) The agreed remuneration is due with- out deduction after delivery of the software on data carrier or provision by download and re- ceipt of the invoice by the purchaser and pay- able within 30 days. (2) Additional services requested by the purchaser (e.g. advice and support with the installation of the programme) will be invoiced separately by XXXXXXXXX. (3) The value added tax will be added to all prices. (4) The purchaser can only offset against claims undisputed by XXXXXXXXX or which have been declared final and binding. Where an employee is "On Call" an On Call payment is applicable to "on-call Rostering" for employees. Employees are entitled to $250 per seven-day week for being on-call. Note – first on site call included in this payment. . In the event that the Company secures a large major oil company hose contract, necessitating additional Petrol and LPG staff to be hired in South Australia, the first on site call included will be paid, and would not be included in the On Call Payment This payment will require an employee to be available and fit to take calls. This will require them to carry a pager/mobile phone to be contacted and, where practical, work after hours to meet company and customer contract obligations. The allowance will cover redirections as required. Where the customer accepts a charge for a telephone fix, the employee will be paid 1 hour at normal rate The rostered on-call employee must try to complete the needs of the caller over the phone and only attend site when absolutely necessary. On Call Payment: The On Call payment is applicable for the rostered On-Call employee(s). Whereby the employee(s) has finished ordinary working hours, overtime and travel hours i.e. home. For each individual call, not being a continuous call is paid a minimum of four (4) hours of work including travel.
