Conditions of Supply. 9.3.1.1 An employee, when working on site, is required to wear all footwear and clothing supplied. 9.3.1.2 The supplied footwear and clothing will be replaced on a “fair wear and tear” basis. 9.3.1.3 The parties accept as a guide to this condition that jackets would normally have an expected working life of approximately two (2) years and other clothing and footwear a wearing life of twelve (12) months. 9.3.1.4 When reasonable cause can be demonstrated these will be replaced at shorter intervals. 9.3.1.5 It is the responsibility of employees to clean all clothing and maintain same in a neat and tidy condition at their own expense. 9.3.1.6 Clothing issued may be identified by a company name or logo. 9.3.1.7 Payment in lieu of supply of clothing/footwear is not permitted. 9.3.1.8 An employee who chooses to leave employment with the company within ten (10) working days of issue may be required to pay the full assessed value of all goods supplied.

Conditions of Supply. 2.1 The Contractor represents, warrants and agrees that it and its Personnel will: (a) perform this Agreement in accordance with its terms, including by properly supplying the Deliverables within the timeframes specified and to the locations required; (b) supply the Deliverables in accordance with their specifications and their description in the Purchase Order; and (c) upon Powerlink's request, provide reasonable support to Powerlink in relation to the Deliverables. 2.2 The Contractor represents, warrants and agrees that the Deliverables will be: (a) free of encumbrances, liens and reservations of title; (b) designed, fabricated, tested, packaged, loaded on transport, delivered (and, if required by this Agreement, installed and commissioned) in accordance with this Agreement including all laws, requirements of any government agency and Powerlink's requirements; and (c) of merchantable quality and Fit for Purpose. 2.3 Ownership of the Deliverables (other than any services and the software licensed to Powerlink under clause 4) passes to Powerlink upon the earlier of payment or delivery. The passing of ownership or their delivery to Powerlink does not constitute acceptance of the Deliverables. 2.4 The Deliverables are at the Contractor's risk until they are accepted by Powerlink. Unless otherwise stated in this Agreement, Powerlink may only accept Deliverables by giving the Contractor written notice to that effect. 2.5 Powerlink must provide the Contractor with safe access to Powerlink's premises and equipment, where applicable, to enable the Contractor to supply the Deliverables. Powerlink must ensure that its premises are safe and are a suitable working environment.

All deliveries of Contracted Product by Supplier shall be accompanied by all appropriate documentation required under applicable laws in order for Customer to offer the Contracted Product for sale, including (i) a certificate of analysis as provided for by the cGMP and (ii) a *** or quality control certification that the Contracted Product supplied hereunder has been manufactured in conformity with cGMPs and other applicable regulations, which will be added to the certificate of analysis form by Supplier. 4.4 Customer undertakes that it shall inspect each lot of the delivered Contracted Product promptly upon receipt at Customer’s plant, to verify that the lot is complete and was not damaged in shipment and will promptly inform Supplier of any non-compliance. Conditions of Supply. General conditions GDF procures only quality assured medicines. All medicines and commodities shall be provided to patients free of charge. Standard production lead times are 4-6 months after receipt of funds. No approval from Green Light Committee, either global or regional, is needed. However, GDF may provide a copy of this document to the responsible regional or global Green Light Committee(s) for their advice; this is particularly relevant for Global Fund supported procurements. Procurement processes WHO/GDF works with procurement agent(s) (PA) to coordinate the purchasing and logistics of WHO/GDF order(s) under this MPTA (MDR-TB Procurement Request Form and Technical Agreement). The execution of this MPTA can be initiated only after signing of a commercial contract between the PA and the Client and receipt of the prepayment of funds by PA, or as agreed in writing between the PA and the Client. Conditions of Supply a) The Licensee shall supply electrical energy to the aforesaid premises of the Consumer from its distributing main for the purpose at low tension as specified in the “Conditions of Supply” under classification of supply and the Consumer shall take from the Licensee, electricity required for the purpose herein above recited at the single point of supply up to a maximum extent of KW / HP, being the load sanctioned. The energy so supplied shall be utilized within the premises mentioned hereto, for the bonafide use of the Consumer. b) Electrical energy supplied to the premises shall not be utilized by the Consumer in any manner prejudicial to the Licensee and all usage must be according to such method or methods approved by the Licensee. The use of power must be confined to such places as shall have been previously approved in writing by the Licensee. In case prejudicial use of power is detected, the Consumer shall pay penal charges in accordance with the provisions of the “Conditions of Supply” as in force from time to time. Besides, for Conditions of Supply of Electricity 132 9/6/13 dishonest abstraction / use / consumption of electricity or interference with the metering equipment or accessories, the Consumer shall also be liable for prosecution under the Act and any other law for the time being in force, and the installation shall be liable for disconnection. c) The Consumer shall permit the Licensee, free of cost, to erect posts, distribution lines, structures, equipments, cables and other apparatus necessary for the supply of electrical energy under this Agreement over the land belonging to, or in the possession of, the Consumer. d) The Consumer agrees to take supply under any conditions of restrictions of load and time that may be fixed by the Licensee from time to time and to pay fixed charges under this Agreement in full notwithstanding such restrictions. e) The supply is liable to be restricted, staggered or cut off altogether, as the case may be, if the power position or any other emergency warrants such a course of action. Conditions of Supply. 5.1 The purchase of Goods and/or Services by DBC UK pursuant to the Agreement shall, unless otherwise expressly agreed in an Order, be on a non-exclusive basis and the Supplier acknowledges that DBC UK may appoint any other person to provide goods and/or services the same as or similar to the Goods and/or Services provided pursuant to the Agreement. 5.2 The Supplier acknowledges that DBC UK shall have no obligation to place Orders pursuant to the Agreement and that any Forecast shall not constitute a binding commitment on DBC UK. DBC UK may provide the Supplier with non-binding Forecasts in such detail and within such timescales as DBC UK thinks fit but if any such Forecast proves to be inaccurate, DBC UK shall not have any liability to the Supplier. If the Supplier is unable to fulfil any Forecast, it shall inform DBC UK in writing immediately. 5.3 The Supplier acknowledges that the Goods and/or Services provided (including any agreed pricing) may be for the benefit of other companies within DBC UK's Group and that any such company may enforce the terms of the Agreement subject to and in accordance with the terms of the Agreement and the provisions of the Contracts (Rights of Third Parties) Act 1999. 5.4 The Supplier warrants that the Goods and/or Services and the supply of them by the Supplier will comply in each and every respect with all relevant legal, regulatory and other requirements for the time being in force (including any codes of practice issued by any governmental, industry, regulatory or other authority) and with any codes of practice or policies issued by DBC UK to the Supplier from time to time during the Term. 5.5 The Supplier warrants that the receipt, use and onward supply of the Goods and/or Services and the supply of them by the Supplier will not infringe the Intellectual Property Rights of any third party. 5.6 The Supplier will ensure that the Supplier's employees, sub-contractors and agents comply with all applicable staff, contractors' and other applicable regulations of DBC UK whilst on DBC UK's premises and with any such regulations imposed by any agent or contractor of DBC UK when on their premises (including, where applicable, DBC UK's Drugs and Alcohol Policy and any other policy concerning matters of health & safety or DBC UK's statutory and regulatory obligations as a licensed operator of rail services). 5.7 The Supplier shall obtain and maintain in force for the Term all licences, permissions, authorisations, consents and pe...
