Cooperative Actions. Seller and Buyer acknowledge and agree that all of the covenants and agreements under the PSA relating to cooperation in connection with the implementation of the transactions contemplated by the PSA and this Agreement, including those set forth in Section 6.3(c), are applicable to this Agreement.

Cooperative Actions. Seller and Buyer shall cooperate with each other in carrying out, implementing and defending the terms of this Agreement, including cooperating with each other with respect to any claims or litigation challenging any of the terms of this Agreement. Seller and Buyer agree to good faith mutual cooperation in any investigation, inquiry or litigation which jointly involves them or in which a party makes a reasonable request for cooperation. Each party will make its employees available on a reasonable basis to give testimony and assistance in connection with any lawsuit, dispute, investigation or proceeding involving the other party; provided, however, that such other party shall pay for all out-of-pocket costs incurred in connection with providing such testimony and assistance. Except as otherwise provided in this Agreement, each party will pay all costs and expenses of its performance of and compliance with this Agreement.
Cooperative Actions. The Red Cross and County will coordinate their respective disaster relief activities to maximize services to the community and avoid duplication of efforts in the following ways: 1. Maintain close coordination, liaison, and support at all levels with conferences, meetings, and other means of communication. Include a representative of the other party in appropriate committees, planning groups and task forces formed to mitigate, prepare for, respond to, and recover from disasters and other emergencies. 2. During disasters and emergencies, keep each other informed of the human needs created by the events and the services they are providing. Share current data regarding disasters, to include statistical information, historical information, emerging needs and trends, damage assessments, among others, and disaster declarations and service delivery. 3. Work together to develop plans and secure resources to facilitate delivery of services to people with disabilities and/or functional and access needs during a disaster. 4. During the time of disaster and readiness, work in coordination to provide public information by participating in a joint information center and or collaborating with the county designated public information officer. 5. Both parties will participate in the other’s training, educational, developmental and evaluation opportunities as applicable to the mitigation, preparation, response and recovery from disaster or emergencies. Examples of trainings from Red Cross include Shelter Fundamentals, and training on Red Cross nursing and mental health protocols. Examples of activities hosted by the county could include county wide exercises, drills and after action reporting . 6. The County will support the Red Cross in the use of the American Red Cross National Shelter System (NSS) and the Red Cross shall coordinate shelter information sharing and reporting with the County. 7. County will provide needed staff as available and to the extent permitted by state law, to assist the Red Cross in disasters and emergency operations. Examples of staff that could be deployed to a Red Cross shelter include public health nurses, mental health interns, licensed clinicians or case managers, social workers, environmental health specialists and deputies. Staff salaries and benefits will be provided by the County. 8. County through its Environmental Health Department will conduct initial shelter assessment inspections. Cooperative Actions. A. USDA and USAC (together, the Parties, and individually, a Party) intend to communicate and cooperate to support efficient eligibility determinations for ACP based on participation in USDA Federal benefit programs that are qualifying criteria for ACP to the extent allowed by Federal law. USDA’s FNS administers SNAP pursuant to the Food and Nutrition Act, codified at 7 U.S.C. Chapter 51. Enrollment in SNAP by at least one member of a household qualifies the household for benefits under the FCC’s ACP.13 USDA’s FNS administers WIC pursuant to Section 17 of the Child Nutrition Act, codified at 42 U.S.C. 1786.14 Enrollment in WIC by at least one member of a household qualifies the household for benefits under the FCC’s ACP. 15 USDA’s FNS administers NSLP and SBP. If at least one member of a household has been approved to receive benefits under the free and reduced-price lunch program under the Xxxxxxx X. Xxxxxxx National School Lunch Act (42 U.S.C. § 1751 et seq.) or the school breakfast program under Section 4 of the Child Nutrition Act of 1966 (42 U.S.C. § 1773), the household qualifies for benefits under the FCC’s ACP.16 USDA’s FNS administers FDPIR, which is another qualifying program for ACP and would follow the same household enrollment criteria as SNAP.17 B. USDA and USAC intend to xxxxxx communications and cooperation between USAC and State agencies, including ITOs, that administer FNS programs in support of data matching and outreach activities. USDA does not collect program participant data that would be useful for purposes of verifying an individual’s eligibility for ACP. The City of Xxxx will provide work space and, whenever possible, other required support, such as a computer, e-mail access and a designated phone line for the Red Cross liaison personnel assigned to the Emergency Operations Centers. Allocate the responsibility for joint expenses only in writing and only in advance of any commitment. The Red Cross can provide Canteen Operations, working with the local volunteer fire department during periods of operational response to operations. The City of Xxxx will support the Red Cross in the use of the American Red Cross National Shelter System (NSS) and the Red Cross will coordinate shelter information sharing and reporting with the City of Xxxx. Work together to develop plans and secure resources to facilitate delivery of services to people with disabilities and/or functional and access needs during a disaster. Actively participate in reviewing and carrying out responsibilities outlined in the local emergency operations plans. During the time of disaster and readiness, keep the public informed of the partiescooperative efforts through the public information offices of the Red Cross and the City of Xxxx. The Disaster Service Volunteer Leave Act (A361, R401, S283) authorizesstate employees who are volunteers of the American Red Cross to take up to 10 days paid leave to respond to disasters. The State will fully support the provisions of this law and the release of personnel, consistent with the operating needs of its agencies. The State, upon request of the American Red Cross, will assist in identifying specific categories of state employees (e.g., bilingual, mental health professionals, logisticians) who might be of assistance to the American Red Cross in fulfilling its disasterresponsibilities. 5. During the time of a disaster, keep the public informed of their and thecooperative efforts through the public information offices of the Red Cross and the State of South Carolina. 6. The State will support the Red Cross in conducting special appeals andcampaigns for funds during times of disaster. 7.
