Tooling. 4.1 – Supplied product: Supply proposed by GPG shall contain exactly the material specified in the proposal and contractual engagement is strictly limited to this proposal. Packaging will be supplied by customer and will not be bought back by GPG unless agreed upon otherwise. In the absence of any specified packaging requirement, GPG will be free to arrange packaging as its sees fit.
Tooling. A. If they are supplied by the Client, the tools must separately include assembly references marking or usage references marking and must be supplied free of charge to the site specified by the Manufacturer. The Client is responsible for making sure that the tools match the plans and specifications perfectly. However, and at the Client’s request, the Manufacturer may check this matching and reserves the right to invoice the cost of these operations. If the Manufacturer deems that modifications are necessary for the proper performance of the parts, the costs arising from these modifications will be charged to the Client who shall have been given a prior written notice by the Manufacturer. As far as production orders are concerned, the Client must request the manufacture of typical parts submitted by the Manufacturer and accepted by it after any useful checks and tests, its acceptance being deemed to be acquired when no written observations have been made within fifteen days from the date of receipt of the typical parts. If the Client’s plans and specifications do not allow to fully control that they perfectly match the tools supplied by the Client, the shapes, dimensions and thickness of the parts obtained shall thus be determined in whole or in part by these tools. The responsibility of the result obtained regarding this data exclusively falls to the Client who shall have been given a prior written notice by the Manufacturer. In any case, if the tools received by the Manufacturer does not conform with the use it was entitled to reasonably expect, the price of the parts initially agreed shall be subject to a request for review from the Manufacturer, and an agreement will be reached with the Client before initiating the manufacturing of such parts.
B. When the Client requires the Manufacturer to produce tools, the Manufacturer shall produce them in agreement with the Client, according to its own manufacturing technique requirements. The production cost as well as the costs for replacement or restoration after wear shall be paid to the Manufacturer independently of the parts supply. The Manufacturer may not be held liable for the costs of replacement of the tools after having supplied the quantities contractually stipulated or following normal wear.
Tooling. Any contribution to the costs of producing the tooling that may be requested from the purchaser shall not entail the transfer of ownership of said tooling to the latter, unless expressly agreed otherwise.
Tooling. LMN-owned tooling must be indelibly identified, retained by the Supplier on LMN-specific storage units, in good condition and stored under conditions enabling proper execution of future orders. They must not be destroyed nor used for any other prime contractor without prior written authorization from LMN. Regular inventories may be requested by LMN.

Tooling. The right, title and interest to all Goods, materials, tools, jigs, dies, gauges, fixtures, molds, patterns, equipment, designs, drawings, gages, specifications, spare parts, trial parts, ancillary products, items owned by Buyer (or by its customer) and other items furnished by Buyer or by its customer to Seller for use in manufacturing the Goods, or for which Seller is reimbursed by Buyer or its customer (collectively, “Tooling”), shall be and remain the property of Buyer or its customer. Tout au long de la durée de la Commande d’Achat, tout l’Usinage et Assemblage que possède le Vendeur, sera considéré propriété mise en dépôt et ne sera pas considéré comme une installation ou une partie des biens immobiliers du Vendeur. Le Vendeur encourt le risque de perdre ou d’endommager la propriété de l’Acheteur, y compris notamment l’Usinage et l’Assemblage. Le Vendeur devra (i) recevoir et maintenir l’Usinage et l’Assemblage dans ses propres locaux de façon convenable ; (ii) ne pas utiliser l’Usinage et l’Assemblage à d'autres fins que celles relevant de la Commande d’Achat; (iii) marquer de façon évidente que l’Usinage et l’Assemblage sont les biens de l’Acheteur (selon les instructions de l’Acheteur); (iv) séparer l’Usinage et l’Assemblage des biens du Vendeur ou d’un tiers; (v) assurer de façon appropriée l’Usinage et l’Assemblage contre tout dommage ou préjudice, y compris notamment, tout risque et maintenir une assurance à couverture prolongée pour une valeur de remplacement au nom de l'Acheteur qui bénéficie d’une franchise; (vi) prendre les mesures pertinentes pour garantir que l’l’Usinage et l’Assemblage ne pourront pas faire l’objet de privilèges ou d’autres réclamations; et (vii) ne pas déplacer l’Usinage et 2 NdT : Free on Board : Franco à Bord, port dû à destination l’Assemblage dans un autre lieu, appartenant au Vendeur ou à un tiers, sans le consentement préalable par écrit de l’Acheteur. Tooling. Unless otherwise agreed by the parties, title to and ownership of tooling listed as a deliverable in a line item in Buyer’s order and paid for by Buyer shall vest in Buyer. Buyer shall be responsible for funding replacement tooling when the normal life of the tooling is exhausted. If Seller does not receive an order from Buyer for goods or services requiring the use of such tooling for a period of one year, Seller may, by written notice to Buyer at Buyer’s last known address, request Buyer to make disposition thereof at Xxxxx’x expense. If Buyer fails to issue disposition instructions to Seller within forty-five (45) days of such notice, Seller may make any use or dispose of such tooling without liability or obligation to Buyer. Seller may remove any embedded intellectual property which it either owns or is controlled under applicable export control laws prior to returning any Buyer owned tooling.
