General Scope or TasksThe Contractor shall: 1. Designate a person to whom all project communications may be addressed and who has the authority to act on all aspects of the contract. This person will be responsible for the overall project and will be the contact for all invoicing and Contractor staffing issues. 2. Provide written reports for review and approval by Covered California and formally respond to Covered California review findings as necessary. 3. Meet as required with Covered California staff to discuss progress. 4. Make its best efforts to maintain staff continuity throughout the life of the project. If, however, a substitution becomes necessary, the Contractor must submit resumes for review, in advance, for all proposed personnel substitutions. All Contractor personnel substitutions must be approved in writing by the Covered California Representative. Failure to receive the required approvals may result in termination of the contract.
General Scope or Tasks. 1. In an effort to ensure consistent oversight of this Program, Contractor shall: Provide high quality vision care to Enrollees. Maintain a website that provides a network directory and a simple and easy-to-understand list of Covered Benefits and out-of-pocket expenses for consumers to review. Provide a customer service call center adequately staffed to handle questions and assist consumers. At a minimum, Vision Carrier’s customer service call center hours shall be Monday – Friday from 8am – 6pm, Pacific Time. Customer service center must offer a dedicated toll-free number for customers. Invoice Enrollees and collect premiums. Designate an employee as the Program Manager for the oversight of this Program. The Program Manager will be Covered California’s primary contact for all Program related issues. Administer the Vision Program, or contract with a third-party administrator, acting on behalf of the Contractor to administer the Program. Administration of this Program will include billing, customer service, collateral development, policy issuance and renewal of Enrollees. Track and report the number of Enrollees purchasing a Vision Plan via the Covered California website link on a quarterly basis, and provide Covered California with a website conversion report on a quarterly basis pursuant to D(6) of this Exhibit. The report shall contain the following data elements: Number of “click-throughs” from Covered California’s website to Contractor’s landing page; Number of enrollment conversions.

Review key documents and interview the Exchange Outreach and Sales Division and Information Technology (IT) Division to confirm the target objectives for the Help On-Demand project. 2. Confirm timelines, goals, priorities, risks and expectations for the Help On- Demand project with review and approval of the Exchange Outreach and Sales Division and IT Division. 3. Provide documentation of agreed upon requirements, business rules, configurations, workflow, administrative manual, and a user manual. 4. Provide weekly and as needed updates on the progress of development/configuration, testing, training, and implementation including status on any system fixes, while confirming and building the processes, procedures and technology to meet the project requirements and operational objectives. 5. Provide weekly written and monthly oral and written updates on the effectiveness of the solution once in production. The reports should be geared to an Executive audience. 6. Configure the solution to meet the minimum Solution Features in Section B.
General Scope or TasksDevelopment of Covered California’s Real Estate and Construction Management Unit During the initial contract term, Contractor shall, at the direction of Covered California, provide consulting services to design, develop, and implement a Real Estate and Construction Management Unit for the agency. The program needs to account for those elements outlined in Section E of this Exhibit. Services provided include, but are not limited to, the following: Unit Design and Development: Contractor shall consult with Covered California to design a Real Estate and Construction Management Unit. This includes, but is not limited to: Researching laws, best practices and resources for program development. Writing, contributing, and refining policies and procedures for the new program. Developing templates (e.g. floor plans, lease documents) to be used by the program. Purchasing and Lease Development/Execution Contractor shall consult with Covered California to draft, develop, and revise competitive solicitations for leases, lease documents, and exhibits. Strategic Planning and Due Diligence Contractor shall conduct research and advise Covered California on sustainable design and sound environmental practices that will result in efficiencies and operational cost savings. This includes, but is not limited to, review of facility design, building systems analysis, and value engineering. Contractor shall work with Covered California to define its LEED and Sustainability requirements for any proposed buildings as well as to ensure the selected building(s) meet and perform in a sustainable manner for the duration of Covered California’s lease commitment. Contractor shall review Covered California’s business needs with respect to space, including workplace assessment, review of current space standards and staffing (current and future) as well as planned operational or strategic changes which may affect future space needs, including discussions related to current space standard trends and alternate work place strategies. Contractor shall conduct research on and strategically assess Covered California’s usage of its office spaces to create efficiencies and reduce and avoid occupancy costs. Contractor shall develop an occupancy plan according to Covered California’s goals and objectives regarding future growth, space management options, and potential standards for future office spaces.   • General Scope Except for matters on which the Members’ approval is required by the Act or this Agreement, the Manager has full power, authority and discretion to manage and direct the Company’s business, affairs and properties, including the specific powers referred to in paragraph (b), below.

  • Change in Scope of Work Any change in the scope of the Work, method of performance, nature of materials or price thereof, or any other matter materially affecting the performance or nature of the Work shall not be paid for or accepted unless such change, addition, or deletion is approved in advance and in writing by a valid change order executed by the District. Contractor specifically understands, acknowledges, and agrees that the District shall have the right to request any alterations, deviations, reductions, or additions to the Project or Work, and the cost thereof shall be added to or deducted from the amount of the Contract Price by fair and reasonable valuations. In addition to any other information requested, Contractor shall submit, prior to approval of the change order, its request for a time extension (if any), as well as all information necessary to substantiate its belief that such change will delay the completion of the Work. If Contractor fails to submit its request for a time extension or the necessary supporting information, it shall be deemed to have waived its right to request such extension.

  • Background Screening VENDOR shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR or its personnel providing any services under the conditions described in the previous sentence. VENDOR shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR and its personnel. The parties agree that the failure of VENDOR to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.
