NRCS will. 1. Provide RCPP financial and technical assistance for eligible activities in accordance with RCPP regulation (7 CFR Part 1464), policy, and the terms of this PPA, including Attachment B. 2. Provide RCPP financial assistance (FA) through supplemental agreements or other contract authorities available to NRCS, to implement one or more of the four following eligible activities: Land Management, Rental, Conservation Easements Held by Eligible Entities (Entity- held Easements), or Watersheds/Public Works. 3. Support or carry out the Technical Assistance (TA) activities associated with RCPP- funded actions, which may include but are not limited to—compliance checks for program eligibility under 7 CFR part 12 and part 1400, subpart F; compliance activities under the National Environmental Policy Act (NEPA), National Historic Preservation Act (NHPA), and Endangered Species Act (ESA); and other needs indicated by policy, in the PPA or under terms of associated supplemental agreements. Additional RCPP TA may be provided by NRCS, Lead Partner, contributing partners, third parties, or any combination therein. Obligations and expenditures will follow RCPP program requirements. 4. Retain responsibility and authority for determining technical adequacy and payment requirements for RCPP-funded technical and financial assistance in this project. Once executed, RCPP supplemental agreements (FA or TA) entered into under the general framework of this PPA shall be managed in accordance with RCPP program requirements, and the terms of the specific supplemental agreement. 5. Actively participate in the development of the Table of Deliverables establishing RCPP fund and activity specific budgets and typical activities in this project and documenting details of proposed partner contribution delivery. Within program authorities, make every reasonable effort to support Lead Partner model for project implementation described in Exhibits 1-5. 6. Provide annual reviews and report on NRCS uses of RCPP TA funds. 7. Provide support for modeling, monitoring, measuring and reporting of outcomes where an NRCS role in such activities is agreed to and reflected in this agreement (including Exhibits, Attachment B and Attachment E). 8. Review comments or feedback on draft public relations or communications materials provided by the partner related to RCPP project activities. Provide partner notice of concerns on such materials, if any is required, within 3 days of partner submission.
NRCS will. 1. Provide a maximum of 50 percent of the cost of the work described in the attached plan of work and budget. This cost to NRCS will not exceed $ . 2. NRCS will. 1. Contribute 50% of the costs needed to support this initiative. Funding will support salary, benefits, and travel expenses needed to support work deliverables as outlined in this agreement. Level of support will be reviewed on an annual basis and may be renewed based upon federal funding available. 2. Advertise, promote and assist the recipient with coordination of grazing schools for landowners interested in technical assistance and participating in USDA conservation programs. 3. Organize partner organizations to identify key grazing and grassland management focus areas based on workload requests, existing natural resource concerns, and grassland opportunity areas. Utilize the information gained to drive local conservation priorities. 4. Work with the recipient to identify and prioritize delivery of technical assistance and conservation planning to landowners seeking grassland management and grazing land assistance. NRCS will work with the partner to insure landowners receive a conservation plan that addresses all resources concerns. 5. Provide, as needed, technical assistance training and guidance as available and approved by the NRCS. Provide availability to NRCS technology and technical tools, to the maximum extent possible, and provide quality assurance. Training will include but not be limited to the use of NRCS standards and specifications, planning tools, and agency job sheets. 6. Participate in targeted outreach efforts and related workshops, conducted by the recipient, to identify landowners and individuals with grassland and grazing land management resource concerns. 7. Publish at least one press release highlighting some aspect of grasslands, grazing management, soil health and/or conservation, or related topic.

Provide on an annual basis, technical and financial assistance through the covered programs as requested by TNC, and as available, to eligible producers and landowners located within the approved project area. Note: NRCS reserves the right and authority to reduce or discontinue program benefits to support this partner agreement based upon funds availability, changes in agency priorities, or inability of TNC to deliver resources or provisions of this agreement. ACEP, EQIP, and HFRP program contracts and agreements obligated with producers and landowners as a result of this partnership agreement are assured of funding for the entire length of the approved contract or agreement and not subject to provisions of this partnership agreement regarding fund availability. On CSP program contracts, NRCS agrees to provide payment annually, subject to the availability of funds. 2. In the case of specific work projects or activities that may involve the transfer of funds, services, or property, NRCS will provide a maximum of $500,000.00 as described in Attachment CPlan of Work and Attachment D – Budget Sheet: 3. Implement and administer the covered programs to the extent possible to address identified RCPP project natural resource concerns. Such assistance includes use, as NRCS determines appropriate, of recommendations from TNC for evaluation and ranking of program applications and expeditious obligation of approved contracts and agreements for eligible producers and landowners to facilitate timely implementation of activities within the project area. 4. Provide annual review and recommendations to TNC regarding the project to ensure success and implementation of conservation activities related to program contracts and agreements.

ACEP, EQIP, and HFRP program contracts and agreements obligated with producers landowners as a result of this partnership agreement are assured of funding for the entire length of the approved contract or agreement and not subject to provisions of this partnership agreement regarding fund availability. On CSP program contracts, NRCS agrees to provide payment annually, subject to the availability of funds. 2. NRCS will. 1. Provide 83percent of the cost of constructing the emergency watershed protection measures described in Section A which includes for in-kind services toward the Sponsor's 25 percent cost share. This cost to NRCS is estimated to be $207.500.00. If construction is not completed, NRCS is under no obligation for in-kind services incurred by the Sponsor. 2. Not be substantially involved with the technical or contractual administration of this agreement. However, NRCS will provide advice and counsel as needed. 3. Review and approve construction plans as identified in Section 4. Make payment to the Sponsor covering share of the cost upon receipt and approval of Form SF-270, Request for Advance or Reimbursement. 5. Be available to conduct progress checks and participate in final inspections. 6. Designate the following individual as the liaison between the Sponsor and NRCS.

EQIP contracts obligated with entities or producers as a result of this partnership agreement are assured of funding for the entire length of the approved contract or agreement; program payments will be made to participating entities or producers in accordance with programmatic criteria; and, expiration dates for those instruments correspond to the expiration dates as determined through program criteria. 2. Provide funding allocated to this project as described in the Attachment APlan of Work and Attachment BTable of Deliverables. Amounts there are the maximum NRCS commitments. Financial assistance will be set aside (as “commitments”) for potential obligation via individual contracts or agreements in accordance with applicable covered program rules and any project specific RCPP adjustments of terms. NRCS technical assistance will be set aside for NRCS use in support of this project. 3. Implement and administer the covered programs to the extent possible to address identified RCPP project natural resource concerns. NRCS covered program application processes are conducted on a continuous basis. However applications are only be funded to the extent funds are available, and in accordance with applicable covered program cycles. NRCS shall consider recommendations from SCCPZD for evaluation and ranking of program applications and expeditious obligation of approved contracts and agreements for eligible producers and landowners to facilitate timely implementation of activities within the project area. 4. Provide annual review and recommendations to SCCPZD regarding the project to ensure success and implementation of conservation activities related to program contracts and agreements.
