Phase I Services. Phase I Services shall mean and include all of the following services: a. Develop and refine the concepts and programming for the Project. i. Review the Predesign Study ii. Prepare a synopsis of the Owner's project requirements iii. Consolidate all the project planning actions and supporting documentation that have occurred to date. iv. Review proposals for interior finishes, lighting, furniture, other elements provided as part of this Project to take into consideration Leadership in Energy and Environmental Design (LEED®) elements when appropriate, feasible, and cost effective, including advising. v. Document existing physical conditions and determine the adequacy of the available water, telephone, gas, electricity, wastewater, and other required utilities services for the needs of the Project. vi. Obtain historic and/or archaeological data as necessary. vii. Establish an appropriate meeting schedule and attendance list; prepare an agenda, provide handouts and other materials, and prepare meeting notes for each meeting. viii. Maintain a list of the official campus user-group representatives. ix. Meet with campus facilities staff, user-group representatives, administration, etc., to gain their perspectives of the Owner's project requirements and to explain in detail the process and methods that will be used to construct “their” project x. Create and distribute meeting notes, decision notes, and related project documentation as prescribed. xi. In combination with appropriate campus personnel and in support of the program validation effort, tour and photograph the Project site. b. Develop a proposed budget to validate that the Project is financially feasible. i. Review the preliminary budget from the Predesign Study ii. Make appropriate estimates and calculations to assure that the expected project scope can be achieved adequately within the available funds iii. Identify any shortfalls and suggest (other than the provision of additional funds) methods of achieving balance between scope and budget. iv. Compile the result of the preceding tasks into a bound report that will be presented to the Owner and Using Agency in draft form for review and approval. v. Upon approval, provide five bound copies of the report to Owner. c. Prepare a task-related project delivery schedule. Phase I Services. The parties shall provide Phase I Services as provided herein and as provided in Exhibit C ("Phases"):
Phase I Services. DESIGN General. Phase I Design will be divided into three or more stages, including but not limited to Pre-Design, Schematic Design, and Design Development. The Architect/Engineer will, on behalf of the City, file all applications for utilities commitments and furnish any additional information necessary to obtain utility commitments. 1. Pre-Design services may include, if requested by the Director, but are not limited to, the following: a) As part of the Pre-Design commissioning activities, when requested; a xxxxxxxx to develop the Owner’s Project Requirements (OPR) document will be held. The Architect/Engineer and their Subconsultants will participate in the development of the OPR. b) Referencing the OPR and documents coming out of the programming effort, the Architect/Engineer and their Subconsultants will develop a Basis of Design (BOD) document. This BOD will be a technical narrative describing how the design goals stated in the OPR are to be achieved. 2. Schematic or Preliminary Design (30%) services may include, if requested by the Director, but are not limited to, the following: (a) General listing of the types, quantities and sizes of spaces included in the design. Prepare a comparison of these spaces with those listed in the Program, if there is a variance. (b) Scaled drawings of the site plan, floor plan(s), exterior elevations and transverse and longitudinal sections through the building, construction details, finishes, equipment and furniture schedules when required, and any other documentation required to complete the project design. (c) Preliminary Cost Estimate of the probable Construction Cost (Rough Order of Magnitude – ROM) of the LOA, based on proposed systems, quantities, and project requirements. (d) General statement or schedule of proposed finishes. (e) General statement of proposed structural system or systems in sufficient detail to demonstrate that spatial and functional requirements have been accommodated and to provide a valid basis for the preliminary estimate of Construction Cost. (f) General statement of proposed mechanical, electrical, and plumbing systems, in sufficient detail to demonstrate that spatial and functional requirements have been accommodated and to provide a valid basis for the preliminary estimate of Construction Cost. 3. Phase I Services. The parties shall provide Phase I Services as provided herein and as provided in Exhibit C ("Phases"): 2.1 E-mail or other approved Promotion. At least one (1) time each calendar quarter during the Term, commencing with the Effective Date, Town Pages will direct an e-mail campaign to all Registered Users. Such e-mail campaign shall, at a minimum, reasonably promote the Co-Branded Site, and may, at Town Pages discretion, include additional material regarding Town Pages and its goods and services.

Phase I Services. Within a commercially reasonable time (which time shall not exceed forty-five (45) business days) after its acceptance of any Search Ring that is a part of Conestoga's Batch Search Ring Submission, Mountain Union shall, for each such Active Search Ring, identify for Conestoga in writing: (i) the location of at least three (3) potential Site(s) within the Active Search Ring (each, a "Potential Site"), together with the address, latitude, longitude and ground elevation thereof; (ii) a photo of each Potential Site; and (iii) the property zoning designation applicable to each Potential Site (collectively, the "Phase I Data"). Within a commercially reasonable time after its receipt of the Phase I Data for the Search Rings that are a part of the Batch Search Ring Submission, Conestoga shall inform Mountain Union in writing as to whether it accepts or rejects the Potential Site(s) ("Site Acceptance Notice"). With respect to Search Rings submitted to Mountain Union on an individual basis, within ten (10) business days after its acceptance of a Search Ring, Mountain Union shall identify the requisite Phase I Data therefor in writing. With respect to such individually submitted Search Rings, Conestoga shall provide the Site Acceptance Notice to Mountain Union not later than ten (10) business days after its receipt of the Phase I Data therefor. In the event that Conestoga accepts a Potential Site, Mountain Union shall promptly commence the performance of Phase II Services with respect thereto.
Phase I Services. During Phase I, which shall commence as of the Effective Date, the Management Services shall include consulting, pre-opening and technical services to Owner in connection with planning, developing, constructing, furnishing, equipping and staffing The Cannery. Phase I Services. Within ten (10) business days of execution of this Agreement, Consultant Firm shall submit an initial billing invoice (“Initial Invoice”) to the District for payment of an initial installment of $50,000 toward the Phase I Fee. Consultant Firm shall submit a second billing invoice to the District on or about January 1, 2023, for payment of a second installment of $50,000 towards the Phase I Fee (“Second Invoice”). This Second Invoice may also contain authorized Additional Consultant Services and allowable Reimbursable Expenses performed or incurred since issuance of the Initial Invoice, which xxxxxxxx shall be in such form and format as may be reasonably requested by District, and shall be supported by substantiating data. Consultant Firm shall submit a final billing invoice (“Final Invoice”) for the remainder of the Phase I Fee upon completion of all Phase I Services. Consultant Firm will also invoice for all 7/11 Committee Fees upon completion of all hourly services provided to prepare for or present in front of the District’s 7/11 Committee. These 7/11 Committee Fees may be included in the Second Invoice, or in subsequent, separate invoices before the Final Invoice.
Phase I Services. 5.2.1.1 Within fourteen (14) days from the Execution Date, the Developer shall prepare, or cause others to prepare, and submit to the Agent, for the Agent's acceptance, an initial plan of development consisting of, among other things, the Conceptual Drawings, the Outline Specifications, the Development Schedule, and the Budget (the "Phase I Plan of Development"). Upon receipt of a complete Phase I Plan of Development from the Developer, the Agent shall have fourteen (14) days to review same (the "Phase I Review Period"). On or before the expiration of the Phase I Review Period, the Agent shall either: (i) accept the Phase I Plan of Development by transmitting written notice of acceptance to the Developer, or (ii) transmit, in writing, its review comments to the Developer. Upon the receipt of such review comments by the Developer, but in no event later than fourteen (14) days from the date of receipt by the Developer of such review comments, the Developer shall incorporate such review comments into the Phase I Plan of Development or shall notify the Agent, in writing, that such review comments, if it is the case, cannot be incorporated into the Phase I Plan of Development because such review comments, if incorporated into the Phase I Plan of Development, would have a material and adverse impact upon the Project (a "Phase I Issue"). In the event that the Developer incorporates such review comments into the Phase I Plan of Development, the Developer shall resubmit the Phase I Plan of Development to the Agent, and the above-described process of the Agent's review and the Developer's revisions will continue until the Agent accepts the Phase I Plan of Development; provided, however, the Agent, in connection with its review of any comments, may not include any new review comments unrelated to those that were previously provided in its prior comments to the Phase I Plan of Development. Additionally, if the Agent fails to provide its review comments within the appropriate Phase I Review Period, the Phase I Plan of Development shall be deemed accepted upon the expiration of the most current Phase I Review Period, except as to any unaddressed review comments remaining from any prior Phase I Review Period. In the event of the occurrence of a Phase I Issue, the Agent shall be entitled to avail itself of the dispute resolution procedure set forth in this Agreement to resolve such a Phase I Issue.
