Phase I Services. Phase I Services shall mean and include all of the following services:
Phase I Services. The parties shall provide Phase I Services as provided herein and as provided in Exhibit C ("Phases"):
Phase I Services. DESIGN General. Phase I Design will be divided into three or more stages, including but not limited to Pre-Design, Schematic Design, and Design Development. The Architect/Engineer will, on behalf of the City, file all applications for utilities commitments and furnish any additional information necessary to obtain utility commitments.

Phase I Services. 5.2.1.1 Within fourteen (14) days from the Execution Date, the Developer shall prepare, or cause others to prepare, and submit to the Agent, for the Agent's acceptance, an initial plan of development consisting of, among other things, the Conceptual Drawings, the Outline Specifications, the Development Schedule, and the Budget (the "Phase I Plan of Development"). Upon receipt of a complete Phase I Plan of Development from the Developer, the Agent shall have fourteen (14) days to review same (the "Phase I Review Period"). On or before the expiration of the Phase I Review Period, the Agent shall either: (i) accept the Phase I Plan of Development by transmitting written notice of acceptance to the Developer, or (ii) transmit, in writing, its review comments to the Developer. Upon the receipt of such review comments by the Developer, but in no event later than fourteen (14) days from the date of receipt by the Developer of such review comments, the Developer shall incorporate such review comments into the Phase I Plan of Development or shall notify the Agent, in writing, that such review comments, if it is the case, cannot be incorporated into the Phase I Plan of Development because such review comments, if incorporated into the Phase I Plan of Development, would have a material and adverse impact upon the Project (a "Phase I Issue"). In the event that the Developer incorporates such review comments into the Phase I Plan of Development, the Developer shall resubmit the Phase I Plan of Development to the Agent, and the above-described process of the Agent's review and the Developer's revisions will continue until the Agent accepts the Phase I Plan of Development; provided, however, the Agent, in connection with its review of any comments, may not include any new review comments unrelated to those that were previously provided in its prior comments to the Phase I Plan of Development. Additionally, if the Agent fails to provide its review comments within the appropriate Phase I Review Period, the Phase I Plan of Development shall be deemed accepted upon the expiration of the most current Phase I Review Period, except as to any unaddressed review comments remaining from any prior Phase I Review Period. In the event of the occurrence of a Phase I Issue, the Agent shall be entitled to avail itself of the dispute resolution procedure set forth in this Agreement to resolve such a Phase I Issue. Phase I Services. During Phase I, which shall commence as of the Effective Date, the Management Services shall include consulting, pre-opening and technical services to Owner in connection with planning, developing, constructing, furnishing, equipping and staffing The Cannery. Such services will include assisting Owner and the various Design Professionals (as defined below) and contractors in the provision and coordination of their services, including, but not limited to:
Phase I Services. During Phase I, which shall commence immediately, the Manager shall perform the following consulting and technical services on behalf of Owner in order to provide the Owner and Owner’s design and development team with the benefit of Manager’s expertise in planning, designing and “laying out” of the Hotel from an operational point of view, and to assist the Owner, Owner’s “Project Manager,” and the various “Design Professionals” and contractors in coordinating their work with one another, as and when required, as follows:
Phase I Services. In addition to the Agreement Coordinators, BCSC designated a Development Manager and Astrotech designated a Construction Manager who together were responsible for coordinating all technical activities, including the day-to-day activity schedules, performed under Phase I of this Agreement, and Astrotech provided a Resident Technical Representative who resided at the BCSC office. In case of doubt as to whether a matter was technical or contractual, a determination was made through coordination by the Agreement Coordinators. No direction from the Development Manager increased the obligations of either party to the other. The Development Manager used the Home Port Integrated Product team (hereinafter called “Home Port IPT”) to assist in making decisions, but all technical direction to Astrotech came from the Development Manager. The Home Port IPT consisted of representatives from BCSC and Astrotech, including the BCSC and Astrotech Agreement Coordinators, the BCSC Development Manager, and the Astrotech Construction Manager. Astrotech could not enter into any contracts without the approval of the BCSC Agreement Coordinator; however, when necessary to maintain schedule the Astrotech Construction Manager was authorized to issue individual contract change orders up to $5,000 in amount. The following representatives of the parties were designated as BCSC Development Manager and Astrotech Construction Manager: BCSC Development Manager: Xx. Xxxxxx X. Phase I Services. Within a commercially reasonable time (which time shall not exceed forty-five (45) business days) after its acceptance of any Search Ring that is a part of Conestoga's Batch Search Ring Submission, Mountain Union shall, for each such Active Search Ring, identify for Conestoga in writing: (i) the location of at least three (3) potential Site(s) within the Active Search Ring (each, a "Potential Site"), together with the address, latitude, longitude and ground elevation thereof; (ii) a photo of each Potential Site; and (iii) the property zoning designation applicable to each Potential Site (collectively, the "Phase I Data"). Within a commercially reasonable time after its receipt of the Phase I Data for the Search Rings that are a part of the Batch Search Ring Submission, Conestoga shall inform Mountain Union in writing as to whether it accepts or rejects the Potential Site(s) ("Site Acceptance Notice"). With respect to Search Rings submitted to Mountain Union on an individual basis, within ten (10) business days after its acceptance of a Search Ring, Mountain Union shall identify the requisite Phase I Data therefor in writing. With respect to such individually submitted Search Rings, Conestoga shall provide the Site Acceptance Notice to Mountain Union not later than ten (10) business days after its receipt of the Phase I Data therefor. In the event that Conestoga accepts a Potential Site, Mountain Union shall promptly commence the performance of Phase II Services with respect thereto.
