THE CUSTOMER’S RESPONSIBILITIES. 2.1 The Customer agrees: 2.1.1 To ensure the safe use and custody of all equipment provided by Global 4. To ensure that any equipment used by the Customer in conjunction with the Service conforms to the relevant standards and approvals (e.g. European Consumer Equipment Standards ‘CE’ mark). 2.1.2 To ensure that Global 4 has such rights of access, and such facilities as Global 4 reasonably requires, to perform its obligations under this Agreement. You also agree, where relevant, to get permission needed from someone else if we have to cross their land or position our equipment in their premises to deliver your Service. 2.1.3 To comply with Global 4’s reasonable instructions to modify its equipment in order to receive the Service. 2.1.4 To return all equipment owned by Global 4 upon termination of the Agreement at your own expense. The equipment we provide is loaned to you for the length of the agreement and remains the property of Global 4. Any equipment not returned within 14 days will be chargeable and invoiced to you as follows: a) £39 charge for a TG588 model router. b) £59 charge for a DWA0120 model router. Proof of postage will be required for any router returned at the request of Global 4. 2.1.5 Any router supplied with our Service must be connected to the master socket in the premises or Global4 cannot accept any responsibility for associated deterioration in Service which may result (e.g. poor or inferior wiring in the customer’s premises). 2.1.6 To accept that if we provide you with a telephone number that you do not own that phone number and will not transfer it to anyone else or try to do so. 2.1.7 To accept that if you have internet access provided by us that your use of the internet is at your own risk. You are responsible for ensuring that any equipment used to access the service is protected against viruses and agree that Global 4 is not responsible for any equipment you have connected to the service that has not been provided by Global 4 (this includes any device you chose to connected to the service whether that connection is made via Ethernet cable or wirelessly). 2.1.8 To accept that it is the responsibility of the Customer for proper use of any user ID's, personal identification numbers (PINs) and passwords needed for the Service. THE CUSTOMER’S RESPONSIBILITIES. 7.1 The Customer shall provide the Supplier and all other persons duly authorised by the Supplier with full, safe and uninterrupted access including remote access to the Customer's premises, systems, facilities and the Software as may reasonably be required for the purpose of performing the Services, such access, except in the case of emergency or agreed out-of-hours downtime, to be within the Standard Support Hours. Where the Services are to be performed at any of the Customer's premises, the Customer shall provide adequate working space and office facilities (including telephone) for use by the Supplier’s staff and take reasonable care to ensure their health and safety. 7.2 The Customer shall ensure that appropriate environmental conditions are maintained for the Supported Software and shall take all reasonable steps to ensure that the Supported Software is operated in a proper manner by the Customer's employees. 7.3 The Customer shall: 7.3.1 co-operate with the Supplier in performing the Services and provide any assistance, materials or information as may reasonably be required by the Supplier, including in relation to the diagnosis of any faults; 7.3.2 report faults promptly to the Supplier; and 7.3.3 keep full backup copies of all of its data. 7.4 The Supplier shall not be liable for any failure to provide or any delay or error in providing any part of the Services resulting from the Customer’s failure to comply with this clause 7. 7.5 Notwithstanding clause 7.4 above, the Customer shall indemnify the Supplier against any losses, damages, costs (including legal fees) and expenses incurred by or awarded against the Supplier as a result of the Customer's breach of this agreement howsoever arising or any negligent or wrongful act of the Customer, its officers, employees, contractors or agents.
THE CUSTOMER’S RESPONSIBILITIES. (1) The customer is obliged to observe all public and private rules and regulations applicable to the use of the machine and special equipment etc., including safety and environmental requirements. Furthermore, the customer is obliged to obtain all necessary public or private authorisations, permits and approvals in connection with possession or use of the machine. (2) The customer bears the risk of and cannot claim in relation to UnikTruck that any necessary authorisation, permit or approval cannot be obtained or is revoked or that the use of the machine and special equipment etc. is terminated or limited through public or private regulations. (3) The customer indemnifies and is liable for any costs which UnikTruck is ordered to pay to the authorities or to third parties due to the customer's use of the machine and special equipment etc. or the customer’s failure to obtain necessary public or private authorisations, permits and approvals. (4) The customer bears the risk and must therefore indemnify UnikTruck for damage or injuries to the customer, the customer's staff, third parties or third parties’ property caused by the customer's use of the machine. (5) The customer may not sublet, sublease or in any other way leave the use of the machine to any third party unless specifically agreed with UnikTruck.
THE CUSTOMER’S RESPONSIBILITIES. 4.1 The Customer agrees: (a) to follow Arrowhead’s reasonable instructions about the use of the SIM card and the Services; (b) not to use the SIM card for voice or text communications; (c) not to use the Services or allow the Services to be used, to spam or abuse others, to cause a nuisance to others or for any offensive, malicious, unlawful or fraudulent purpose; (d) not to use the Services in any way which would interfere with or damage the Network or any other operator’s network, or any other Customer’s enjoyment of the Services; (e) to advise Arrowhead as soon as possible if the SIM card is stolen, lost or damaged. The Customer will pay for any charges incurred up to the time Arrowhead is advised of the loss or theft; (f) to pay Arrowhead’s Charges (including GST, if any) on the Payment Date and to pay any Additional Usage Charges within seven (7) days of receipt of an invoice from Arrowhead detailing the additional usage which exceeds the monthly allowance of 300KB; and (g) advise Arrowhead if the Customer changes its address or contact details
THE CUSTOMER’S RESPONSIBILITIES. 4.1 The Customer, its agents, sub-contractors and tenants shall ensure that the Waste Containers are kept safe, in good condition and remain fit for purpose. 4.2 The Customer shall be liable for any damage caused to the Waste Container.. 4.3 The Customer shall be responsible for: (a) the health and safety of the Council’s workers and appointed Waste Carriers and any other person who may be affected by the Customer's actions in connection with the use, handling, storage, transport of and access to the Waste or the Waste Containers on the Premises; (b) packaging the Waste to ensure that it does not escape whilst in transit and is safe for transportation, unless the Customer has an alternative arrangement agreed with the Council prior to the collection; (c) the Waste in accordance with Section 34 EPA. (d) keeping the Council updated with contact information including but not limited to, changes in contact details and billing and site contact addresses/email addresses (e) keeping the Council informed of any other information that may reasonably be deemed to be material to this Contract 4.4 the Customer shall be responsible for the actions or omissions of its agents, sub-contractors or tenants in relation to 4.3(a)-(c) above. 4.5 The Customer shall allow the Council, Waste Carrier or its appointed agent access to the Premises at any reasonable time for the purpose of carrying out the Services.
THE CUSTOMER’S RESPONSIBILITIES. 5.2.1. The Customer is responsible for the Customer’s and the Users’ compliance with these Terms of Service, the Terms of Use and any laws and regulations applicable to the use of the Service. 5.2.2. All Customer Data uploaded to, transferred through, publicly posted, processed or entered into the Services by the Customer and/or a User is the sole responsibility of the Customer. The Customer is Data Controller and Boardeaser is Data Processor regarding Data Protection. 5.2.3. The Customer agrees that it shall treat (i) the Service that is accessible to the Customer only via password protected access and (ii) any documentation or materials Boardeaser makes available to the Customer and the Users under these Terms of Service as confidential and shall not disclose them to any third party. 5.2.4. The Customer is responsible for its passwords and all activity within its Service accounts including that of Users. The Customer must keep its accounts and passwords confidential. The Customer must inform Boardeaser right away about any possible misuse of its accounts or any security incident related to the Service.
THE CUSTOMER’S RESPONSIBILITIES a. The Customer acknowledges that UKDedicated has no knowledge of the type/content of any personal data received, stored, or transmitted to UKDedicated platform, by using the Services. b. If UKDedicated believes or becomes aware that its processing of Customer personal data is likely to result in a high risk to the data protection rights and freedoms of data subjects, it shall inform the Customer and provide reasonable cooperation to the Customer (at the Customer's expense) in connection with any data protection impact assessment that may be required under Applicable Data Protection Law. c. In respect of personal data which the Customer receives, stores, or transmits using the Services, the Customer: i. will ensure, and warrants that, it has all necessary and appropriate consents and notices in place to lawfully transfer the personal data to UKDedicated, for the duration and purposes of this Agreement; ii. undertakes that its use of the Services for processing personal data will each (i) comply with privacy laws or regulations applicable to its Processing of Customer Personal Data, (ii) not cause UKDedicated to infringe Applicable Data Protection Law. The Customer will ensure that it has all necessary consents, notices and other requirements in place to enable lawful processing of the Customer personal data by UKDedicated for the duration and purposes of this Agreement; iii. shall, unless otherwise provided for in the Agreement, be solely responsible for the legality, confidentiality, integrity, availability, accuracy and quality of all data it processes; iv. shall be solely responsible for ensuring the safety and security of all the data it controls and processes. The Customer warrants it has relevant and appropriate security measures in place to adequately protect the personal data it collects/processes. The Customer must verify the adequacy of UKDedicated’s security measures as appropriate for the type of personal data the Customer collects/processes and stores on UKDedicated’s platform. The Customer should refer to the Acceptable Use Policy to ensure it is not in breach of UKDedicated’s terms and conditions. v. is solely responsible for responding to any request from a data subject and in ensuring its own compliance with its obligations under Data Protection Legislation with respect to security, breach notifications, impact assessments and consultations with supervisory authorities or regulators; vi. shall indemnify UKDedicated against any claims, acti...

THE CUSTOMER’S RESPONSIBILITIES. 10.1. The Customer shall provide Viva City with all information, access, and full good faith cooperation reasonably necessary to enable Viva City to deliver the Professional Services and shall do anything that is identified in the Order Form as the Customer’s responsibility. If the Customer fails to do this, Viva City shall be relieved of its obligations to the extent that the obligations are dependent upon the Customer’s performance. 10.2. Without prejudice to the generality of Clause 10.1, the Customer shall obtain and maintain all necessary licences, permissions and consents which may be required in order for Viva City to perform and supply the Professional Services and the Subscription Services including without prejudice to the foregoing generality, the creation and maintenance of a WeChat Account and to provide Viva City with the appropriate administration permissions as detailed in the appropriate Order Form. The administration permissions including log-in details will be treated as Confidential Information in terms of Clause 16;
THE CUSTOMER’S RESPONSIBILITIES. 2.1. The Customer shall, in a timely manner, provide (and shall be responsible for procuring that any third party appointed by or under its control also provides) to Alscient such information and help as is reasonably required by Alscient to enable it to perform its obligations under this Agreement and the Statement of Work. 2.2. Alscient shall not be liable for any failure of or delay in the performance of the Services or supply of the Work Product or any defect in the Services or Work Product, which is caused or contributed to by the Customer (or any third party appointed by or under the control of the Customer). In the case of failure or delay, the timetable or any completion date agreed by the Parties for the work specified in that Statement of Work shall be automatically extended to the extent that the failure or period of delay was caused or contributed to by the Customer/third party and the Customer shall be responsible for paying any additional costs incurred by Alscient as a result thereof.
