FACULTY GOVERNANCE. It is agreed that the Faculty Constitution and Bylaws of the Southern Oregon University faculty shall coexist with this Agreement as a governing document. Where the Faculty Constitution and Bylaws are inconsistent or silent with respect to the terms of this agreement, the terms of this agreement will prevail. Proposed changes in the Faculty Constitution and Bylaws shall continue to be subject to the approval or veto of the University President and shall not be subject to further negotiations. Moreover, any alleged misapplication or misinterpretation of the Constitution or its Bylaws or of this Article shall not be made subject to the grievance and arbitration provision as contained in Article 17 (Grievance Procedure and Arbitration) of this Agreement.
FACULTY GOVERNANCE. The presently constituted organizations within the University (e.g., the University Senate, Faculty Councils, Department Personnel and Budget Committees, etc.) or any other or similar body composed in whole or in part of the faculty, shall continue to function at the University, provided that the actions thereof may not directly or indirectly repeal, rescind or modify the terms and conditions of this Agreement.
FACULTY GOVERNANCE. The CSU Board of Trustees/Administration and CSU-AAUP recognize the necessity of faculty participation in the making of academic and educational policies not subject to collective bargaining. The Cleveland State University Board of Trustees/Administration and the CSU - AAUP recognize and affirm the Faculty Senate as the appropriate instrumentality for faculty participation in the governance of the University and fully support an independent and effective Faculty Senate. The role and responsibilities of the CSU Faculty Senate and its standing committees are described in the Bylaws of the Faculty Senate, which are available in the Faculty Personnel Policies at the Office of Compliance website: xxxx://xxx.xxxxxxx.xxx/compliance/faculty-personnel-policies
FACULTY GOVERNANCE. A. The Federation, as elected bargaining agent, retains the exclusive right to negotiate and reach agreement on all matters pertaining to wages, benefits and terms and conditions of employment. Without waiving this right, the Federation recognizes the desirability of some form of democratic faculty governance in areas of academic concern. Such faculty governance shall be implemented through a Faculty Assembly on each campus, consisting of all faculty and ranked librarians only. Presidents and their representatives may request and shall be granted invitations to meetings of the assembly and its committees to present and discuss administrative proposals in the areas listed in C. below.
B. The existence of the Faculty Assembly as an instrument of faculty governance shall not preclude the President from holding a reasonable number of faculty meetings, with reasonable notice in cases other than emergencies.
C. Recognizing the final determining authority of the President, matters of academic concern shall be initiated by the Faculty Assembly or by the President through the Faculty Assembly which shall consider the matter and respond within a reasonable time. Such matters shall include:
1. The selection of department chairperson, program coordinators or other instructional academic unit coordinators, to be elected periodically by secret ballot by members of that unit. Department chairpersons and program coordinators shall be elected by the full department or academic unit. All regular members of the academic unit, including those on sabbatical or leave shall have the right to vote in such elections. In the event that the President believes the selection is not in the best interest of the College, he/she may veto the selection and a new election will be held to select a different candidate which may also result in a Presidential veto. The duties of the chairperson are delineated in Appendix H of this Agreement [NOTE: This probably refers to Appendix G of the 1999-2003 Full-time Faculty Agreement. The duties of the department chairperson are now set forth in Article 25 of the Full-time Faculty Agreement 2004-2010]. The President shall retain the right to remove the chairperson from his/her position for failure to carry out such duties satisfactorily. In such a case, the above procedure shall be used in selecting a replacement.

These currently include:
a. all curricular matters, including establishment, dissolution and substantial changes of degree programs
b. research and scholarship
c. admissions standards and prerequisites d. requirements for regular certificates and degrees

A. all curricular matters, including establishment, dissolution and substantial changes of degree programs;
B. research and scholarship;
C. admissions standards and prerequisites;
D. requirements for regular certificates and degrees;
E. regulations regarding attendance, examinations, grading, scholastic standing and honors;
F. teaching quality;
G. professional standards and criteria for positions accorded academic rank;
H. other academic matters referred to it by the Board of Trustees, the University administration, the faculty of a school, college, department, Extension or the Libraries or other members of the University community;
I. approval of the academic calendar prepared by the Registrar.
2. While the Board, acting directly or through its authorized agents, retains final authority as to all matters of institutional governance, it is recognized that the faculty, acting through the Faculty Senate and its Committees (“Faculty Senate”), shall review, recommend and participate in the formulation of policy with regard to:
A. institutional priorities;
B. the allocation and utilization of the University’s human, fiscal and physical resources;
C. academic organization, including the establishment or elimination of colleges and departments and the reorganization of the general University and college academic structure;
D. admissions procedures and quotas;
E. student financial aid;
F. the library, the academic computing center, instrumentation and model facility, audiovisual center, University store, the museum, supporting services, etc. as they affect scholarly activities and research;
G. administrative procedures and organizational structures;
H. the appointment and promotion of academic and policy-level administrative officers, including all those at the budget management level whose functions are University-wide;
I. the selection of the University President, Xxxxxxx and Vice Presidents whenever those J. offices become vacant or are created;
K. the regulations concerning, and the awarding of honorary degree...

B. Recognizing the final determining authority of the President, matters of academic concern shall be initiated by the Academic Council or by the President or Academic Xxxx through the Academic Council, which shall consider the matter and respond within a reasonable time.

The President may address the Assembly, at the request of either the President or the Assembly, on topics other than those enumerated in C. below, provided, however, that granting such requests shall not be mandatory.
B. The existence of the Faculty Assembly as an instrument of faculty governance shall not preclude the President from holding a reasonable number of faculty meetings, with reasonable notice in cases other than emergencies.

Recognizing the final determining authority of the President, matters of academic concern shall be initiated by the Faculty Assembly or by the President through the Faculty Assembly which shall consider the matter and respond within a reasonable time. The parties further recognize that the NVU Faculty Council, comprised of representatives from each campus, shall be the principal conduit for communication between the administration and the faculty at each campus at Northern Vermont University.
