Producer Obligations. 2.1 The Producer will provide a full and efficient company (the "Production Company"), using appropriate care, diligence and skill as would normally be expected to present the Production to a high quality standard.

(b) Producer will ensure it has obtained, and retains, all necessary rights, licences, consents and other authorities that are required by RNZ for on-air and online platforms and for additional distributions. (c) If Producer licences any Content for exclusive distribution in New Zealand, it will ensure that the licence does not conflict with any of its obligations under this Agreement. (d) Producer will not dispose of any of its rights or title in any Content, other than in accordance with clause 14.4 of Schedule 2.

Producer shall offer Phoenix Products only in those states where it has valid licenses (to the extent licensing is required) at the time of solicitation and sale, has completed legally required educational requirements, if any, and is otherwise in good standing with each state agency that regulates the sale of the Phoenix Products.

Producer acknowledges and agrees that in order to protect the integrity of the Facility’s role as a correctional facility, and to maintain the safety of officers and the public (inclusive of Producer’s personnel), Producer agrees to abide by the guidelines, standard operating procedures and policies as determined by the Sheriff for purposes of the foregoing with regards to the production of the Series, as mutually agreed upon prior to filming. County/Sheriff will be entitled (but not obligated) to have a representative present during all actual filming of the Series by Producer (if and as applicable); provided that such representatives shall not interfere with and/or hinder Producer’s schedule, the filming of the Series or Producer’s editorial decisions, and provided that the sole purpose of this provision is to allow Sheriff to ensure that any filming/by Producer and Producer’s personnel shall not interfere with the operation of the Facility or the safety of Personnel or the carrying out of duties as a correctional facility.
