Confidentiality. 6.1 Chacune des Parties préservera la confidentialité de toutes les Informations Confidentielles qu’elle est susceptible d’acquérir de l’autre Partie.
6.1 Each Party will keep confidential any and all Confidential Information that it may acquire from the other Party.
6.2 Chacune des Parties s’interdit d’utiliser les Informations Confidentielles de l’autre Parties à des fins autres que le respect de ses obligations au titre du Contrat. Chacune des Parties s’assurera en outre du respect, par ses mandataires et son personnel, des stipulations du présent article 6 (Confidentialité).
6.2 Neither Party will use the Confidential Information of the other Party for any purpose other than to perform its obligations under the Contract. Each Party will ensure that its officers and employees comply with the provisions of this clause 6 (Confidentiality).
6.3 Les obligations de la Partie destinataire des Informations Confidentielles énoncées aux articles 6.1 et 6.2 ne s’appliquent pas aux informations qui : 6.3 The obligations on the recipient of the Confidential Information set out in clauses 6.1 and 6.2 will not apply to any information which:
6.3.1 sont ou tombent dans le domaine public sans faute (action ou omission) de la part du destinataire ; ou 6.3.1 is publicly available or becomes publicly available through no act or omission of the recipient; or
6.3.2 dont la divulgation par le destinataire est requise par les tribunaux compétents, par voie d’ordonnance, mais dans les limites de ce qui est indiqué dans ladite ordonnance. 6.3.2 the recipient is required to disclose by order of a court of competent jurisdiction, but only to the extent stated in such order.
6.4 Chacune des Parties convient de permettre à l’autre Partie et à ses affiliées de conserver et d’utiliser les coordonnées professionnelles de l’autre Partie, en ce compris les noms, numéros de téléphone professionnels et e-mails professionnels (ensemble les « Coordonnées »), en lien avec le présent Contrat, dans tout pays où cette Partie exerce son activité. Ces informations feront l’objet d’un traitement et d’une utilisation uniquement en lien avec le présent Contrat et avec la commercialisation des services du Fournisseur. Elles pourront être fournies aux sous-traitants chargés de promouvoir, commercialiser et fournir un support pour certains biens et services du Fournisseur, ainsi qu’aux cessionnaires de chacune des Parties pour des fins conformes au Contrat.
Confidentiality. All technical and commercial information and ideas which Seller has supplied or shall supply Buyer, but excluding information in the public domain or properly in Buyer's possession in tangible form before receiving such information from Seller, ("confidential information") is proprietary to Seller and is disclosed to Buyer in confidence for the limited purpose of assisting Buyer in the evaluation or use of Seller's products. Buyer shall not without Seller's prior written consent, disclose or make available such confidential information to any other person or use such confidential information except for such limited purpose. All confidential information shall be returned to Seller on demand, and, in any event, when no longer needed by Buyer in connection with Seller's products. In addition to ▇▇▇▇▇▇'▇ other remedies, ▇▇▇▇▇ agrees that any benefit or property derived by ▇▇▇▇▇ from any unauthorized use of confidential information shall be the sole and exclusive property of Seller and Buyer undertakes to do anything necessary to formally transfer such property to Seller.
Confidentiality. The Parties undertake to maintain absolute secrecy concerning all information, interviews and documents, applications, methods, as well as any technical, pricing, competitive elements, etc. (hereinafter: "the Information") of which they may become aware under these Terms and Conditions. Similarly, the Parties undertake not to disclose any or part of such Information that they might be led to share, regardless of its nature. If the Parties, for the proper performance of these Terms and Conditions, are required to disclose to subcontractors certain elements of the Information hereby covered, they are responsible on their own account for respecting the confidentiality of the Information. Any confidential information and all copies or notes sent by either Party shall remain the property of each Party. Any Information shared shall be returned upon request within one week of the return request. This commitment will bind the Parties for a period of five years following the end of the Contract. A breach of confidentiality would rightfully entitle RUE DU COMMERCE to suspend publication of the entire catalogue and terminate the Contract pursuant to the conditions set forth in Articles 33 and 34 hereinafter.
Confidentiality. 15.1 Each Party shall protect the other Party’s Confidential Information using the same degree of care used to protect its own Confidential Information, but in no event less than a reasonable degree of care. The receiving Party shall not (i) use Confidential Information for any purpose outside the scope of this Agreement, or (ii) voluntarily disclose Confidential Information except to employees, contractors and agents as required to perform its obligations under the Agreement. Notwithstanding the foregoing, a Party may disclose the other Party’s Confidential Information to the extent that it is required to be disclosed in accordance with an order or requirement of a court, administrative agency or other governmental body, provided that such Party, to the extent permitted by Law, provides the other Party with prompt notice of such order or requirement in order that it may seek a protective order.
15.2 Each Party’s confidentiality obligations hereunder will continue for a period of five (5) years following any termination of the Agreement, provided, however, that each Party’s obligations will survive and continue in effect thereafter with respect to, and for so long as, any Confidential Information continues to be a trade secret under applicable Law. The Parties acknowledge and agree that Nextlane Software Product and all pricing information shall be the Confidential Information of Nextlane.
Confidentiality. Chaque Partie protègera les Informations Confidentielles de l’autre Partie et ne diffusera, ni n’utilisera ces dites informations, sauf dans la limite nécessaire de ses droits ou obligations expresses ci-après. La divulgation par une Partie des Informations Confidentielles de l’autre Partie ne pourra se faire uniquement qu’auprès des employés ou consultants qui ont besoin de les connaître et qui ont accepté de respecter leur confidentialité dans les conditions prévues aux présentes. En dépit de ce qui précède, une Partie est susceptible de divulguer les Informations Confidentielles de l’autre Partie dans la mesure où elles doivent l’être en vertu d’une ordonnance ou d’une obligation rendue par un tribunal, une administration ou un autre organisme gouvernemental, sous réserve que cette Partie, dans la limite autorisée par la loi, avertisse sans délai l’autre Partie de cette ordonnance ou obligation afin qu’elle puisse prendre toutes les mesures conservatoires nécessaires. Les obligations de confidentialité de chaque Partie, visées aux présentes, s’étendront sur une période de three (3) ans après la résiliation de ce Contrat, sous réserve, toutefois, que les obligations de chaque Partie soient maintenues et restent en vigueur par la suite, relativement et aussi longtemps que ces Informations Confidentielles restent un secret commercial conformément à la loi applicable. Les Parties reconnaissent et conviennent que le Produits Qlik et tous les renseignements relatifs aux prix soient traités comme des Informations Confidentielles de Qlik. Le Client maintiendra des contrôles d'accès ainsi qu’une la sécurité du système adéquates afin de protéger les Produits Qlik.
Confidentiality. 12.1 The Supplier is obliged to treat the contractual relationship and its completion as such, as well as any information it receives in the course of the contract, as confidential, unless the Supplier can prove to SCHOTT that it was already aware of this information or that it was made available to him later without a confidentiality obligation by a third party authorized to do so, or that they were or later became generally accessible to the public without the Supplier being at fault for this.
12.2 Any disclosure with respect to deliveries or services which contain confidential information in accordance with item 12.1 requires the express prior written consent of SCHOTT.
12.3 The confidentiality obligation continues to be valid even after completion of the order.
Confidentiality. The BENEFICIARY agrees to maintain the confidentiality of any scientific, technical, economic or other information, whatever the medium, as well as of any product, sample, compound, biological matter, devices, system, software or any other item that is not in the public domain, methodologies and know- how that he could be aware of during his stay within the RESEARCH LAB. The BENEFICIARY also agrees to consider the STUDY’s results as confidential. The above-mentioned undertakings shall apply for the whole of the BENEFICIARY’s stay within the RESEARCH LAB and shall remain applicable for five (5) years after the expiration of this undertaking subject to the specific provisions resulting from a contract between CNRS and a third partner covering all or part of the STUDY.
Confidentiality. Management Board members shall treat all information and documentation acquired within the framework of their position as Management Board member with the necessary discretion and, in the case of confidential information, with the appropriate secrecy. Confidential information shall not be disclosed outside the Management Board or the Supervisory Board, made public or otherwise made available to third parties, even after resignation from the Management Board, unless it has been made public by the Company or it has been established that the information is already in the public domain.
Confidentiality. 16.1 Keep Confidential: Each Party shall keep confidential the other Party’s Shared Data and shall not, without the prior written consent of the other Party, use, disclose, copy or modify the Shared Data other than as necessary for the exercise of its rights, and performance of its obligations, under this DPA.
16.2 Mandatory Disclosure: If a party is required by law or by any order of any court or governmental or regulatory authority to disclose the Shared Data of the other party, it shall promptly notify that other party of receipt of notice of that requirement and, at the request and cost of that other party, shall assist it in opposing any such disclosure.
Confidentiality. The contractor is bound to comply with the obligation of professional secrecy and discretion regarding all information that may be communicated to it for the requirements of the services ordered or which it may learn of while performing the services, and the results of these services, whatever the nature (technical, legal, scientific, financial, etc.) and form of this information. Therefore, the contractor shall abstain from reproducing, communicating or using for itself or for a third party, in any form whatsoever, the corresponding information except for the needs of the order and with the necessary precautions. The contractor undertakes to ensure these obligations are complied with by their personnel and possible subcontractors. The contractor undertakes to return to the Ecole Centrale de Lyon, on simple demand from the latter or at the end of performing the services, any document or other tangible medium communicated to it and including said information. The commitments mentioned above shall not apply however to information for which the contractor can prove in writing that it: - was accessible to the public at the time of its communication or that it became so afterwards without the contractor committing any fault or negligence, - was already in its possession before its communication, - was communicated to it in good faith by a third party not subject to a similar obligation of confidentiality. The commitment of confidentiality undertaken by the contractor by way of the present article is valid throughout the duration of performance of the order and for a period of five (5) years counting from its expiry or early cancellation.
