Project Understanding and Assumptions. Our understanding of the Project goals and requirements are based on: • Size of the cell construction area is approximately 22 acres (approximately 1,700 feet x 550 feet). • Liner will tie into the easternmost edge of Cell 1 and Cell 2, and the northern edge of Cell 3A/B. The liner system shall be a composite liner system in accordance with the Landfill Permit 1590A. • The liner will consist of a recompacted clay liner from onsite stockpiles, 60-mil double-textured HDPE geomembrane liner, drainage geocomposite/geonet, and protective cover. • Actual Liner construction is anticipated to take no longer than 8 weeks for completion. Overall, construction is anticipated to take no longer than 12 months. • The city of Xxxxxx will provide a ground-based topographical survey of the site to use for existing conditions. Additionally, Denton will contract with a third-party surveyor to complete liner verification surveys. • The city of Xxxxxx will provide a copy of the SLER and GLER for Cells 1, 2, and 3 A/B for use in design. • Denton will endeavor to secure electronic CADD information for the liner constructed in Cells 3 A/B and 4. Design and Bidding Phase PSC will perform these design tasks: • Prepare design plans in accordance with normal practices for bidding or confidential proposal services. We will include the following components in the design: o Landfill Cell 3 completion. o Replacement of leachate pumps in Cells 1-5 for planned maintenance. o 20-foot tall wind fence adjacent to the golf course. o Asphalt overlay of landfill roadway. o Cleaning Leachate Sumps 1-5 and leachate collection piping by water jetting. • Develop specifications to define the type of materials required and construction techniques necessary for installation. Project Understanding and Assumptions. The Xxxxxx Booster Pump Station Operational Improvements Project is intended to evaluate the capacities of the Xxxxxx Booster Station and Shilo Well house and define system improvements that will meet current and buildout demand scenarios in pressure zone 3D (PZ-3D). The system improvements identified will be further refined and design documents prepared to support construction of the improvements. Since the scope of the project could vary significantly depending on the alternative selected for system improvements, work will be performed in two phases. The first phase of project was preliminary design services to gather information, establish design criteria, review alternatives and select a preferred alternative to carry forward to the second phase of the work, final design and construction support. The City initiated the first phase of the project, preliminary design, and the Consultant is currently in the process of completing the preliminary design memo and plans to document the outcome of that work. As part of the preliminary design work, alternatives for station improvements were identified and reviewed with city staff during a workshop and a preferred alternative was selected. The preferred alternative that will be advancing to final design is summarized below: • Improvements will be limited to the Xxxxxx Booster Pump Station • The majority of existing equipment and piping within the station will be removed to accommodate system improvements • Only minor modifications to the existing structure are anticipated. • The preferred alternative selected in the preliminary design phase includes the following components: o Two 5 Hp jockey pumps with variable frequency drive o Three 25 Hp pumps with variable frequency drive (only two will be installed initially, the third will be for future demands if needed) o Flow meter o Pressure relief valves o Associated piping and valving • Existing electrical service, transfer switch and generator shall remain and be incorporated into the improvements. Project Understanding and Assumptions. Multimodal pedestrian and bike facilities in the project area are defined as substandard or completely lacking in both areas of the project. Deficiencies and traffic needs in both corridors are identified in the West Linn Transportation System Plan (TSP) and Highway 43 Concept Plan. The City has also been working on transportation planning at Willamette Falls Drive and Highway 43 (waterfront project) that will be incorporated into the design. The purpose of this project is to provide preliminary design for separated bike and pedestrian facilities along with road and drainage improvements consistent with the TSP and Highway 43 Concept Plan as well as improve overall safety of the corridor while accommodating vehicle traffic, parking, and access needs of the area. Desired improvements to the project areas to be addressed in the preliminary design include:  Infill key missing sidewalk sections between residential, commercial, park, and transit areas, in accordance with the Americans with Disabilities Act (“ADA”).  Add transit stops, improve lighting (design by PGE), and re-design intersections for improved flow and safety.  Convert roadway sections from two to three vehicle lanes along Highway 43, provide new cycle track (grade-separated bike lanes), and provide access restrictions and enhanced turn lanes to optimize flow on Highway 43.  Realign intersections, creating improved approaches along Highway 43 (Xxxx Xx./Xxxxxxx Dr, Xxxxxx Dr./ Highway 43, and Buck St./Xxxxxxxx St.  Convert Xxxxxx St./ Highway 43 connection to a non-motorized connection while re- routing vehicular traffic via Buck St.  Improve existing transit stops and review the possibility of shifting existing pedestrian crossing and bus stops.  Remove medians. Create dedicated right-turn lane at key intersections (assumed to be currently signalized intersections) as appropriate. City of West Linn Standard details and cross sections are proposed for the majority of these sections with widening at intersections as required.  Consider roundabouts where appropriate based on ongoing design work in both corridors.  Current plans for Willamette Falls Drive is to maintain the existing two-lane road configuration and add separated bike lanes (and/or sidewalks) with the possibility of a two- way separated bike lane from 10th to Highway 43 to minimize right of way impact and maintain a compact form. Project Understanding and Assumptions. Our understanding of the Project goals and requirements are based on the following information: • At the present time, the Permit package is near completion. • Current PSC staff member, Xxxxx Xxxxxxx, P.E., has continuously served and will continue to serve as the Engineer of Record for this Project since inception. • PSC will have the overall responsibility for completion of the submittal package, to the TCEQ, through the efforts of our staff and the following subconsultants to be contracted directly to PSC: Xxxxx and Xxxxxxxx Environmental (Geology and Hydrogeology) and Xxxxxx Consultant Group (Landfill Gas and Air Permitting). • PSC will provide coordination efforts with other consultants, who may be contracted directly with the City or other parties, and who have a role in completing components of the Permit. • CP&Y, Inc. (CPY) and the City will reach an agreement for the transmittal of all Permit related data, text, figures, calculations, etc. to PSC via the City, in the original editable formats (e.g. AutoCAD, Microsoft Word, etc.).   • ACKNOWLEDGMENT AND ASSUMPTION OF RISKS The Event takes place indoors or outdoors and may include but is not limited to: warm-up exercises; competitive swimming, cycling, and running, both in practice and in the Event; demo-ing (trying out) gear; participation in clinics, training, demonstrations, or other games and activities; attendance at any Event activities; use of any equipment, facilities or premises; and traveling in planes, vans, buses, or other vehicles to and from activities (the Event and other activities collectively referred to in this Agreement as “Activities” or “Activity”). Activities may be scheduled or unscheduled, mandatory or optional, whether or not authorized and/or conducted by Organizer, structured or unstructured, and include free time. I acknowledge that the inherent and other risks, hazards, and dangers (collectively referred to in this Agreement as “Risks”) of the Activities can cause injury, damage, death, or other loss to Participant or others. I give permission for my child to participate in all Activities and shall discuss this Agreement, and specifically, the Activities and inherent risks, with my child. The following describes some, but not all, of the Risks assumed by Participant by participating in the Event or Activities:

  • Assignment and Assumption The parties to each assignment shall execute and deliver to the Administrative Agent an Assignment and Assumption, together with a processing and recordation fee in the amount of $3,500; provided, however, that the Administrative Agent may, in its sole discretion, elect to waive such processing and recordation fee in the case of any assignment. The assignee, if it is not a Lender, shall deliver to the Administrative Agent an Administrative Questionnaire.

  • AGREEMENT AND ACCEPTANCE Seller’s unqualified acceptance of this AGREEMENT is evidenced by either: (i) signing and returning to Buyer a written acknowledgment of this AGREEMENT; (ii) commencing work under such AGREEMENT; or (iii) acceptance of payment.   • SUB-CONTRACTING AND ASSIGNMENT 18.1 Subject to clause 18.3, neither party shall assign, novate, subcontract or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld.

  • SUBLEASING AND ASSIGNMENT The Sublessee may not lease, sublease, or assign the Premises without the prior written consent of the Sublessor.

  • Testing and Acceptance Designer will exercise commercially reasonable efforts to test Deliverables requiring testing and to make all necessary corrections prior to providing Deliverables to Client. Client, within five (5) business days of receipt of each Deliverable, shall notify Designer, in writing, of any failure of such Deliverable to comply with the specifications set forth in the Proposal, or of any other objections, corrections, changes or amendments Client wishes made to such Deliverable. Any such written notice shall be sufficient to identify with clarity any objection, correction or change or amendment, and Designer will undertake to make the same in a commercially timely manner. Any and all objections, corrections, changes or amendments shall be subject to the terms and conditions of this Agreement. In the absence of such notice from Client, the Deliverable shall be deemed accepted.

  • Enurement and Assignment This Agreement shall enure to the benefit of the parties hereto and their respective successors and permitted assigns and shall be binding upon the parties hereto and their respective successors. This Agreement may not be assigned by any party hereto without the prior written consent of each of the other parties hereto.

  • Subcontracting and Assignment 9. The School Bus Operator shall not sub-contract, transfer or assign this Contract or any part of this Parent Agreement without the prior written consent of the School. The School Bus Operator shall be responsible for the acts, defaults, neglects or omissions of any assignee or subcontractor, their agents, servants or workmen as fully as if they were the acts, defaults, neglects or omissions of the School Bus Operator.
