CONTRACTOR’S DUTIES AND STATUS. The Contractor accepts the relationship of trust and confidence established between him and the Tenant and the Landlord. He covenants with the Tenant and the Landlord to furnish his best skill and judgment and to cooperate with the Architect in furthering the interests of the Tenant and the Landlord. Contractor agrees to furnish efficient business administration and to use his best efforts to furnish at all times an adequate supply of workmen and materials, and to perform the Work in the best way and in the most expeditious and economical manner consistent with good workmanship, sound business practice and the best interests of the Tenant and Landlord. Except as expressly authorized in the Contract Documents, the Contractor has no right or authority of any kind to act as the representative of or on behalf of the Tenant and Landlord. Contractor is an independent contractor and not an agent of the Tenant or Landlord.
CONTRACTOR’S DUTIES AND STATUS. Contractor bears the relationship of an independent contractor with Owner, and has no fiduciary duty or other relationship of trust with the Owner. Contractor agrees with the Owner to furnish his/her best efforts to cooperate with the Owner in furthering and expediting completion of the work. Owner agrees to cooperate with Contractor, upon timely request, as to any and all inquiries and explanations regarding the requirements on the project. Also, Owner shall cure the cooperation of the Owner's architect and/or engineer with the progress of the work by the Contractor and such design professionals shall not be allowed by the Owner to interfere with the work by the Contractor. If the Owner requests that the work covered by the allowance be accomplished in such way that the costs will exceed the allowance, Contractor shall promptly comply with the Owner's request, provided that the Contractor first provides written notice to Owner that the Cost will exceed the allowance and that thereafter the Owner will pay for the additional costs. The parties agree that appropriate communications shall take place between Contractor and Owner to advance the Contractor's responsibility assumed under the contract. It is understood that timely communication and cooperation between Owner and Contractor are essential for timely completion of the work.

CONTRACTOR’S DUTIES AND STATUS. 1. Contractor recognizes the relationship of trust and Confidence established between Contractor and the Owner by this Agreement. Contractor covenants with the Owner to furnish its best skill and judgement and to cooperate with the Architect in promoting the interest of the Owner. Contractor agrees to (a) furnish efficient business administration and superintendence, (b) keep upon the Work at all times an adequate supply of skilled and qualified workmen and materials; (c) secure the execution of the Work in an expeditious and economical manner; and (d) maintain quality standards commensurate with reputable northern California contractors. Owner and Architect shall at all times have access to the Work for review thereof. 2. The Contractor shall carefully study and compare the Contract Documents with each other and with information furnished by the Owner and shall at once report to the Architect errors, inconsistencies or omissions (including, without limitation, any variance from applicable laws) discovered. The Contractor shall not be liable to the Owner or Architect for damage resulting solely from errors, inconsistencies or omissions in the Contract Documents unless the Contractor recognized such error, inconsistency or omission and knowingly failed to report it to the Architect. If the Contractor performs any construction activity knowing it involves a recognized error, inconsistency or omission in the Contract Documents without such notice to the Architect, the Contractor shall assume appropriate responsibility for such performance and shall bear the attributable costs for correction. Nothing in this Paragraph F.2 shall relieve the Contractor from responsibility to use good faith efforts in its examination and review of the existing conditions at the Project, the Construction Schedule, and the Contract Documents, to the end that errors, omissions or inconsistencies in the Contract Documents that are discovered shall be promptly reported to the Architect and Owner. 3. Before ordering any materials or doing any Work, Contractor and each of its Subcontractors shall verify all measurements at the site and shall be responsible for the correctness of same. No extra charge or compensation will be allowed on account of differences between actual dimensions and the measurements indicated on the drawings or the plans and specifications. CONTRACTOR’S DUTIES AND STATUS. 4.1 Contractor shall perform all services and prosecute the Work under and pursuant to this Agreement with the degree of care, skill and diligence generally recognized as applicable to general contractors of good reputation performing services of the nature encompassed in the Work in the San Francisco Bay Area. 4.1.1 Contractor is skilled in the professional calling necessary to perform the Work. Any references, terms or provisions in this Agreement, the General Conditions or any other Contract Documents to the standard of care or degree of knowledge or deemed knowledge to be applied to Contractor's performance of the Work shall be deemed to refer to the standards set forth in this Paragraph 4.1. 4.1.2 Contractor acknowledges that Owner, not being skilled in such matters, is relying upon the skill and knowledge of Contractor with respect to the Work. Contractor accepts the relationship of trust and confidence established by this Agreement. Contractor shall exercise its best skill and judgment, and shall cooperate with Architect to further the interests of Owner. Contractor shall furnish efficient business administration and superintendence, and shall use its best efforts to furnish at all times an adequate supply of workers and materials, and to perform the Work in the best, most expeditious and most economical manner consistent with the interests of Owner. 4.3 Contractor agrees that the design and construction of any design/build portion of the Project shall be in conformity in all respects with all Laws. Contractor shall not construct any portions of the Work when it knows or should reasonably know, as a competent and experienced general contractor, that such Work or any portion thereof was designed in violation of any Law. Contractor shall not construct any portion of the Work when it knows or should reasonably know, as a competent and experienced general contractor, that such portion of the Work is unbuildable or unsafe. Contractor shall require design/build Subcontractors to obtain and maintain such insurance coverages, including professional liability, as Owner requires. 4.4 The services to be performed by Contractor pursuant to this Agreement and any of the Contract Documents shall not constitute it as an architect or engineer, nor impose upon Contractor any obligation to assume, or to render to, or to perform on behalf of Owner, the professional responsibilities, duties, services and activities for which Owner has contracted with Architect, nor imp...

CONTRACTOR’S DUTIES AND STATUS. A. General Duties 1. Contractor recognizes the relationship of trust and confidence established between Contractor and Owner by this Agreement. Contractor shall furnish its best skill, judgment, and cooperation in forwarding the interests of Owner. 2. Contractor shall comply with any applicable licensing requirements in the jurisdiction where the Project is located, including but not limited to ORS 701.026(1). 3. Persons named to replace those set out above shall be approved in writing in advance by Owner. Owner’s approvals as required by this subsection shall not be unreasonably withheld. 2. Contractor shall not employ personnel, or contract with Subcontractors, including suppliers, to whom Owner has made reasonable and timely objection. Contractor shall not be required to contract with anyone to whom Contractor has made reasonable and timely objection. 3. If Owner has reasonable objection to a person or entity proposed by Contractor or if Owner objects to their actual performance, Contractor shall propose another to whom Owner has no reasonable objection.

  • Duties and Status The Company hereby engages Executive as its President and CEO on the terms and conditions set forth in this Agreement including the terms and conditions of the Employee Proprietary Information, Inventions, and Non-Competition Agreement attached hereto as Exhibit A and incorporated herein (the “Non-Disclosure Agreement”). Executive agrees to devote the Executive’s entire business time, attention and energies to the business and interests of the Company during the Employment Period. During the Employment Period, Executive shall report directly to the Board of Directors (the “Board”) and shall exercise such authority, perform such executive functions and discharge such responsibilities as are reasonably associated with Executive’s position, commensurate with the authority vested in Executive pursuant to this Agreement and consistent with the governing documents of the Company.

  • Contractor’s Duties Notwithstanding termination of the contract and subject to any directions from the procurement officer, Contractor shall take timely, reasonable, and necessary action to protect and preserve property in the possession of Contractor in which the State has an interest.

Nothing in this Section 1.2 shall prevent the Executive from managing personal investments and affairs, provided that doing so also does not interfere with the proper performance of the Executive’s duties and responsibilities under this Agreement.

  • Position Duties and Responsibilities Place of Performance (a) Employee shall be employed and serve as the President and Chief Executive Officer of the Company (together with such other position or positions consistent with Employee’s title as the Board shall specify from time to time) and shall have such duties typically associated with such title. Subject to the foregoing, Employee also agrees to serve as an officer and/or director of the Company or any parent or subsidiary of the Company, as specified by the Board, in each case without additional compensation. (b) Subject to the terms and conditions set forth in this Agreement, Employee shall devote his full business time, attention, and efforts to the performance of his duties under this Agreement and shall not engage in any other business or occupation during his employment with the Company pursuant to this Agreement, including, without limitation, any activity that (x) conflicts with the interests of the Company or its subsidiaries, (y) interferes with the proper and efficient performance of his duties for the Company, or (z) interferes with the exercise of his judgment in the Company’s best interests. Notwithstanding the foregoing, nothing herein shall preclude Employee from (i) serving, with the prior written consent of the Board, as a member of the board of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses and charitable organizations, (ii) engaging in charitable activities and community affairs, and (iii) subject to the terms and conditions set forth in Section 10 hereof, managing his personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii) and (iii) shall be limited by Employee so as not to materially interfere, individually or in the aggregate, with the performance of his duties and responsibilities hereunder.

  • Duties and Extent of Services A. During the Employment Term, the Executive shall serve as Senior Vice President of the Company, reporting to the Chief Executive Officer of the Company (the "Chief Executive Officer") and, in such capacity, shall render such executive, managerial, administrative or other services as customarily are associated with and incident to such position, and as the Company may, from time to time, reasonably require consistent with such position. B. C. The Executive shall be a full-time employee of the Company and shall exclusively devote all business time and efforts faithfully and competently to the Company and shall diligently perform to the best of his or her ability all of the required duties as Senior Vice President, and in the other positions or offices of the Company or its subsidiaries or affiliates assigned hereunder. Notwithstanding the foregoing provisions of this Section, the Executive may serve as a non-management director of such business corporations (or in a like capacity in other for-profit organizations) as the Chief Executive Officer or the Board may approve, such approval not to be unreasonably withheld, as well as any not-for-profit organizations as the Executive may deem appropriate.

  • Certain Duties and Responsibilities The duties and responsibilities of the Trustee shall be as provided by the Trust Indenture Act. Notwithstanding the foregoing, no provision of this Indenture shall require the Trustee to expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties hereunder, or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it. Whether or not therein expressly so provided, every provision of this Indenture relating to the conduct or affecting the liability of or affording protection to the Trustee shall be subject to the provisions of this Section.

  • General Duties and Responsibilities 1. Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect. Consulting Engineer/Architect specifically acknowledges receipt of a copy of the General Conditions and acceptance of the responsibilities as set forth therein.

  • Position, Duties and Responsibilities During the Term (as defined in Section 2.01 below), Executive shall serve as Chief Financial Officer of Company as well as in such other positions or capacities as may be reasonably requested by the Board of Directors of Company (the “Board”) or the Chief Executive Officer of Company (the “CEO”) and shall have such duties and responsibilities as are customary for, and are consistent with, such position(s) as may, from time to time, be assigned by the Board, the CEO and/or any of their respective nominees. Notwithstanding anything contained herein to the contrary, Executive may do the following, provided that such activities do not inhibit or prohibit the performance of Executive’s duties hereunder or inhibit or conflict with the business of Company and/or its affiliates: (i) engage in charitable, educational, religious, civic and similar types of activities and manage Executive’s personal investments, and (ii) with consent of the Board which shall not be unreasonably withheld, serve on the board of directors, managers, advisors (or their equivalent) of outside business enterprises for up to 30 hours in the aggregate per calendar quarter (including but not limited to AngelMed, GenPro, and eNeura). Executive shall be required to spend on average eight days per month at the Company’s corporate offices in either Florida or Israel including travel. Executive acknowledges that he shall be required to travel as reasonably necessary to perform Executive’s duties hereunder, including international travel.

  • Duties and functions 23.2.1 The Independent Engineer shall discharge its duties and functions substantially in accordance with the terms of reference set forth in Schedule 16. 23.2.2 The Independent Engineer shall submit regular periodic reports (at least once every month) to the Authority in respect of its duties and functions set forth in Schedule 16.
