In recognition of the importance of exemplary teaching practice for improved student learning outcomes, the key roles of the Learning Specialist may include but are not limited to: demonstrating high-level expertise in teaching and learning practice modelling exemplary classroom practice including through teaching demonstration lessons working with the school leadership team to develop a shared view of highly effective teacher practice leading and modelling the implementation of whole-school improvement strategies related to curriculum planning and delivery playing a key role in the provision of professional learning, including through developing processes and protocols for observation and feedback of teacher practice and peer collaboration modelling effective learning practice and supporting teachers to seek, analyse and act on feedback on their practice providing evidence-based feedback to teaching staff to inform their effectiveness and development providing expert advice about the content, processes and strategies that will shape individual and school professional learning supervising and training one or more pre-service teachers, and mentoring and/or coaching teachers modelling exemplary use of student data to inform teaching approaches developing and promoting school-wide professional learning structures, processes and protocols through Professional Learning Communities modelling exemplary professional learning practice including through seeking feedback from other teachers and leaders on their own classroom practice as part of critical reflection and inquiry to improve practice. The classroom teacher classification comprises two salary ranges – range 1 and range 2. The primary focus of the classroom teacher is on the planning, preparation and teaching of programs to achieve specific student outcomes. The classroom teacher engages in critical reflection and inquiry in order to improve knowledge and skills to effectively engage students and improve their learning. As the classroom teacher gains experience their contribution to the school program beyond the classroom increases. Position; Responsibilities. (a) The Company hereby employs Executive as its Vice President - Engineering upon the terms and conditions hereinafter set forth.
(b) Executive shall at all time hold the position described above or other senior management level positions as determined by the Board of Directors of the Company (the “Board”) or its designee, and perform the duties, responsibilities and authorities customarily associated with such positions or such other senior management level duties as determined by the Board or its designee, so long as such other duties are consistent with the Executive’s skills and there is no reduction in Executive’s base pay and bonus target amount. Executive shall report directly and solely to the Board or the CEO.
Position; Responsibilities. (a) It is intended that at all times during the term of this Agreement, Employee shall serve as the President of the Company with responsibility for performing such duties for the Company and its subsidiaries as Employee shall reasonably be directed to perform by the Company's Chief Executive Officer and board of directors.
(b) Throughout the term of this Agreement, Employee shall devote on average, no less than 40 hours per week to the business and affairs of the Company, except for vacations and except for illness or incapacity. In addition, nothing in this Agreement shall preclude Employee from devoting reasonable periods required for serving, as appropriate, on boards of directors of other corporations, from engaging in charitable and public service activities, and from managing his personal investments, provided such activities do not materially interfere with the performance of his duties and responsibilities under this Agreement.

In recognition of the importance of leadership and management combined with exemplary teaching practice for improved student learning outcomes, the key roles of the leading teachers may include but are not limited to: leading and managing the implementation of whole-school improvement initiatives related to the school strategic plan and school priorities leading and managing the implementation of whole-school improvement strategies related to curriculum planning and delivery leading and managing the provision of professional learning and developing individual and team performance and development plans for teaching staff within the priorities of the school leading and managing staff performance and development (review of staff) teaching demonstration lessons leading and managing the development of the school’s assessment and reporting policies and practices leading and managing the implementation of the school operations and policies related to student welfare and discipline leading the development of curriculum in a major learning area and participating in curriculum development in other areas responsibility for general discipline matters beyond the management of classroom teachers contributing to the overall leadership and management of the school contributing to the development of proposals for school council consideration developing and managing the school code of conduct. Learning Specialists will be highly skilled classroom practitioners who continue to spend the majority of their time in the classroom delivering high-quality teaching and learning and have a range of responsibilities related to their expertise, including teaching demonstration lessons, observing and providing feedback to other teachers and facilitating school-based professional learning. Learning Specialists are expected to have deep knowledge and expertise in high quality teaching and learning in delivering improved achievement, engagement and wellbeing for students. The role of the Learning Specialist will be to model excellence in teaching and learning through demonstration lessons, and mentoring and coaching teachers in improving the skill, knowledge and effectiveness of the teaching workforce. The Learning Specialist role is aimed at building excellence in teaching and learning within the Teaching Service.
Position; Responsibilities. (i) Teachers will be assigned a “Virtual Class” or “Virtual Classes”.
(ii) Teachers must provide, at their own expense, a computer capable of maintaining a high speed internet connection for their entire virtual class.
(iii) Teachers must be “virtually” available each school day from 4-8 pm. During summer hours the time may be modified by the teacher, but must be four hours a day.
(iv) Teachers must have access to a phone for calling/responding to students during the teachers scheduled time.
(v) Teachers will use the tracking and monitoring system integrated into the student’s assigned virtual course. The system provides for continual monitoring of the student’s progress and their scheduled benchmarked progress status.
(vi) Teachers will be responsible for all virtual school required recordkeeping and reporting.
Position; Responsibilities. Titan agrees to employ Executive and Executive agrees to accept employment as Chief Financial Officer of the Company pursuant to the terms of this Agreement. Executive will perform such services in the capacity of Chief Financial Officer as are the typical responsibilities of an Executive holding such position and, additionally, such other responsibilities consistent therewith as may be assigned to him by the By-laws and, from time to time by the Company’s Chief Executive Officer/Chairman (the “Company’s CEO/Chairman”) during the Employment Term, including, if applicable, during the Extended Employment Term. Executive will devote such of his business skill, time and effort to his employment hereunder as shall be reasonably necessary to discharge his obligations hereunder.

Position; Responsibilities. (a) The Company hereby employs and continues the employment of Executive as its Chairman and Chief Executive Officer ("CEO") upon the terms and conditions hereinafter set forth.
(b) As CEO, Executive shall at all times be senior-most officer of the Company, with the duties, responsibilities and authority customarily associated with such position and consistent with such duties, responsibilities and authority as have heretofore been his as CEO. Such duties include authority and responsibility for acquisitions, divestitures, finance and investor relations, subject to policies adopted by the Board of Directors of the Company (the "Board"). Executive shall perform such other additional duties and services of a senior executive nature, consistent with his position as CEO of a large, publicly traded company, as may be requested of him from time to time by the Board.
