Resource Commitments. In conducting the activities assigned to it under the [***], each Party agrees to use scientific, technical and other personnel who are sufficiently qualified and have the requisite skills to perform such activities.

Resource Commitments. Licensee shall provide PalmSource with access to the then-current Licensee developer program used to support Strategic Developers, including, but not limited to, Licensee specific SDKs, access to pre-release hardware and, following release, a minimum of two (2) of each particular shipping Licensee Product. Licensee shall also provide electronic access to pre-release software provided to Licensee by Strategic Developers during Licensee Product development.

Resource Commitments. Achievement of employment and training goals requires commitment of substantial resources. Mining agreements can spell out relevant com- mitments in a number of different ways. One approach, adopted in the WCCCA, is to specify an annual expenditure budget, with the specific allocation of these resources usually determined by a joint committee made up of company and Aboriginal community representatives. The Xxxx River Agreement (Yukon) adopts a similar approach in providing a budget for scholarships, with any funds that cannot be expended in a cal- endar year being carried forward in a trust for use at a later date. Another approach is for the project operator to commit to fund dedicated training or liaison staff, such as a full time Aboriginal Employment Officer, a role that a number of studies indicate is critical to successful employment initiatives (AMSI, 1992: 62; Xxxxx, 1984: 127–28; Xxxxx, 1983: 99–101). Funds may also be committed to provide pre-employment or on-the-job training to a specified number of potential employees, or to establish a mini- mum number of apprenticeships. For instance the Hope Vale Agreement (Queensland) includes funding for eight Aboriginal apprenticeships, a major commitment for a project where total employment is just 120. It is well established that specific measures are required to ensure that members of Aboriginal communities are aware of employment opportu- nities, that such measures need to be maintained throughout project life, and that visits to Aborigi- nal communities are critical in creating awareness of employment opportunities (see for example Xxxxx, 1983: 46, 100–101; NEDGI, 1993: 27). Most mining agreements contain some provi- sions relating to dissemination of information on opportunities. These may involve a general com- mitment to make Aboriginal communities aware of them, and a requirement for provision of writ- ten notices of job opportunities to community or band councils or to insertion of job adver- tisements in local newspapers (Dome Agreement (British Columbia), Cameco Agreement). Other agreements provide for regular community visits by mining company staff both to xxxxxx general awareness of available opportunities and to advertise vacancies (Ulu Agreement). Resource Commitments. CP and UHS will establish a joint product team ("PRODUCT TEAM") consisting of a number of representatives from ChannelPoint and a number of representatives from UHS to be mutually agreed to who will develop a plan and provide input to CP regarding the future development of CP products and services for UHS. CP shall establish a dedicated team of Professional Services personnel and assign that team exclusively to projects for UHS as set forth in this Agreement. Such team or a subset thereof shall participate in the Product Team. The Product Team will be responsible for preparation of Letters of Engagement, as described in Section 4.5 below. The Product Team will also serve as the point of contact for UHS' role as a Design Partner (as described in Section 5.2) and will coordinate the parties' ongoing development of implementation plans and milestones, and supplemental UHS financial commitments, under this Agreement.

Resource Commitments. 2.1 Each party agrees, as promptly as practicable after the Effective Date, to make available to the other party a contact list with names and phone numbers of selected of its employees to be involved in the relationship contemplated by this Agreement, which shall include employees involved in sales and marketing functions and in technical functions. Each party shall ensure that its employees designated as contacts are reasonably qualified to perform the particular duties required of them under this Agreement (e.g., the personnel designated by each party as contacts for the technical integration duties required under this Agreement shall have a level of skill and qualification commensurate with the tasks required to be performed thereunder), and that the number of such individuals shall be sufficient for it to meet its obligations hereunder. The contact list, which in its initial form (subject to subsequent modification) is set forth on Exhibit D, shall include, at a minimum, a Partnership Relationship Manager who shall be the primary designated contact for all matters arising in connection with this Agreement. The respective Partnership Relationship Managers shall meet at least once per calendar quarter to review progress made and the overall status of the partnership. 2.2 Each party also agrees to designate one of its employees (who may or may not also be the Partnership Relationship Manager) as a primary contact for customers, media, industry analysts, and other third parties, concerning the relationship contemplated in this Agreement. 2.3 The names of any individuals identified in the foregoing may be changed by the naming party from time to time, upon written notice of such change to the other party.

Resource Commitments. Microsoft will ensure that it maintains, at a minimum, [*] personnel dedicated at all times during the Term to the operation and continuous improvement and support of the Services, including at least [*] personnel dedicated at all times during the Term to the operation and continuous improvement and support of Paid Search Services and at least [*] personnel dedicated at all times to the operation and continuous improvement and support of Algorithmic Search Services. Microsoft will also dedicate a reasonable level of resources to each language and/or region that requires specialized matching or marketplace tuning. The parties’ goal is to offer a highly compelling set of Services, both in terms of quality of consumer and advertiser experience, advertiser engagement, and monetization. In furtherance of the foregoing, Microsoft will ensure that, throughout the Term, there are levels of technically proficient personnel, investment in capital equipment and research and development funding, development time and support time dedicated to such operations and improvements as are reasonably necessary for Microsoft to advance such goal and that are equal to or greater than Microsoft’s level of resources and investment as of the Letter Agreement Effective Date.
