EMPLOYEE DUTIES AND RESPONSIBILITIES. 2.1.1 You must perform the duties and responsibilities associated with your position and any other duties and responsibilities that are assigned to you, and that you are trained for and/or suitably qualified in, diligently, in good faith, and in a manner that maintains our confidence in you as our employee.
2.1.2 You must comply with our documented policies, management instructions, operational instructions and procedures as adopted by us from time to time. This includes documented policies, management instructions, operational instructions and procedures relating (but not limited) to:
(a) safety, including fatigue management;
(b) Airservices’ positive attendance culture;
(c) the use of our technology and facilities;
(d) drugs, alcohol or other problematic substances; and
(e) the use of corporate credit or debit cards.
EMPLOYEE DUTIES AND RESPONSIBILITIES. 1. Each employee shall perform the work assigned him by a recognized supervisor (or his designee) and shall be responsible for the proper performance of such work to the supervisor making the assignment, or in his absence, to another designated supervisor.
2. Each employee will be expected to perform the requirements of his job in accordance with the prescribed standards of performance for the job classification. It is recognized that a requirement or adjunct of any job is the performance of that work which is incidental, usual or necessary for safety and efficiency and for the cleanliness, orderliness and running maintenance of the assigned equipment and clean-up area.
3. All operating employees who are not needed on equipment regularly assigned to them for operating responsibilities may be utilized to perform any clean-out, repair, maintenance or construction work on equipment for which they are qualified or perform other assigned work.
4. Each employee will observe all safety rules and regulations.
5. In order to provide maximum safety, employees may be required to be able to obtain a proper seal while wearing an air mask during routine, periodic, dangerous-to-life and emergency situations. Therefore, employees must be clean-shaven in the seal area of the mask.
6. In addition to performing their other job duties, employees in all classifications shall, as directed by the appropriate supervisor, direct the work of other employees and assist with the work of other employees and aid other less experienced employees in acquiring job knowledge.
7. Each employee shall arrive at his place of duty or the designated point sufficiently in advance of starting time (not to exceed twenty (20) minutes) such that he may prepare himself to assume his job responsibilities on time.
8. With respect to an employee’s assigned reporting location, the employee should be able to immediately acknowledge a call-out by phone and to physically respond to any call-out situation at the required location as quickly as possible, but not to exceed two (2) hours.
9. In the case of relief failure, the employee on duty will remain at his post until properly relieved or released. Employees on jobs where no relief is regularly scheduled will work until the normal quitting time, except when directed otherwise by the appropriate supervisor.

EMPLOYEE DUTIES AND RESPONSIBILITIES. Employees must:
(a) devote the whole of their time, attention and skill, during hours of work to the performance and discharge of their duties;
(b) safely carry out their duties to the standard required by Diamond Offshore;
(c) act honestly and diligently in the performance of their duties;
(d) comply with the lawful and reasonable directions of Diamond Offshore;
(e) present for work in a professional manner and, where required, in the uniform provided by Diamond Offshore;
(f) apply the highest standards of integrity and confidentiality to ensure Diamond Offshore's activities are preserved;
(g) not (except in the course of properly carrying out their duties as an Employee of Diamond Offshore) misuse, divulge or disclose any information relating to Diamond Offshore including (but not confined to) information concerning Diamond Offshore, or the group’s finances, profits, trade secrets, processes, customers, suppliers, plans, operations, contracts, tenders, commercial arrangements, transactions or any other information;
(h) not use their position at Diamond Offshore to obtain gifts or financial incentives from external clients or competitors;
(i) provide information to Diamond Offshore should a breach of safety, environment, integrity or good faith, or misconduct be observed or be known in relation to another Employee or agent acting for Diamond Offshore;
(j) undertake technical training and all other training as directed and comply with all new practices and procedures;
(k) act in the best interests of Diamond Offshore and do nothing to damage the reputation of Diamond Offshore or bring Diamond Offshore into disrepute; and
(l) abide by all laws, regulations, licences, permit conditions and safe working procedures that apply to Diamond Offshore's operations.
EMPLOYEE DUTIES AND RESPONSIBILITIES. EMPLOYEE shall be employed as Branch Chief of Russian Operations with the following duties and responsibilities:
a. Manage the affairs of the Russian Branch Office under the terms of the Branch Bylaws and as directed by the President.
b. Manage the Branch office, laboratory and other facilities as the COMPANY may require to carry out its business.
c. Mange all personnel of the Branch in accordance with the Bylaws and as instructed by the President.
d. Manage all schedules and milestones under the Branch's control to assure that they are carried out within the agreed time frames.
e. Provide a complete financial and activity/progress report including copies of all original expense receipts and agreements of the Branch to the President on a monthly basis and as requested by the EMPLOYER.
f. Perform other tasks and become involved in projects as directed by the President.
EMPLOYEE DUTIES AND RESPONSIBILITIES. 30.01 The Union and the Company agree that in view of the great number of contacts with customers of the Company, and the continuing nature of these throughout the year, a professional commitment by bargaining unit members to their duties and responsibilities is of prime importance.
30.02 As a condition of employment and continued employment, employees must possess a valid Ontario driver’s license and maintain a good driving record for insurance purposes. Where the Company requires employees to have border documentation beyond a passport, the Company will pay the application fees necessary to obtain such documentation. It shall be the duty of the employee to immediately notify the Company of any change in driver’s license or insurance standing.
30.03 Employees must act in the best interests of the company and demonstrate positive behaviour towards the customer at all times.
30.04 As part of their regular duties, drivers will monitor, on an on-going basis, the level of service work performed by the Company at customers on their run and have a positive obligation to communicate information to sales representatives and management regarding customer satisfaction, changes in business levels, potential business opportunities and competitor information.
30.05 Drivers are required to make service calls and complete their runs unless specifically authorized off the road by the Company. Drivers are expected to adjust their driving to suit weather conditions. Should the Company decide to close its offices or authorize drivers off the road due to severe weather conditions, drivers affected will be notified accordingly.
30.06 Where a driver experiences difficulty with, or receives a complaint from a customer in the course of their duties they shall attempt to satisfactorily resolve the matter. In the event the employee’s attempts in this regard are unsuccessful they shall immediately notify the supervisor.
EMPLOYEE DUTIES AND RESPONSIBILITIES. EMPLOYEE shall be employed as Vice :President of Business Development with the following duties and responsibilities:
a. Define and recommend to the President a strategic plan for raising funds to meet the COMPANY'S cash requirements.
b. Coordinate and participate in raising funds through accredited investors as defined in the PPM to be issued.
c. Make recommendations to the President regarding best ways to raise funds.
d. Meet the COMPANY'S goal to raise $10 million in equity.
e. Perform tasks and become involved in projects as directed by the President.
EMPLOYEE DUTIES AND RESPONSIBILITIES. EMPLOYEE shall be employed as Chief Financial Officer and Secretary with the following duties and responsibilities:
a. Establish and maintain the company's financial records.
b. Establish and maintain the company's human resource functions.
c. Establish and maintain the company's public reporting process.
d. Manage the accounting, financial reporting, investor relations, information technology and human resource departments and functions.
e. Ensure the COMPANY is in compliance with all regulatory bodies.
f. Perform tasks and become involved in projects as directed by the President.
g. Establish liability risk options for the COMPANY, to purchase insurance or the COMPANY to establish operating procedures that limit the risk liability.
EMPLOYEE DUTIES AND RESPONSIBILITIES. 2.2.1 In performing their employment duties and responsibilities employees must:
2.2.1.1 Comply with the Standard Operating Procedures and SQS for the Vessel.
2.2.1.2 Carry out all lawful and reasonable instructions of the Company and exercise all due care and skill. Employees must carry out their work as directed to the best of their skill, ability, qualifications, experience and competence and may reasonably be required to undertake duties that are consistent with their skills and competence.
2.2.1.3 Comply with all policies, procedures and directions issued by the Company or required by law and applicable to the Vessel and their employment with the Company.
2.2.1.4 Carry out all such duties as may be directed by the Master or the Company from time to time. In that context the parties note and agree that the duties and responsibilities set out for each classification in Schedule 1 to this Agreement.
2.2.1.5 Hold and maintain all relevant certificates and licences that are required for them to perform their duties legally, competently and effectively as required by the Navigation Act 1912 (Cth) and any applicable Marine Orders.
2.2.1.6 Must hold and maintain a current valid passport together with any necessary visas and vaccinations. The Company will reimburse the costs of a passport, visa and vaccinations.
2.2.1.7 Keep confidential all know how and trade secrets acquired or coming into the knowledge of the Employee during their employment with the Company, including techniques, operational information and costs with respect to a Vessel and any other information that is confidential to the Company.
2.2.1.8 Not engage directly or indirectly in any employment or business that is similar to or competitive with the business of the Company, without the prior written approval of the Company. Further, an employee must not engage directly or indirectly in employment or business that could impair their ability to act in the best interests of the Company or to perform the duties of their employment, without the prior written approval of the Company.
EMPLOYEE DUTIES AND RESPONSIBILITIES. 7.1. The Employee will diligently and faithfully perform all the duties and responsibilities of their employment.
7.2. The Employee will at all times and in all respects comply with all reasonable and lawful directions, orders, instructions, and policies of the Company.
7.3. The Employee shall use their best endeavors to promote the business, interests, and reputation of the Company.
EMPLOYEE DUTIES AND RESPONSIBILITIES. EMPLOYEE shall be employed as Chief Medical Officer with the following duties and responsibilities:
a. Establish the HBS Scientific Advisory Board.
b. Establish and manage the Research and Development team for biologic preservation.
c. Manage the development of the solutions necessary to preserve the kidney and other organs for above and below zero temperatures.
d. Manage the platelet solution development and process for above and below zero temperatures.
e. Perform tasks and become involved in projects as directed by the President.
