Contractor’s Authority. Execution of this Agreement by Contractor is authorized by a resolution of its Board of Directors and the signature(s) of each person signing on behalf of Contractor, has been made with complete and full authority to commit Contractor to all terms and conditions of this Agreement.

Contractor’s Authority. Neither the execution and delivery of this Agreement by Contractor nor the performance of its obligations under this Agreement will (i) result in the violation of any provision, if a corporation, of Contractor’s articles of incorporation or by‑laws, if a limited liability company, of its articles of organization or regulations, or if a partnership, of any partnership agreement by which Contractor is bound, (ii) result in the violation of any provision or any agreement by which Contractor is bound, or (iii) to the best of Contractor's knowledge and belief, will conflict with any order or decree of any court or governmental instrumentality relating to Contractor.
Contractor’s Authority. Buyer is specifically reminded that all construction materials, vehicles, supplies, tools and equipment used to construct the home, and the Premises are owned by Contractor or its contractors until the closing. Contractor shall have the sole authority to direct the completion of the work in all respects, including the ordering of materials and supplies, and the hiring and scheduling of all subcontractors. Buyer shall not interfere with the completion of the work in any manner and shall not direct workmen, suppliers or subcontractors. Any items identified in subsection B, above (if permitted by Contractor), shall be done at the time designated by Contractor to Buyer. All communications or inquiries regarding the work under this Agreement shall be directed to Contractor. Buyer shall have the right to make reasonable inspections of the work, but subject to the Buyer’s compliance with this Subsection C and subject to the agents, employees, brokers (as may be identified in the Purchase and Sale Agreement), contractors, subcontractors, shareholders, officers or other persons authorized by Contractor accompanying the Buyer or any person or entity acting on behalf of the Buyer during such inspections.

(2) The Contractor shall not in any way represent that he is a part of the United States Government or that he has the authority to contract or procure supplies for the account of the United States of America. 5152.204-0005 CONTRACTOR ACCESS TO GOVERNMENT INSTALLATIONS DRAFT The Contractor shall submit, to the Contracting Officer, the names and social security numbers of all employees and/or prospective employees who will require access to a Government installation and/or facility for purposes of this contract. This requirement also applies to the Contractor's subcontractors and suppliers. The Contracting Officer will submit the names and social security numbers to the corresponding installation's Xxxxxxx Xxxxxxxx, and the Contractor will be advised if any of the individuals have been barred from the Government installation pursuant to Title 18 U.S.C. Section 1382. Those individuals currently or previously barred from the Government installation will not be allowed to enter or work on the installation. Procedures or policies regarding Contractor access to Government installations and/or facilities may vary somewhat at different installations. If procedures vary, the appropriate procedures will be provided by the Contracting Officer DENIAL OF ENTRY (Jul 2012) ACC-APG HUA 5152.204-0010 The Government reserves the right to terminate the entry of any Contractor employee upon disclosure of information which indicates the individual’s continued entry to the installation is not in the best interest of national security. Additionally, the violation of or deviation from the established security procedures by contractor employees may result in the confiscation of identification media and the denial of future entry to the installation. 5152.209-0006 ORGANIZATIONAL CONFLICT OF INTEREST a.
