COMPANY REQUIREMENTS. All employees are required to adhere to the following requirements for the purposes of ensuring that the Company is able to operate in a safe, efficient and productive manner. The following procedures and practices should be observed at all times and are complimentary to other workplace requirements as set out in this Agreement and the Company’s Occupational Health, Safety and Welfare Policy (as amended). 3.11.1 All employees are required to report to their supervisor or leading hand on arrival at the workplace and at the completion of the day’s work where deemed necessary. 3.11.2 Time sheets are the employee’s responsibility and - 3.11.2.1 must be kept in neat condition and filled out correctly each day; 3.11.2.2 must be signed each day by either the supervisor or the appropriate leading hand 3.11.2.3 will be collected on each Monday unless the employee is absent on sick leave in which case the employee must notify the Company of the previous week’s details 3.11.3 All tradespersons must supply and keep updated an inventory of their own tools. Any tools lost or stolen should be reported to the leading hand or supervisor as soon as possible. 3.11.4 The manager or supervisor and leading hands are the Company’s representatives on site and will issue all work related directions and instructions. 3.11.5 An employee will not present for work whilst under the influence of alcohol or drugs or have any alcohol or non-prescription drugs in their possession while in the workplace. 3.11.6 When an accident occurs it must be reported immediately to the manager or leading hand or to the office. 3.11.7 Where an employee is unable to report for duty for any reason the office must be notified of the employee’s absence no later than 8.00am on the day of absence, unless special circumstances apply. Where special circumstances apply, the employee will notify the Company as soon as practicable. 3.11.8 At the completion of each day’s work, employees are required to ensure that the workplace is left in a clean and safe manner. 3.11.9 The normal times of work each day are from 7.30am to 4.00pm, with a ten minute crib break between 9.00am and 10.00am and a thirty minute lunch break at 12.00 noon. COMPANY REQUIREMENTS. All statutory, regulatory, listing agency and other requirements for the valid consummation by the Company of the transactions contemplated by this Agreement shall have been fulfilled and all authorizations, consents and approvals of all governmental or other authorities required to be obtained in order to permit consummation by the Company of the transactions contemplated by this Agreement shall have been obtained. The Company shall have made all filings under all applicable U.S. and Canadian federal, state, provincial, territorial and foreign securities laws necessary to consummate the issuance of the Shares pursuant to this Agreement in compliance with such laws.

COMPANY REQUIREMENTS. The Authority shall, at a minimum, require that any company desiring to be licensed by the Authority meet the following minimum requirements: A. Have at least three (3) licensed and operable vehicles. B. Have taxi meters, as approved by the Authority, in all licensed vehicles. C. Have at least one licensed vehicle available for calls 24 hours a day, 7 days a week. D. Have and provide, on terms as determined by the Authority, proof of insurance listing all licensed vehicles and listing the Authority as an additional insured, in an amount to be determined by the Authority, but no less than the following limits: One hundred thousand dollars ($100,000.00) per person and three hundred thousand dollars ($300,000.00) per accident covering any liability for bodily injuries or death occurring from the negligent operation of the licensed vehicle and no less than one million dollars ($1,000,000.00) for property damage resulting from the negligent operation of the licensed vehicle. E. Have and provide, on terms and in amounts as determined by the Authority, an executed and filed bond to the authority that each licensed taxicab will be operated in accordance with the laws of the State, the laws of the participating jurisdictions and the rules and regulations of the Authority. F. Have and provide, on terms as determined by the Authority, but no less than upon application for licensure, a copy of the vehicle registration for each vehicle to be licensed. G. Be of good moral character. H. Have not been denied for or had a taxi driver’s license or taxi business license revoked within the last three years. I. Not be in default to, or delinquent in payments to, the City of Lansing, the City of East Lansing any parties to this agreement or the Authority for any fees, charges or taxes. J. Continually and conspicuously display at all times the taxicab is in operation the license of the taxicab driver issued by the authority bearing a true photograph of the licensee, a printed schedule of the rates in effect not smaller than 11 point type, and contact telephone numbers for the taxicab company and the Authority.
COMPANY REQUIREMENTS. Where a commitment is required, the Foreperson will ask for overtime, as per “ORDER OF ASSIGNING OVERTIME” detailed in section “A ,and will by-pass anyone who cannot meet the commitment. If sufficient coverage cannot be obtained then the Company may allow partial commitments. (e.g. vacation change, days of a day job, etc.) See clause of Facilities Department Overtime System Administration Guidelines. Employee must be in the OR Plant to be eligible for overtime. (excluding call-ins). Employees accepting Special Assignments, Temporary Foreperson Positions, Coordinators, etc., and Training Courses will not accept overtime that will interfere with the Special Assignment etc. New hires will not be eligible for call-in overtime until they become fully oriented and familiar with refinery operating procedures. Total overtime hours are calculated as the actual overtime hours worked by the employee plus any charged.

All persons must supply and keep updated an inventory of their own tools. Any tools lost or stolen will be reported to the Leading Hand or supervisor as soon as possible. 12.4. As workplace safety is of paramount importance, all employees are required to adhere to safe work practices and maintain a safe working environment. Where an employee is unsure of the safety requirements, the employee should discuss the matter with the supervisor or Leading Hand. 12.5. Safety clothing, safety footwear, hard hats and any other necessary safety equipment will be provided by the Company on request and must be worn or used in accordance with the Company's safety requirements that include ensuring that this equipment is brought to work every day. 12.6. The manager or supervisor and Leading Hands are the company's representatives on site and will issue all work related directions and instructions. 12.7. An employee will not present for work whilst under the influence of alcohol nor consume alcohol on the premises or posses alcoholic substances or any substance which impairs or is likely to impair an ability to carry out duties under this agreement, at any time at the place of work or on or in any property [including vehicles] owned or used by the company or possess drugs or have non-prescription drugs in their possession while in the workplace. 12.8. COMPANY REQUIREMENTS. The successful travel agency who will be contracted shall have the following minimum qualifications: Accredited BSP/IATA Travel Agent duly licensed to operate in the Kuwait; Minimum 5 years of IATA membership; Employs highly qualified, competent and experienced travel consultants, that meets the above described UNDP requirements, specially in ticketing and fare computations, as evidenced by their track record in their Curriculum Vitae; At least 1 branch in Kuwait Financial ratio not less than 1.0 at least 1 year; Availability of minimum 1 booking system; Willing and able to guarantee the delivery of products and services in accordance with performance standards required under this Terms of Reference
