Duties and Responsibilities of Contractor a. Contractor will be the provider of after school classes at the school locations identified on the Contractors Proposal for Program.
b. The program shall include the features, operating hours and costs as described in the Contractors Proposal for Program.
c. The average weekly enrollment at each of the locations identified on the Contractor’s Proposal for Program must be at least equal to the minimum enrollment specified in the Contractors Proposal for Program or the contractor will have the right to terminate the program as provided in item 6 below.
Duties and Responsibilities of Contractor. Contractor shall at all times abide by the following, which are material terms of this Agreement.
a. Contractor shall at all times be familiar with and abide by all state, federal and local laws, regulations and administrative codes applicable to loan transactions in the State of California and shall not commit any unlawful act under any law, or violate any applicable regulation or administrative code including but not limited to do not call lists, anti-discrimination laws, restrictions against giving or receiving kickbacks from borrowers, receiving undisclosed referral fees or gratuities from lenders, or giving or accepting a fee or other thing of value for the referral of business to title companies, escrow companies or other service providers.
b. All documentation (paperwork) for funded loans should be uploaded to Point to complete the closing of a loan.
c. Contractor understands, acknowledges and agrees that Equity Smart has zero tolerance for (a) loan fraud, (b) wire fraud, (c) alteration of documents, (d) initialing or signing documents in another’s name, (e) inserting information or altering information on a document after the document is signed, or (f) any illegal or unethical behavior of any kind, and that any such conduct by Contractor will be cause for immediate termination of this Agreement.
d. All Trust Funds shall be handled in compliance with the Business and Professions Code, and all other applicable laws.
e. Contractor shall not commingle borrower funds with any business or personal funds.
Duties and Responsibilities of Contractor. Upon execution of the Agreement, Metro and Contractor shall begin work on the Developed Documents as defined in paragraph 1.02. The Developed Documents shall be completed within 90 days. When the Developed Documents are completed and agreed to by the parties, such Developed Documents shall become part of this Agreement by amendment thereto. In the event that Metro and Contractor cannot agree with the Developed Documents, Metro reserves the right to terminate the Agreement within ten days written notice to Contractor after delivery of the Developed Documents to Metro. In the event that the Developed Documents materially modify Contractor’s Proposal and the material modification is introduced by Contractor, Metro may reject the Developed Documents, at its sole option, and be relieved of any obligation in the Agreement and Contractor shall refund to Metro any payments made to Contractor by Metro under this Agreement.
1.01 Contractor shall provide Metro with a system and software for an integrated, full-featured Traffic Violations Management System for the Metropolitan Traffic Violations Bureau. Contractor shall provide the software set forth in Contractor’s response to Amendment #4 of Request For Proposal 05-72, which is attached hereto and incorporated by reference herein. Contractor shall provide maintenance, support and services for this system software during delivery, installation and testing. Contractor shall provide maintenance, service and support for this system pursuant to the service and support agreements attached hereto.
1.02 This contract shall have two phases: Phase I shall include the development and completion of Developed Documents consisting of: project work plan; hardware and software schedule; functional specifications; customization specifications and set-up of a pilot/test environment for Metro. These documents shall be known, collectively, as the “Developed Documents”
i) Metro and Contractor recognize the critical nature of system performance on the success of the system installation. During Phase I of this Agreement, Contractor and Metro will develop specifications for hardware, software and network configurations. With these configurations, Contractor and Metro will agree to a range of expected system response times for critical system functions. Duties and Responsibilities of Contractor. CONTRACTOR shall be employed as an Emergency Communications Nurse System (ECNS) Manager with CONFIRE JPA. CONTRACTOR shall work cooperatively with CONFIRE JPA staff under the direction of the Communications Director. CONTRACTOR shall perform a broad range of responsibilities including, but not limited to, the following:
A. CONTRACTOR shall perform lead duties in the recruiting and on-boarding of ECNS staff.
B. CONTRACTOR shall implement the ECNS business plan and assess the program’s performance and revise the business plan as needed.
C. CONTRACTOR shall develop and/or modify ECNS program protocols, policies and procedures as needed.
D. CONTRACTOR shall work with stakeholders and management on the financial viability of the ECSN program.
E. CONTRACTOR shall oversee the EMD and EMD Q programs.
F. CONTRACTOR shall participate in mandatory training to support the quality improvement process as it pertains to the ECN and EMD programs.

Duties and Responsibilities of Contractor. 10.1 The CONTRACTOR shall provide all personnel, machinery and equipment needed for the timely completion of the PROJECT in accordance with the plans and specifications approved by OWNER and warrants that personnel assigned to undertake the PROJECT are capable, experienced and efficient and that the machinery, equipment and tools are all in good working condition;
10.2 Should the CONTRACTOR hire the services of sub–contractors in connection with the PROJECT, the CONTRACTOR shall first obtain the written approval of the OWNER before the sub–contractors are allowed to proceed with their services. Prior to the acceptance of the PROJECT the CONTRACTOR shall submit a certification attesting that all sub–contractor, if any, suppliers of materials used in the PROJECT are paid in full;
10.3 Should it be deemed necessary for the CONTRACTOR to hire the services of security agency to secure its equipment and machinery such security agency shall be first approved in writing by the OWNER before being allowed to stay or serve at the project site.

14.2 Appointments Supervision and Over inspection All work performed on the premises of the Employer must be performed under the close supervision of the Contractor’s appointed supervisor who must ensure that employees are to be trained to understand the hazards to be associated with any work that the Contractor performs before any work can be allocated to them. Competent appointed persons shall take all reasonably practicable steps to ensure that no unsafe or unhealthy or environmentally detrimental practices are carried out. The Contractor shall appoint trained competent employees who shall be trained on all safety, health and environmental requirements pertinent to them or to the work that is to be performed. Copies of such appointments will be provided by the Contractor to the Employer before the commencement of any work at the premises. The Contractor must supply the Employer with an organization chart describing the relevant responsibility, which organogram must include the names of specific appointees; The Contractor is responsible to ensure that all appointments are made by the person holding the correct authorization to make any such appointment. Where appointments are required to be signed by the Employer representative or the Manager, these must be signed prior to work being able to commence. Discipline regarding safety, health and environment and the relevant legislation shall be strictly enforced.
