Board Functions. The Board possesses the right and responsibility to operate the school system and all management rights, including those delineated in O.R.C. 4117.08, remain with the Board subject to the express provision of this Agreement. These rights include the following: 1. Determine matters of inherent managerial policy which include, but are not limited to areas of discretion or policy such as the functions and programs of the school district, standards of services, its overall budget, utilization of technology, and organizational structure. 2. Determine location and use of the school(s), school system property and other facilities of the school system, including the right to establish new facilities and to relocate or close old facilities. 3. Determine financial policies of the school district, including the general accounting procedures and inventory procedures of supplies and equipment. 4. Direct, supervise, evaluate, and hire employees. 5. Maintain and improve the efficiency and effectiveness of school operations. 6. Determine the overall methods, processes, and or personnel by which school district operations are to be conducted. 7. Suspend, discipline, demote, or discharge for just cause, or lay off, transfer, assign, schedule, promote, or retain employees. 8. Determine the size of the work force and effectively manage the work force. 9. Enforce the rules and regulations now in effect and to establish, revise and delete rules and regulations from time to time that do not affect wages, hours, terms and condition of employment or that are not in conflict with this Agreement. 10. Determine the layout and the equipment to be used and plan, direct and control school activities. 11. Take whatever action is necessary to carry out the functions of the Board in situations of emergency. 12. Take whatever action is necessary to comply with state or federal law. The Board is not required to bargain on subjects reserved to the management and direction of the school district except as affect wages, hours, terms and conditions of employment and the continuation, modification, or deletion of an existing provision of the collective bargaining agreement.
Board Functions. 1) The District, on its own behalf and on behalf of the electors of the District, hereby retains and reserves unto itself all powers, rights and authority, duties and responsibilities conferred upon and invested in it by the laws and Constitution of the State of Oregon, except as limited by this Agreement and State Statutes. Such powers, rights, authority, duties and responsibilities shall include but are not limited to: a) The executive management and administrative control of the school system and its properties and facilities; b) The right to hire all employees and determine their qualifications and the conditions of their continued employment or their discipline, dismissal, demotion, promotion or transfer; c) The unqualified right of assignment and direction of work of all its personnel, and to determine the number of shifts and hours of work and starting times and scheduling of all the foregoing, but not in conflict with the specific provisions of this Agreement, and the right to establish, modify or change any work or business hours or days; d) The unqualified right to establish the school calendar; e) The right to determine the services, supplies and equipment necessary to continue its operations and to determine the methods, schedules and standards of operation, the means, methods and processes of carrying on the work including automation thereof or changes therein, the institution of new and/or improved methods or changes therein; f) The right to adopt reasonable rules and regulations; g) The right to determine the qualifications of employees, including physical conditions; h) The right to determine the location or relocation of its facilities, including the establishment or reallocations of new schools, buildings, departments, divisions or subdivisions thereof and the relocation or closing of offices, departments, divisions or subdivisions, buildings or other facilities; i) The right to determine the placement of operations, production, services, maintenance or distribution of work and the source of materials and supplies; j) The right to determine the financial policies, including all accounting procedures and all matters pertaining to public relations; k) The right to determine the size of the management organization, its functions, authority, amount of supervision and table of organization; l) The right to determine the policy affecting the selection, testing or training of employees providing such selection shall be based upon lawful criteria...
Board Functions. In addition to SAC Board’s general responsibilities of directing the business and affairs of the organization and approving the Annual Business Plan, the responsibilities of the SAC Board will include, but not be limited to, supervising the performance of SAC in accordance with the Annual Business Plan, establishing capital requirements for its members, reviewing and approving long-term business plans, approving major financial undertakings, and supervising the performance of Manager under this Agreement. It will be the SAC Board’s responsibility to assure that all costs are fairly allocated (as determined by the Board) to the various products produced at SAC. Product pricing and rebates will be at the discretion of the SAC Board.

This Agreement shall not be construed to limit in any way the Board's right to contract or subcontract work or to require the Board to continue in existence any of its present programs in their present form and/or location, or on any other basis. Where feasible, the Board will give prior notice to the Association and will provide a reasonable opportunity to discuss the situation giving rise to the contemplated action and to consider alternative courses of action where members of the bargaining unit would undergo reduction as a result of such action. C. It is recognized by the parties all rights and prerogatives of the Board which have not been diminished or modified by the terms of this Agreement are expressly retained by the Board on behalf of the citizens of the District. The rights of employees under this Agreement and of the Association shall be limited to those which are provided by the terms of this Agreement and law.

To establish and supervise the program of instruction and to make the necessary assignments for all programs of an extracurricular nature that benefits students. 4. To determine means and methods of instruction, selection of textbooks, and other teaching materials, and the use of teaching aids, class schedules, hours of instruction, class size, teaching load and length of school year. Teacher recommendations will be evaluated in determining decisions relevant to areas mentioned in this paragraph.
