Operational and Other Requirements. During the License Term, you must:
(1) after the Opening Date, operate the Hotel twenty-four (24) hours a day;
(2) operate the Hotel using the System, in compliance with this Agreement and the Standards, and in such a manner to provide courteous, uniform, respectable and high quality lodging and other services and conveniences to the public. You acknowledge that, although we provide the Standards, you have exclusive day-to-day control of the business and operation of the Hotel and we do not in any way possess or exercise such control;
(3) comply with System Standards, including our specifications for all supplies, products and services, regarding (i) the types and levels of services, amenities and products that must be used, promoted or offered in connection with the Hotel and (ii) the purchase of products and services, including, but not limited to, furniture, fixtures, equipment, food, operating supplies, consumable inventories, merchandise for resale to be used at, and/or sold from, the Hotel, in-room entertainment, computer networking, and any and all other items used in the operation of the Hotel. We may require you to purchase a particular brand of product. Unless we specify otherwise, you may purchase this product from any authorized source of distribution; however, we reserve the right, in our business judgment, to enter into exclusive purchasing arrangements for particular products or services and to require that you purchase products or services from approved suppliers or distributors;
(4) install, display, and maintain signage displaying or containing the Licensed Brand name and other distinguishing characteristics in accordance with Standards we establish for System Hotels;
(5) comply with System Standards for the training of persons involved in the operation of the Hotel, including completion by the General Manager and other key personnel of the Hotel of a training program for operation of the Hotel under the System, at a site we designate. You will pay us for all fees and charges, if any, we require for your personnel to attend these training programs. You will also be responsible for the wages, room, board and travel expenses of your personnel;
(6) purchase and maintain property management, revenue management, in-room entertainment, telecommunications, high-speed internet access, and other computer and technology systems we designate as System-wide (or area-wide) programs based on our assessment of the long-term best interests of System Hote...
Operational and Other Requirements. During the License Term, Licensee will:
(1) promptly pay to Licensor all amounts due Licensor and its Entities as royalties or fees or for goods or services purchased by Licensee;
(2) maintain the Hotel in a clean, safe and orderly manner and in first class condition;
(3) provide efficient, courteous and high-quality service to the public;
(4) operate the Hotel 24 hours a day every day, except as otherwise permitted by Licensor based on special circumstances;
(5) strictly comply in all respects with the Manual and with all other policies, procedures and requirements of Licensor which may be from time to time communicated to Licensee;
(6) strictly comply with Licensor's reasonable requirements to protect the System and the Hotel from unreliable sources of supply;
(7) strictly comply with Licensor's requirements as to:
(a) the types of services and products that either must or may be used, promoted or offered at the Hotel;
(b) use, display, style and type of signage;
(c) directory and reservation service listings of the Hotel;
(d) training of persons to be involved in the operation of the Hotel;
(e) participation in all marketing, reservation service, advertising, training and operating programs designated by Licensor as System-wide (or area-wide) programs based on Licensor's assessment of the long-term best interests of hotels using the System, considering the interest of the System overall;
(f) maintenance, appearance and condition of the Hotel;
(g) quality and types of services offered to customers at the Hotel, and
(h) its 100% Satisfaction Guarantee rule of operation, and any similar rules of operation designed to maintain or improve relationships with past, present and potential guests and other hotel customers, as such rule or rules are in effect or as they may be established or revised hereafter;
(8) use such automated guest service and/or hotel management and/or telephone system(s) which Licensor deems to be in the best interests of the System based on Licensor's assessment of the long-term best interests of hotels using the System, considering the interests of the System overall, including any additions, enhancements, supplements or variants thereof which may be developed during the term hereof;
(9) participate in and use those reservation services which Licensor deems to be in the best interests of the System based on Licensor's assessment of the long-term best interests of hotels using the System, considering the interests of the System overall, ...

5.1.1 after the Effective Date, operate the Hotel twenty-four (24) hours a day;
5.1.2 operate the Hotel using the System, in compliance with this Agreement and the Standards, and in such a manner to provide efficient, courteous, uniform, respectable and high-quality lodging and other services and conveniences to the public, consistent with our concept of providing quality accommodations at fair and reasonable prices. You acknowledge that, although we provide the Standards, you have exclusive day-to-day control of the business and operation of the Hotel and we do not in any way possess or exercise such control and shall maintain those requirements which may change from time to time. You will successfully complete all quality assurance assessments as may be required by us from time to time;
5.1.3 maintain the premises, including coffee shops, restaurants, lounges, meeting/banquet rooms and other public areas, in a clean, safe and orderly condition;
5.1.4 permit and participate in inspection of the Hotel and all associated facilities to determine if the Hotel is in compliance with the Standards;
5.1.5 comply with the Standards, including our specifications for all amenities, supplies, products and services as may be applicable. We may require you to purchase a particular brand of product or service to maintain the common identity and reputation of the Brand, and you will comply with such requirements. Unless we specify otherwise, you may purchase products from any authorized source of distribution; however, we reserve the right, in our business judgment, to enter into purchasing arrangements for any particular products or services and to require that you purchase, lease or otherwise acquire products and/or services from approved suppliers or distributors which may include or be limited to us and our Affiliates;
5.1.6 comply with all design requirements as detailed in the Standards and associated references (e.g., Design Guidelines);
5.1.7 install, display, and maintain signage displaying or containing the Brand name and other distinguishing and identifying characteristics in accordance with Standards we establish for System Hotels;
5.1.8 participate in and pay all charges in connection with all required loyalty or frequency programs (e.g., BWR®);
5.1.9 use the Reservation Service as the sole means of offering reservations to the public and to third parties for booking (e.g., you may not use an individual Hotel website, booking engine, extranets, or ...

Operational and Other Requirements. During the License Term, you agree to:
1. maintain the Hotel in first class condition and in a clean, safe and orderly manner;
2. provide efficient, courteous, and high-quality service to the public while maintaining a high moral and ethical standard and atmosphere at the Hotel;
3. operate the Hotel twenty-four (24) hours a day, every day;
4. strictly comply in all respects with our requirements concerning:
a) the Hotel System, the Manual and all other policies and procedures we communicate to you;
b) our quality standards and the types of services, products and amenities you may use, promote or offer at the Hotel;
c) your use of the Proprietary Marks and display, style and type of signage;
d) directory and reservation service listings of the Hotel; and
e) your participation in all of our marketing, reservation service, advertising, Internet, computer, training and operating programs, including a property management system that interfaces with the CRS or any other central reservation system we adopt;
5. execute our then-current software license agreement to participate in, connect with and use the CRS;
6. except as provided in Paragraph 4E, adopt all changes we make to the Hotel System;
7. strictly comply with all governmental requirements, including: (i) the payment of taxes; (ii) the filing and maintenance of trade or fictitious name registrations; and (iii) the filing and maintenance of all licenses and permits to operate the Hotel;
8. permit our representatives to inspect the Hotel at any time and provide them free lodging during the inspection period;
9. not use the Hotel or the Hotel System to promote a competing business or other lodging facility;
10. use your best efforts to create a favorable response to the names "Best Inns of America," "Best Suites of America" and the names of any brand extensions we develop;
11. promptly pay to us and/or our parent, subsidiaries and affiliates when due all royalties and fees owed under this Agreement;

(i) operate, furnish, maintain and equip the Hotel in a clean, safe and orderly manner and in first-class condition in accordance with the provisions of this Agreement, and in compliance with all applicable local, state, and federal laws, customs and regulations, including maintaining and conducting the Hotel’s business in accordance with sound business and financial practices, subject to the Product Improvement Plan;
(ii) provide efficient, courteous and high-quality service to the public in the operation of the Hotel, subject to the Product Improvement Plan;
(iii) comply with the Hilton System as to the types and levels of services, amenities and products that either must or may be used, promoted or offered at or in connection with the Hotel, consistent with the types and levels of services, amenities and products offered at or in connection with the Hotel immediately prior to the Effective Date;
(iv) advertise and promote the Hotel and related facilities and services on a local, regional, national, and international basis to the extent Resorts deems appropriate, provided all such advertising and promotions are conducted in a first·class, dignified manner, using Hilton’s identity and graphics standards for Other Hilton Licensees. Resorts will consult with and receive Hilton’s approval for advertising and promotional materials related to any Advertising Campaign that Hilton has not previously approved (including any materials in digital, electronic or computerized Form, or in any form of media that exists now or is developed in the future) before Resorts produces or distributes them, provided, however, that no such approval shall be required for any materials generally consistent with or that represent reasonable extensions of the Current Advertising Campaign. If Resorts changes the Current Advertising Campaign in any material way or adopts any new Advertising Campaign that is materially different than the Current Advertising Campaign, Resorts shall submit material representing such modified or new Advertising Campaign to the senior Hilton executive responsible for the Hilton brand (or any person with an equivalent position) of Hilton for its approval, provided, however, that such Advertising Campaign shall be deemed approved if Hilton does not notify Resorts of any objections within seven days of the submission of such material to Hilton.
