Project Management Meetings. 5.1 Project Management meetings will be held with a minimum frequency of monthly at Dredging Services, or as otherwise directed by TNPA.
5.2 The Service Provider shall:
a) ensure that representatives referred to above attend each and every meeting;
Project Management Meetings. Lodemo will plan and arrange for monthly project management meetings to occur on or about the 20th day of every calendar month during the term of the Agreement (Management Meetings”). Through the Management Meetings, the parties shall perform progress and budget reviews and coordinate any shutdowns, curtailments, service outages, and changes to operations.
Project Management Meetings. Task 1.1 Project Management and Oversight
Project Management Meetings. (a) The Project Management Meetings shall decide all fundamental questions and issues which are not reserved for decision by the coordinator under the present Grant Agreement. Al l decisions of the Project Management Meetings shall be binding on the partners.
(b) The schedule of programmed project management meetings and the locations where they are to be held are outlined in the Grant Agreement (See Annex I). Additional online meetings may be called on an ad hoc basis. Project management meetings may be held electronically i f required by conditions.
(c) The results of Project Management Meetings shall be documented by the coordinator in writing and confirmed by the partners.
(d) The Project Management Meetings shall constitute a quorum i f all partners participate in the adoption of a resolution through approval of the meeting summary. Each partner shall have one vote. Al l decisions by the Project Management Meetings should be unanimous. If the partners fail to reach a unanimous decision, then coordinator shall decide, subject to the following paragraph. Exceptions to this provision governing the coordinator's right to make the final decision shall include: • substantial amendments to the Grant Agreement with the Executive Agancy regarding the provision of services; i f necessary, a new division of work and services between the partners shall be carried out; • amendments that would unreasonably increase a partner's risks to the coordinator, the consortium, or the National Agency; • amendments that would require a partner to act in breach of pre-existing duties including statutory, regulatory or contractual obligations; • as well as all other amendments to the present agreement.
(e) At the Kickoff Meeting, the partners should adopt rules of procedure through this Partnership Agreement.
Project Management Meetings. Each project shall be conducted in accordance with its Work Plan and under the overall direction and guidance of the Array Project Leader and Lilly Project Leader assigned to it (the "Project Steering Committee"), but subject to the Lilly Project Leader's ultimate authority. Each Project Steering Committee shall hold meetings regularly, and except as the Lilly Project Leader may reasonably determine otherwise, shall hold such meetings weekly. Such meetings may be held in-person, via video conference and/or teleconference, provided that at least quarterly the Project Steering Committee shall meet in-person, unless they otherwise agree. The Lilly Project Leader, after consultation with the Array Project Leader, will determine in good faith whether individual members of the Project Team or other persons should also be in attendance at a Project Steering Committee meeting; however, for in-person Project Steering Committee meetings, the in-person attendance of individuals other than the Project Steering Committee members will be required only upon the mutual consent of the Parties. In-person, Project Steering Committee meetings will alternate between Lilly's Indianapolis, Indiana facilities and Array's Boulder, Colorado facilities, unless the Parties otherwise agree. Each [ * ] with the attendance of its employees and consultants at such meetings.
Project Management Meetings. This project will require a consultant project manager that is able to facilitate citizen task force meetings, guide the project as an active project manager, and work directly and cooperatively with the City Transportation Manager. The City Transportation Manager will be a stakeholder on the Task Force. The Consultant shall manage the work tasks and design team to achieve the objectives of the project and provide deliverables within budget and on schedule. The Project Management work task includes providing regular communications with City Project Manager, issuing monthly project status reports, issuing meeting agendas prior to meetings, preparing for and conducting the weekly project meetings, and monthly invoicing. An overall schedule and work plan will be created and implemented by the Consultant to assure the work activities are completed in a properly integrated and timely manner. In addition, this task includes those elements necessary to properly manage, lead, and control the project. At the beginning of the project, the Consultant will initiate and create a City technical team charter that compliments the existing Corridor Charter created by the Task Force. The consultant will also validate with the Task Force and City the charter that was created during the visioning process. The consultant will also become part of the existing Task Force Charter. As part of the chartering process, the consultant shall review the system-level function of the Galveston corridor, including factors such as traffic growth on the corridor, through- traffic dependence on the corridor relative to other bridge crossings to downtown, and sensitivity to significant land use changes in west Bend (e.g., an additional college facility). Key findings from the review will be presented in the project process. The City’s project manager will coordinate with the consultant to identify the City technical team members. The internal technical Team Chartering Session agenda is anticipated to include but not be limited to, the following items: • Introductions. • Project Purpose and Goals. • Roles, Responsibilities, expectations, of technical team members. • Operating Guidelines, including Internal and External Communication, Managing Decisions and Changes. • Team Commitments, expectations and risks. 5.2 The Service Provider shall:
a) ensure that representatives referred to above attend each and every meeting;
b) maintain a minimum an overall service level score (to be agreed with the Service Provider at the first service level meeting) for each month. Failure of the Service Provider to achieve this agreed service level score, gives TNPA the right to either cancel the Agreement in whole without penalty, giving thirty (30) days written notice of its intention to do so and/or;
c) impose a 10% (ten percent) on the invoiced amount dues to the Service Provider for the month.
Project Management Meetings. Carollo will participate in monthly project progress meetings and conference calls with the County’s Project Manager and other County staff to discuss project status, action items, and potential areas of concern.
