MANAGEMENT AND ACADEMIC RIGHTS. A. Management of the University is vested exclusively in the University. Except as otherwise provided in this Agreement, the UAW agrees that the University has the right to establish, plan, direct and control the University’s missions, programs, objectives, activities, resources, and priorities, including Affirmative Action plans and goals; to establish and administer procedures, rules and regulations, and direct and control University operations; to alter, extend, or discontinue existing equipment, facilities, and location of operations; to determine or modify the number, qualifications, scheduling, responsibilities and assignment of ASEs; to establish, maintain, modify or enforce standards of performance, conduct, order and safety; to evaluate, to determine the content of evaluations, and to determine the processes and criteria by which ASEs’ performance is evaluated; to establish and require ASEs to observe University rules and regulations; to discipline or dismiss ASEs; to establish or modify the academic calendars, including holidays and holiday scheduling; to assign work locations; to schedule hours of work; to recruit, hire, or transfer; to determine how and by whom instruction is delivered; to introduce new methods of instruction; or to subcontract all or any portion of any operations; and to exercise sole authority on all decisions involving academic matters. B. Decisions regarding who is taught, what is taught, how it is taught and who does the teaching involve academic judgment and shall be made at the sole discretion of the University. C. The above enumeration of management rights is not exhaustive and does not exclude other management rights not specified herein, nor shall the exercise or non-exercise of rights constitute a waiver of any such rights by the University. D. No action taken by the University with respect to a management or academic right shall be subject to the grievance or arbitration procedure or collateral suit, unless the exercise thereof violates an express written provision of this agreement.
MANAGEMENT AND ACADEMIC RIGHTS. ‌ 15.1 The CSU retains and reserves to itself, whether exercised or not, all powers, rights, authorities, duties, and responsibilities which have not been specifically abridged, delegated, or modified by this Agreement. Except as otherwise provided in this Agreement, the Union agrees that the CSU has the right to establish, plan, direct and control the CSU’s missions, programs, objectives, activities, resources, assets and priorities; to establish, administer and revise procedures, rules and regulations, and direct and control University operations; to alter, extend or discontinue existing equipment, facilities, and location of operations; to determine or modify the number, qualifications, scheduling, responsibilities and assignment of employees and all other personnel; to establish, maintain, modify or enforce standards of performance, conduct, order and safety; to evaluate, determine the content of evaluations, and determine the processes and criteria by which employees’ performance is to be evaluated; to establish and require employees to observe CSU rules and regulations; to discipline or dismiss employees; to establish or modify the academic calendars, including holidays and holiday scheduling; to assign work locations; to schedule hours of work; to recruit, hire or transfer; to determine how and by who instruction and other services are delivered; to introduce new methods of instruction; and to exercise sole authority on all decisions involving academic matters. 15.2 Decisions regarding who is provided teaching or other services provided by the CSU, what teaching and other services are provided, how teaching and other services are provided and who provides teaching and other services involve management and academic judgment and shall be made at the sole discretion of the CSU.

The parties agree that all rights not specifically granted in this Agreement are reserved solely to the University. Except as otherwise provided in this Agreement, the UAW agrees that the University has the right to make and implement decisions relating to areas including but not limited to those enumerated below. For the purpose of this Agreement only, academic rights are those management rights exercised by faculty and academic administrators in the performance of their supervisory responsibilities in the academic domain. B. Except as otherwise provided in this Agreement, the UAW agrees that the University has the right to: 1. establish, plan, direct and control the University's missions, programs, objectives, activities, resources, and priorities, including Affirmative Action plans and goals; 2. establish or modify the academic and work calendar, including holidays and holiday scheduling; 3. establish, administer or modify procedures, rules and regulations that direct and control the University’s operations; and to determine the methods and means by which operations are to be carried on; 4. introduce new or improved methods, programs, equipment, or facilities or change or eliminate existing methods, equipment, or facilities; 5. determine projects or programs and have the sole right to discontinue or alter projects or programs including the determination of whether Academic Researchers should be laid off; 6. establish, maintain, modify, and enforce standards of workplace performance, conduct, order and safety; 7. determine the amount and timing of merit increases; 8. establish University rules and regulations and to require Academic Researchers to observe them; 9. determine and modify job classifications and job descriptions; 10. determine the location or relocation, reorganization, or discontinuance of operations; or subcontract all or any portion of any operation; 11. determine or modify the number, qualifications, scheduling, responsibilities and assignment of Academic Researchers; 12. counsel, discipline, or dismiss Academic Researchers; 13. assign work locations and schedule hours of work;

B. Decisions regarding who is taught, what is taught, how it is taught and who does the teaching involve academic judgment and shall be made at the sole discretion of the University. C. The above enumeration of management rights is not exhaustive and does not exclude other management rights not specified herein, nor shall the exercise or non-exercise of rights constitute a waiver of any such rights by the University, provided that the University has met its obligation to negotiate with the Union when the exercise of such other rights pursuant to this paragraph C will result in a material change to a Faculty member(s)’ terms and conditions of employment. D. No action taken by the University with respect to a management or academic right shall be subject to the grievance or arbitration procedure or collateral suit unless the exercise thereof violates an express written provision of this Agreement.

Examples of management and academic rights reserved to the University include the right to: a. enact and modify policies or regulations for the governance of the University; b. appoint officers, administrators, supervisors, and other employees who are not bargaining unit members; c. establish and modify policies and procedures in support of the educational, research, and service missions of the University; d. establish and direct programs of instruction at the University; e. declare and respond to financial exigency; f. administer the University; g. select, direct, set the number, assign, and evaluate bargaining unit members; h. adopt and enforce work rules and regulations applicable to bargaining unit members; i. provide and utilize technology in areas including, but not limited to, distance education; j. determine the organizational structure of the University; k. set and determine performance and productivity standards; l. establish, modify, reduce, or eliminate positions consistent with terms of this Agreement, programs, departments, colleges, schools, centers, or other units of the University; m. transfer bargaining unit members across academic programs, departments, colleges, schools, centers, geographic locations, or other units of the University; n. discipline bargaining unit members, including but not limited to coaching or other corrective action, to comply with appropriate federal or state law or the terms of this Agreement; o. establish and administer procedures, rules and regulations, and direct and control University operations, including the subcontracting of all or any portion of any operations; p. determine or modify any processes and criteria by which bargaining unit members’ performance is evaluated; q. establish and require bargaining unit members to observe applicable University rules and regulations; r. establish or modify the academic calendars, including holidays and holiday scheduling; s. assign work locations; t. schedule hours of work; u. determine who is taught, what is taught, how such content is taught, where applicable, and who delivers the instruction; v. determine in its sole discretion all matters relating to admissions and appointments, admission standards, student matriculation, graduation standards, assessment of student work and grades, and determ...

MANAGEMENT AND ACADEMIC RIGHTS. ‌ 2.1 Management of the University is vested exclusively in the University. Except as set forth in this Agreement, this includes but is not limited to the following rights: A. The right to establish, direct, and control its programs, services, organizational structure, and operations in all particulars and to take such action as is necessary to maintain the mission, efficiency, and effectiveness of the University operations; B. The right to decide who is taught, what is taught, how it is taught, when it is taught, and who does the teaching; C. The right to direct, supervise, and train employees; to appoint, assign, schedule, transfer, evaluate, promote, and retain employees in positions; to determine qualifications, hiring criteria and standards of work; to establish standards of productivity and performance; and to suspend, demote, discharge, or take other disciplinary actions against an employee; D. The right to lay off employees due to lack of work, budgetary reasons, or organizational changes; E. The right to determine the means, methods, budgetary and financial procedures, and personnel by which the University’s programs, services, and operations are to be conducted; F. The right to take whatever actions as may be necessary to carry out the mission of the University in situations of emergency, the determination of such situations to be the prerogative of the University, provided that the University shall subsequently and in timely fashion negotiate the effects of such action on the terms and conditions of employment of members of the bargaining unit. For the purposes of this section "emergency" is defined as any condition or situation out of the ordinary which requires immediate action to avoid danger to life, property, or to prevent losses affecting the University, its employee(s), student(s), or the general public. G. The right to privatize or contract out programs, services, and operations as deemed appropriate to maintain a well-coordinated and efficient system of the University. 2.2 The above enumeration of management and academic rights is not exhaustive and does not exclude other management or academic rights not specified above. The exercise of any management or academic right or function in a particular manner shall not preclude the University from exercising the same in any other manner which does not violate this Agreement. Establish, maintain, modify, or enforce standards of education, performance, conduct, order, and safety, establish and revise disciplinary policies to address violations of these standards; h. Establish and modify standards of conduct of Graduate Assistants; i. Evaluate, determine the content of evaluations, and determine the processes and criteria by which Graduate Assistants’ performance is evaluated; j. Determine class sizes, who is taught, what is taught, how such content is taught and who delivers the instruction, and grading policies and practices; j. Create, eliminate, or modify education and research programs; k. Determine all matters relating to faculty hiring and tenure, grants, student admissions and appointments, admission standards, student matriculation, graduation standards, assessment of student work and grades, and determinations as to studentsacademic progress including but not limited to the completions of degree requirements; l. Determine and implement the University’s budgetary, financial and personnel decisions and procedures by which the University’s programs, services and operations are conducted; m. Establish standards relating to academic integrity; n. Establish tuition, fees, and charges; o. Determine matters involving financial aid and assistance that are not a term or condition of employment, including, but not limited to, recipients, terms and amounts; p.
