Summary of Design Services. An overview of deliverables and Phases of Services and deliverables are listed in the Phases of Service section of the RFP, which is attached as part of Exhibit B and is incorporated by reference into this Contract. A summary of the design services that may be required for the Project are as follows: (1) Survey existing school facility, including electrical, mechanical and plumbing infrastructure, to confirm scope of work. (2) Confirm program and scope of work for the Project. (3) Attend and document design and public meetings with the School District’s Office of Capital Programs staff, community development teams, and other School District personnel, including the Construction Management Firm. Participate and make presentations at community meetings. Attend and participate in biweekly design progress meetings and biweekly construction documentation progress meetings. (4) Make presentations at completion of Schematic Design Phase. (5) Prepare initial design schedule and update schedule monthly. (6) If Project includes work to an existing building, confirm Building Assessment, preliminary Design Concept and Program of Requirements. (7) Prepare final Program of Requirements. (8) Provide confirmation of initial estimate. (9) Submit to the School District’s Office of Capital Programs progress drawings, specifications, Submittal Review Form and supporting documentation at various stages throughout the design process: Planning Phase, Schematic Design Phase, Design Development Phase, and Construction Documents Phase. Minimum submittal requirements at each phase shall be as enumerated in the Phase Submission Checklist included with the Scope. Schematic Design submission must document existing conditions, as well as the proposed design of the building HVAC system, through drawings and narrative with outline specifications and a prelimary detailed construction cost estimate. Design Development submission must document selection and sizing of all building and construction components, as well as required calculations, updated specifications and detailed construction cost estimate. Construction Documentation submission must provide all project details with final specifications, phasing plan and detailed construction cost estimate. Bid Documentation submission must provide a complete set of Construction Documents, updated specifications and detailed construction cost estimate that can be used for regulatory approvals, bidding and construction. (2) Confirm site conditions in the site survey provided by the School District or the Program Manager after Contract award and coordinate lot consolidation, if required. (3) Review Phase 1 Environmental Site Assessment for the Project conducted by the School District’s Office of Environmental Management and Services (“OEM”), including OEM recommendations for the abatement of any environmental hazards. (4) Review and comply with all applicable zoning regulations that govern the Project, including the zoning requirements set forth in the RFP. (5) Review and comply with all applicable codes and stormwater regulations that govern the Project, including the stormwater regulations information set forth in the RFP. (6) Review all available drawings relating to the site of the Project. Survey and verify existing conditions for the Project. (7) Hold a minimum of three (3) design charrettes at the Planning Phase with the Program Manager, School District administrators, staff and others. (8) Hold, attend, participate and document weekly design meetings with the Program Manager and the School District’s Office of Capital Programs staff. Attend and document design and public meetings with the Program Manager and the School District’s Office of Capital Programs staff, community development teams, and other School District personnel.   • Release of Design Plan The Engineer (1) will not release any roadway design plan created or collected under this contract except to its subproviders as necessary to complete the contract; (2) shall include a provision in all subcontracts which acknowledges the State’s ownership of the design plan and prohibits its use for any use other than the project identified in this contract; and (3) is responsible for any improper use of the design plan by its employees, officers, or subproviders, including costs, damages, or other liability resulting from improper use. Neither the Engineer nor any subprovider may charge a fee for the portion of the design plan created by the State.

  • Effect of Designation (i) If notice designating an Early Termination Date is given under Section 6(a) or (b), the Early Termination Date will occur on the date so designated, whether or not the relevant Event of Default or Termination Event is then continuing. (ii) Upon the occurrence or effective designation of an Early Termination Date, no further payments or deliveries under Section 2(a)(i) or 2(e) in respect of the Terminated Transactions will be required to be made, but without prejudice to the other provisions of this Agreement. The amount, if any, payable in respect of an Early Termination Date shall be determined pursuant to Section 6(e).

  • Service Level Agreement 6.1 NCR Voyix will use commercially reasonable efforts to make the Service available to you at or above the Availability Rate set forth at xxxxx://xxx.xxx.xxx/support/aloha-sla. If NCR Voyix does not meet the Availability Rate, you are entitled to request a service-level credit subject to the terms of this Agreement. This credit is calculated as a percentage of the monthly recurring bill (or monthly pro rata share of billing, if billing does not occur monthly) for the Service for the month in which the Availability Rate was not met. The Availability Rate is determined by: (a) dividing the total number of valid outage minutes in a calendar month by the total number of minutes in that month; (b) subtracting that quotient from 1.00; (c) multiplying that difference by 100; and (d) rounding that result to two decimal places in accordance with standard rounding conventions. The number of outage minutes per day for a given service is determined by the lesser of the number of outage minutes. 6.2 Unavailability due to other conditions or caused by factors outside of NCR Voyix’s reasonable control will not be included in the calculation of the Availability Rate. Further, the following are expressly excluded from the calculation of the Availability Rate: (a) service unavailability affecting services or application program interfaces that are not used by you; (b) cases where fail-over to another data center is available but not utilized; (c) transient time-outs, required re-tries, or slower-than-normal response caused by factors outside of NCR Voyix’s reasonable control; (d) Scheduled Downtime, including maintenance and upgrades; (e) force majeure; (f) transmission or communications outages outside the NCR Voyix- controlled environment; (g) store-level down-time caused by factors outside of NCR Voyix’s reasonable control; (h) outages attributable to services, hardware, or software not provided by NCR Voyix, including, but not limited to, issues resulting from inadequate bandwidth or related to third-party software or services; (i) use of the Service in a manner inconsistent with the documentation for the application program interface or the NCR Voyix Product; (j) your Point of Sale (“POS”) failure or the failure to properly maintain the POS environment, including updating the POS firmware or version of the software running on the POS as recommended by either NCR Voyix, a third-party POS reseller or servicer; and (k) issues related to third party domain name system (“DNS”) errors or failures. 6.3 To obtain a service-level credit, you must submit a claim by contacting NCR Voyix through the website at xxxxx://xxx.xxx.xxx/support/aloha-sla Your failure to provide the claim and other information will disqualify you from receiving a credit. NCR Voyix must receive claims within 60 days from the last day of the impacted month. After that date, claims are considered waived and will be refused. You must be in compliance with the Agreement in order to be eligible for a service-level credit. You may not unilaterally offset for any performance or availability issues any amount owed to NCR Voyix. If multiple Services experience an outage in a given month, the total credit for that month will be the highest credit allowed for any single Service which failed; there is no stacking of credits. 6.4 The remedies set forth in the Section are your sole and exclusive remedies for performance or availability issues affecting the Services, including any failure by NCR Voyix to achieve the Availability Rate.
