Hospital’s Responsibilities. 5.1 Hospital shall be responsible for providing a graduate medical educational experience and Training Program through faculty planning, teaching, supervision, and evaluation of residents consistent with ACGME requirements. 5.2 Hospital shall designate a Program Director who will manage the Training Program. The Program Director will supervise and manage the Resident in the appropriate scope of training. The Program Director, taking into consideration training opportunities and patient needs, will decide Resident’s general assignments and responsibilities. 5.3 Hospital and the Program Director will supervise and manage Resident’s schedule and education consistent with ACGME requirements, including but not limited to, the distribution of Resident’s assignments and responsibilities. 5.4 Hospital agrees to perform administrative functions for the benefit of the Residents. These include arranging for the payment of salaries, administration of benefits available to Residents, and maintaining Resident records. 5.5 Hospital agrees to the following:

Hospital’s Responsibilities. Under this Agreement Hospital agrees to provide: A. Hospital and Providence Health & Services Oregon in collaboration will provide Graduate Medical Education program that has as its primary purpose the professional education of the resident and is compliant with ACGME institutional and program requirements. B. Hospital will provide resident a salary during the term of this agreement. The salary will be $«Salary» annually, and shall be payable in bi-weekly installments. All compensation will be subject to withholding for income taxes, Social Security, and other legally required deductions. The Hospital will additionally provide resident with an Education and Wellness stipend as outlined in Appendix C. C. Hospital will provide residents with conditions for reappointment and promotion to a subsequent PGY level or to graduate from the program as appropriate. This generally includes satisfactory performance in ACGME and specialty board milestones, satisfactory performance on clinical rotations, and a final global assessment of satisfactory performance as determined by the program’s clinical competency committee and program director at the current PGY level. The resident must also demonstrate the potential to perform at the next PGY level or as a program graduate, as appropriate. In addition to meeting promotional criteria as descripted in Appendix D, residents must achieve a passing score on USMLE II or COMLEX II to advance to the PGY 2 year. Residents must have a scheduled date to take USMLE III or COMLEX III by the mid-point of the PGY-2 year and must pass the exam in order to advance to the PGY-3 year. D. The Hospital delegates to the Sponsoring Institution’s GMEC the construct and oversight of a due process and grievance policy. Residents are entitled to due process under the prevailing GMEC Due Process Policy relating to the following actions; suspension, non-renewal of contract, non-promotion or dismissal. Residents are entitled to address concerns or complaints related to the work environment and issues related to the programs or faculty not covered in the due process policy through the prevailing GMEC grievance process or through PSJH system processes as appropriate. Providence will make such policies available to residents in written or digital format. E. Hospital’s Responsibilities. Hospitals shall: 4.1 Provide a training program that meets the standards and Requirements for Approval of Residencies in Podiatric Medicine and Surgery with Reconstructive Rearfoot/Ankle Surgery (PMSR/RRA) as prepared by the Council on Podiatric Medical Education. 4.2 Pay Resident a salary of $Salary per year for a full-time (1.0 FTE) appointment. 4.3 Provide Resident benefits as set forth in Hospitals’ Graduate Medical Education policies for disability, health, life and dental insurance, and leaves of absence, vacation, sick leave, medical/ family leave, counseling and psychological support services, and other benefits as found in Hospitals’ Graduate Medical Education Policy Manual which is incorporated herein by reference. An Intern/Resident/Fellow is eligible for fifteen (15) days of annual paid vacation in accordance with GME Policy 4.10 – Vacation and Education Days and will be allowed the opportunity to schedule seven (7) consecutive days off (5 vacation days M-F plus 2 weekend days not charged against vacation leave bank) at any one time, two (2) times per year, with the remaining 5 vacation leave days available to schedule for conference attendance, job interviews, additional vacation, etc. as approved by the Program Director, and scheduled in accordance with the Departmental or Divisional policy. Annual vacation time is not cumulative from year to year. Resident agrees to follow the policies defined in Hospitals’ Graduate Medical Education Policy Manual, “Vacation and Education Days” and “Sick Daysin addition to the policies established by his/her residency program, which is also incorporated herein by reference. All benefits shall commence on the Effective Date of this Agreement. 4.4 Provide disability insurance for injuries resulting from activities that are part of the Residency Program under Hospitals’ program of self-insurance. 4.5 Defend and indemnify Resident against damages in any amount for professional liability arising out of the professional activities of Resident within Hospitals and any assigned duty of Resident in any training program sponsored by Hospitals during the term of this Agreement. Hospital’s Responsibilities. A. Experience: Hospital shall accept from School the mutually agreed upon number of students enrolled in program and shall provide these students with supervised and appropriate clinical experiences. B. Patient Care: Hospital shall provide staff of adequate number and quality so as to ensure safe and continuous healthcare services for patients.

An educational program and sufficient clinical experience in keeping with the standards of the Essentials of Accredited Residencies as adopted by the Accreditation Council for Graduate Medical Education. Residents, who are employees of a hospital or clinic of Providence Health and Services - Oregon d/b/a are insured for professional liability while acting within the scope of their residency employment. Coverage is provided under the Providence Health System – Oregon self- insurance trust. This coverage applies for the duration of training, and provides legal defense and protection against awards from claims reported or filed after the completion of graduate medical education. This coverage is consistent with the institution’s coverage for other employed medical/professional practitioners. Coverage provided by the trust will not be less than $2,000,000 each event, $5,000,000 in aggregate. E. Resident will have four weeks of vacation with pay during the training year inclusive of mandatory vacation time as designated by the Program Director. Vacation is not cumulative and must be used during the contract year. F. Other benefits are provided in accordance with Hospital policy and summarized in the attached schedule. Hospital’s Responsibilities. 2.1 Hospital, being a non-profit corporation in the State of , shall at all times: (i) be and remain legally organized and operated to provide the services required by this Agreement in a manner consistent with all State and federal laws, rules and regulations; (ii) be and remain eligible to participate in all federally-funded health care programs, including, without limitation, Medicare and Medicaid; (iii) have within its engagement a sufficient number of employees who meet the requirements of this Agreement; and (iv) discharge the duties of this Agreement. 2.2 Hospital shall furnish at the Remote Site, at its expense, for the provision of Central Pharmacy Services during the term of this Agreement, an area of sufficient size for placement of CHI’s network hardware and software infrastructure, pursuant to the State Pharmacy Board and CHI’s specifications. Hospital shall, at its own expense, furnish such other furniture, fixtures, equipment, and such other expendable supplies as Hospital through collaboration for functionality deemed reasonably necessary for the proper and efficient operation of the Remote Site, and to ensure that the Remote Site is operated consistently with state law, industry standards and quality medicine and health care in the community. 2.3 Hospital shall maintain network hardware and software infrastructure equipment provided by the grant in good working order and repair. Hospital shall advise CHI immediately of any malfunctions or needed repairs or obsolete equipment. Connectivity and service fees are the responsibility of the remote hospital.

Hospital’s Responsibilities. With regard to each of the Telemedicine Practitioners who hold privileges at Hospital, Hospital will do the following: (a) Hospital will conduct and document an internal review of the Telemedicine Practitioner’s performance of such privileges. (b) Hospital shall send to Distant Site Hospital the internal review information for use in the periodic appraisal of the Telemedicine Practitioner. At a minimum, this information shall include all adverse events that result from the telemedicine services provided by the Telemedicine Practitioner to Hospital’s patients and all complaints that Hospital has received about the Telemedicine Practitioner.
Hospital’s Responsibilities. All obligations created hereunder are agreed to by Clinic on behalf of Hospital. Clinic shall, in its agreement with Hospital, require that Hospital comply with the following terms. A. Hospital shall carry medical malpractice insurance as required by the laws of the State of Wisconsin, or any other state(s) law(s) as necessary to fulfill Hospital's responsibilities under this Agreement. Insurance described in this Article must provide coverage to Hospital, and its staff, agents and employees, as appropriate. Evidence of all such insurance shall be provided to VHP upon request. Hospital shall in writing and within ten (10) days notify VHP of any restrictions, changes, cancellations or terminations of any of the insurance described in this Article. B. Except as provided in Section III. C. below, Hospital has and shall maintain in good standing all licenses, certifications, and other governmental approvals which by law are required for Hospital to perform its responsibilities pursuant to this Agreement. Hospital shall also maintain in good standing accreditation by the Joint Commission on Accreditation of Health Care Organizations ("JCAHO") or the American Osteopathic Association ("AOA"), whichever is applicable. Evidence of such licenses, certificates, and accreditation shall be made available to VHP upon request. Hospital shall, in writing and within ten (10) business days, notify VHP of any restrictions, changes, cancellations or terminations of any of the licenses, certificates, and accreditations described in this Article. C. If Hospital is not JCAHO and/or AOA accredited or certified, Hospital shall maintain an active quality assurance program. VHP shall monitor such program pursuant to Section VI. VHP shall also monitor Hospital in accordance with nationally recognized accrediting bodies including, but not limited to, the National Committee for Quality Assurance ("NCQA") standards that include, but are not limited to, the following: initial on-site review of Hospital and Hospital's policies and procedures prior to execution of this Agreement in order to evaluate Hospital's conformance with VHP standards for non-accredited Hospitals; confirmation that Hospital is in good standing with state and federal regulatory bodies, as well as confirmation of Hospital's continued good standing with same at least every three (3) years; and, if such review is requested by VHP, planned on-site review of Hospital's facility, policies and procedures. HOSPITAL shall allow student(s) and instructor(s) in the Program to access HOSPITAL as appropriate and necessary for the Program, provided that the student(s) or instructor(s) shall not interfere with HOSPITAL activities. HOSPITAL shall also provide space for conferences, as available, and access to HOSPITAL’s Medical Resource Library during normal Library hours.
