SUBCONTRACTOR'S OBLIGATIONS Sample Clauses

SUBCONTRACTOR'S OBLIGATIONSIf the Contractor is unable to fulfil its obligations under the Framework Agreement, the Purchaser may request that the subcontractor continues its fulfilment of the agreement with the Contractor. In such cases the Purchaser guarantees for the Contractor's obligations pursuant to the contract between the Contractor and the subcontractor. The Contractor undertakes to ensure this in the contract with the subcontractor(s). This provision does not exempt the Contractor as a contracting party, from its contractual obligations under the Framework Agreement.
SUBCONTRACTOR'S OBLIGATIONS. 5.1. Existing Site Conditions. Subcontractor acknowledges that it has investigated and understands the conditions affecting the Work and the Contract Documents, and has found no errors, omissions, or conflicts amongst them. The failure by Subcontractor to raise any issue with any of the foregoing before commencing the Work shall constitute a waiver of Subcontractor's right to any additional compensation and/or additional time based on any such issue.
SUBCONTRACTOR'S OBLIGATIONS. (a) SUBCONTRACTOR certifies and agrees that it is has read and is fully familiar with all of the terms of the CONTRACT DOCUMENTS, all of which SUBCONTRACTOR acknowledges have been made available to it, is familiar with the location of the job site, and the conditions under which the work is to be performed, and enters into this AGREEMENT based upon its investigation of all such matters and is not relying on any opinions or representations of PRESTON PIPELINES. (b) SUBCONTRACTOR shall conform in all respects to the provisions and regulations of any general or local act, or ordinance, or any local authority which may be applicable to the work, and shall hold harmless, defend, and indemnify PRESTON PIPELINES against all penalties by reason of nonobservance of any such provisions or regulations. (c) SUBCONTRACTOR agrees to obtain and pay for all permits, licenses and official inspections made necessary by its work and to comply with all codes, laws, ordinances and regulations bearing on its work and the conduct thereof. (d) SUBCONTRACTOR shall remove from the premises, as often as directed by PRESTON PIPELINES, all rubbish and surplus material which may accumulate from the prosecution of said work and should SUBCONTRACTOR fail to do so, PRESTON PIPELINES may, at its option, remove same without further notice at SUBCONTRACTOR’s expense. (e) SUBCONTRACTOR shall submit copies of submittal data as required in the CONTRACT DOCUMENTS. Refer to the applicable sections of the CONTRACT DOCUMENTS for requirements concerning submittals, including the number of submittal copies to be provided. Submittals shall reference the project title, number and applicable specification sections. All submittals must be submitted to PRESTON PIPELINES within twenty (20) working days of the award of a contract to SUBCONTRACTOR or per the CONTRACT DOCUMENTS, whichever is earlier. (f) SUBCONTRACTOR acknowledges that it has conducted its own independent investigation of the wage rates to be paid and whether its work will be subject to prevailing wage requirements or the requirements of the Xxxxx-Xxxxx Act and that it has not relied upon any statements or representations by PRESTON PIPELINES with respect to such matters. On all projects subject to state or local prevailing wage requirements, SUBCONTRACTOR shall comply with any applicable California prevailing wage laws. SUBCONTRACTOR'S OBLIGATIONS. The Subcontractor shall and will, in good workmanlike manner, do and perform all work and furnish all supplies and materials, machinery, equipment, facilities and means, except as herein otherwise expressly specified, necessary or proper to perform and complete all the work required by this Subcontract, within the time herein specified, in accordance with the provisions of this Subcontract and said specifications and in accordance with the plans and drawings covered by this Subcontract any and all supplemental plans and drawings, and in accordance with the directions of the Prime Contractor and/or Architect/Engineer as given from time to time during the progress of the work. He shall furnish, erect, maintain and remove such construction plant and such temporary works as may be required. The Subcontractor shall observe, comply with, and be subject to all terms, conditions, requirements and limitations of the Subcontract and specifications, and shall do, carryon and complete the entire work to the satisfaction of the Prime Contractor, Architect/Engineer and the Owner.
SUBCONTRACTOR'S OBLIGATIONS. 5.1 Independent Contractor: SUBCONTRACTOR shall be deemed to be an independent contractor, with the authority and right to direct and control all of the details of the work. Any suggestions, advice or directions given by VIEW or its employees to SUBCONTRACTOR or its employees shall in no way establish or be evidence of an intent to create a master/servant or principal/agent relationship between VIEW and SUBCONTRACTOR. 5.2 Supervision: SUBCONTRACTOR will personally supervise the Work or have a competent foreperson or superintendent satisfactory to VIEW on site at all times during SUBCONTRACTOR’s performance with authority to act for SUBCONTRACTOR. 5.3 Compliance with direction and continued performance: In the event of a dispute, SUBCONTRACTOR will comply with VIEW’s written directives and will continue its performance, in accordance with Section 12. 5.4 Scheduling and other information: SUBCONTRACTOR at VIEW’s request and at the time specified in such request will submit to VIEW progress, procurement and labor-hour completion schedules, satisfactory in form and content to VIEW, and upon VIEW’s acceptance of the schedules will prosecute the work in accordance therewith. 5.5 Permits, licenses and inspections: SUBCONTRACTOR will obtain and pay for all permits, licenses, and inspections necessary because of or otherwise related to its Work.
SUBCONTRACTOR'S OBLIGATIONSThe Subcontractor agrees: A. To perform the services provided for in Exhibit B (Scope of Services), attached. B. To comply with all applicable laws, ordinances, codes, and regulations of local, state, and federal governments, including the obtaining of all required permits and licenses, at no additional cost to the Contractor. C. To perform the work in a workmanlike manner that shall meet the outcomes defined in the National Renewable Energy Laboratory (NREL) Standard Work Specifications for Home Energy Upgrades (SWS), the HCR Weatherization Assistance Program Small Buildings Field Guide, and any other applicable guidance or standards issued by HCR and provided by the Contractor to the Subcontractor prior to commencement of work. The Subcontractor shall promptly correct all work rejected by the Contractor as defective or non-conforming to SWS, by , but in no event later than the Termination Date of this Agreement. D. To repair all surfaces and work damaged by the Subcontractor resulting from work under this Agreement at no additional cost to the Contractor. Repair of existing work means that the item shall be restored to equal condition by patching or replacing and finished work shall match adjacent work in design and dimension. E. To keep the work premises broom-clean and orderly during the course of the work and remove all debris upon completion of the work. F. To guarantee the work performed and materials supplied to be free from defects for a period of one year from the date of final acceptance of all the work required by this Agreement on the unit, or the building containing the unit, if later. The Contractor will issue, on its letterhead, the date of final acceptance to the Subcontractor. Defective work or materials shall be repaired or replaced, at the election of the Contractor, within thirty (30) days of receipt by the Subcontractor of written notice of the defect. G. Acceptance of faulty work, or failure on the part of the Contractor to discover defects, will not relive the Subcontractor of responsibility to correct the defects as set forth herein within the guarantee period. H. Where applicable, to provide quality materials in accordance with Contractor's specifications and use them in accordance with generally accepted construction practices. I. SUBCONTRACTOR'S OBLIGATIONS. (a.) The Subcontractor shall furnish proper supervision, all labor, materials, equipment, transportation, unloading, handling, tools, services, facilities and all else required to timely and properly perform and complete all work within the scope of work of this Subcontract (the "Work") in a good and workmanlike manner, in accordance with this Agreement and any exhibits attached hereto and in accordance with the Contract Documents, unless modified herein. SUBCONTRACTOR'S OBLIGATIONS. 1. Subcontractor is obliged to perform the work well and soundly and in accordance with the provisions of the agreement. He shall carry out the work in such a way that damage to persons, goods or the environment is minimized as a result. 2. The execution of the work shall be such as to ensure the completion of the work within the agreed period. 3. The electricity, gas and water required for the execution of the work shall be at the subcontractor's expense unless otherwise agreed. 4. If warranted by the nature of the Work, the Subcontractor will inform itself of the location of cables and pipelines and the location where the Work will be performed before the Work commences. 5. If the Contractor makes a storage area available to the Subcontractor during the Work to house the necessary equipment, the Subcontractor undertakes to take the necessary measures to close off or secure the area. Under no circumstances will the contractor be liable for any damage and/or theft to the materials or equipment stored by the subcontractor in the storage area. 6. The subcontractor is obliged to point out to the contractor any imperfections in constructions and working methods prescribed by or on behalf of the contractor and in orders and instructions given by or on behalf of the contractor, as well as to defects in building materials and tools provided or prescribed by the contractor, to the extent that the subcontractor knew or reasonably should have known about them. 7. Subcontractor may not transfer all or part of the work to another person, except with the contractor's prior written consent. 9. Without written permission from the contractor, the subcontractor is not permitted to subcontract all or part of the work to third parties or to borrow employees. In the event that the contractor grants permission, the subcontractor will be obliged to declare the provisions under which the subcontracting agreement was entered into applicable to the legal relationship between the subcontractor and the third party it engages.
